Re: Engagement Letter
Dear Carol:
This letter will serve as a renewal of the Engagement Letter and Terms of Engagement
("Agreement") between the City of Bremerton and Carol A. Morris, PC (collectively "Parties"),
dated March 28, 2002. This renewal will become effective upon execution by Parties.
The Parties agree that the Agreement will continue in full force and effect until terminated
pursuant to the terms of the Agreement.
The 2003 hourly rate for services is $160 an hour. The Parties further agree that the hourly rate
for services stated herein may, from time to time, and upon approval by the City Attorney, be
adjusted to reflect current market rates and conditions. Any rate modifications shall be approved
in writing by the City Attorney.
All other terms of the Agreement not specifically modified herein shall remain in full force and
effect.

Dear Mr. Lubovieh:
In our telephone conversation today, you asked me to forward a letter of engagement to solidify my
availability to provide legal advice to the City on certain land use matters. This letter will outline
the terms of my representation of the City of Bremerton, should the City choose to engage me.
Terms of Enl~aRement
In my representation of clients, I think it is critical that my clients and I share the same understanding
of the attorney-client relationship. To that end, you will find enclosed a copy of my Terms of
Engagement. This engagement letter and the Terms of Engagement set forth my agreement with
you. Please review both carefully and let me know whether you .have any questions or comments
regarding our relationship.
Lenal Fees
Bre.merton will be billed for my services on an, hourly basis. My current hourly rate for cities not
insured through AWC is $160.00. The rates quoted to you in this letter are for the year 2002. The
rate may change after December, 2002, to be effective in 2003.
Scope of Services
Based on our discussion, you would like me to provide general advice and representation to the City
on land use matters, as requested by the City Attorney, from time to time.

Other Matters
The provisions of this letter and the attached Terms of Engagement shall apply to any other work or
matter for which you engage me. I will handle matters on a contingent fee only when and to the
extent specifically established in writing in advance of the work.
I appreciate your expression of confidence and would like to assure you that I will do my best to
provide you with high quality legal services. If you have any question or concerns during the course
of our relationship, I encourage you to raise them with me. I look forward to working with you.
THE UNDERSIGNED UNDERSTANDS AND ACCEPTS ALL OF THE TERMS OUTLINED IN
THIS LETTER OF ENGAGEMENT AND ATTACHMENTS, AS WRITTEN.
