City Auditor
239 4th Street
Bremerton, WA 98310
Dear Ms. Katsirubas:

I am responding to your letter to me dated December 6, 1985 regarding
the City's proposed sale of land dedicated to it by the Public Housing
Administration in t948
The Deed to the City of Bemerton from the Public Housing Administatio
restricts the use of the land to "Public Use." The Deed also refers to War '
Housing Projects. Although it couid be argued that a"Lanham Act"
(42 U.S.C.A. §1521 et se .) Dedication occurred, (in which case all sale
proceeds would go to HUD , since the Lanham Act was not referred to
specificaily in the Oeed, HUD's oniy requirement at this time would be that
the proceeds be used for a similar "Public Use."
In a phoe convesation with Joyce Moen, Assistant Regional Counsel,
you stated that the prio use was a waste water plant which is not
functional and that the proceeds would be held in "public trust" for use
on another public waste water piant. Since that is your intention, we have
no objection to your sale of the land to the highest bidder with the
poceeds being retained by the City for "Public Use."
if you have further questions please contact Joyce Moen, Assistant
Regiona) Counsel, at 206-
Sincerely,
w '

City of Bremerton
. Ms. Judith W. Katsirubas
City Auditor
239 4th Street
Bremerton, WA 98310
Dear Ms. Katsirubas:
I am responding to your letter to me dated December 6, 1985 regarding
the City's proposed sale of land dedicated to it by the Public Housing
Administration in 1948.
The Deed to the City of Bremerton from the Public Housing Administration
restricts the use of the land to "Public Use." The Deed also refers to War
Housing Projects. Although it could be argued that a"Lanham Act"
(42 U.S.C.A. §1521 et se .) Dedication occurred, (in which case ail sale
proceeds would go to HUD , since the Lanham Act was not referred to
specifically in the Deed, HUD's only equirement at this time would be that
the proceeds be used for a similar "Public Use."
In a phone conversation with Joyce Moen, Assistant Regional Counsel,
you stated that the prior use was a waste water plant which is not
functional and that the proceeds wouid be held in "public trust" for use
on another public waste water plant. Since that is your intention, we have
no objection to your sale of the land to the highest bidder with the
proceeds being retained by the City for "Public Use."
If you have further questions please contact Joyce Moen, Assistant
Regional Counsel, at 206-442
Sincerely,

Positive response has been received from Bremerton-Kitsap County Health Dept.
on the proposed demolition plan.
Digester cleaning contractors have been contacted for proposals for their services.
This is one of the first phases of the demolition and due to the attendant odors

. S NT AND REQUIREMENT FOR COUNCIL ACTION:
Pursuant to a previous Council Study Session, the City Council direct d this
office to coordinate a staff review of the disposition of the Manette Treatn
Plant property. Numerous meetings were held with various City officials and
a plan of action has been determined. Staff recommendation is that the
general fund lease the Wastewater Plant site from the Wastewater Utility. I
payments shall be in the amount of $5,000.00 per year and the source of fund
shall be the real estate excise tax fund. The taastewater Utilitv will be
allowed to accellerate lease payments in the event of an unexpected and
unbudgeted system failure provided that it has the prior approval of rouncil
for said accelleration. The source of accellerated funds would be the real
estate excise tax fund. By leasing the property from the Wastewater Utilit
the Parks Department will be able to use the property as a park site for a
relatively small cost. In addition, this lease arrangement will allow the
Wastewater Utility to capitalize the demolition of the wastewater plant and
site clean-up. TYite source of these funds is the Wastewater 309 Fund and mor.
•are available for this clean-up.
Recommendation that Council approve this lease and .nstruct the U]astewater
Utility to begin demolition of plant site.

5. IMPACT OF NON-PASSAGE: _"'• °
Non-passage of this proposed arrangement will result in continued imbalance
of the wastewater budget, and inability to effect demolition of the plant
site and a c4ntinued uncertainty as to the future of the site.
i. IMPACT ON STAFFING,BUDGETS, FACILITIES, EQUIPMENT OR OTHER RESOURCES:
The real estate excise tax will be ncumbered in the total amount of
$100,000.00. However, if no major system failures are incurred, the annual
impact on the real estate excise tax fund will be $5,000.00 per year.
Annual income from the fund is more than sufficient to cover this expenditure.
Current balance in the real estate excise tax fund is approximately
$175,000.00. The 309 Fund has approximately $1,000,000.00 in funds available.
This action will move the demolition of the treatment plant to the top of
the list and other proposed improvements will be unfunded.

RE: Proposed Demolitibn/Lease of Manette Treatment Plant
Based upon review of the appropriate statutes and consultation with the
City Attorney, it appears that payment under terms of the proposed operating
lease agreement will constitute a lawful expenditure of monies from the `
Real Estate Excise Tax Fund. The fund has adequate uncommitted resources
to meet the required lease payments and contingencies in both the current and

T0: City Council Members
Restatement of the Request for Auditor Opinion
In order to effect the demolition of the Wastewater Utility
Manette Treatment Plant and to restore the site to
alternative public use, I was asked to render an opinion on
the following financial transactions, based on a
determination that the Wastewater Utility owns the site on
which the Manette Treatment Plant is situate:
(1) whether the Wastewater Project 3p9 Construction Fund
can properly pay for plant demolition costs as
reasonable capitalized or deferred expenses;
(2) whether the Wastewater Utility and Parks Department
may enter into a property transfer agreement for (a)
sale, (b) lease, or (c) lease-option;
(3) whether Real Estate Excise Tax Funds may be used to
support such a transfer;
(4) how the above transactions impact the bond covenant
debt-service coverage.

The Wastewater Utility Project 309 construction Fund may
properly pay for and capitalize expenses for the demolition
of the Manette Treatment Plant [FAS71, para. 4 and 11] pro-
vided that the Wastewater Utility retains ownership of the
property until such costs are recovered [FAS71, para. 3] and
until all Water & Sewer 1985 Refunding Revenue Bonci coven-
ants are met [ORD 3989, Sec. 11(c)].
Under these provisions, the Wastewater Utility may lease the
property to a third party [FAS71 para. 20] or to another
government unit (FAS71 para. 20 and FAS13 para. 25 provided
that the lease does not transfer property to the lessee at
the end of the lease term [FAS13 para. 7(a)] and does•not
contain a bargain purchase option [FAS13 para. 7(b)].

The Parks Department may enter into an operating lease
agreement with the Wastewater Utility as provided in FASB
Interpretation 23: Leases Involving Government Units [c.f.,
GAAP 26:34]. .
There are no restrictions on the use of Real Estate Excise
Tax Funds that would preclude use for payment of lease
expenses [RCW 82.46 .030 (2) and RCW 35 .43 .040 (1) ] .
The attached worksheet calculates the Water & Sewer Utility
legal debt-service coverage requirement based upon the best
available information as of lr June 1986. The above
transactions do not significantly impact the covenanted
coverage; a budget adjustment based on the coverage ratio is
not required.

►. SUMMARY STATEMENT AND REQUIREMENT FOR COUNCIL ACTION:
According to the.UBC and UFC and HUD guidelines, the demoliton of the Manette Sewer lant is
eligible for demolition funded through CDBG. Under UBC section 203, "Unsafe Buildings" the
surplus abandoned sewer plant is considered unsafe and a public nuisance and has been declared '
a liability posing a danger to public health and safety. The Utility recommended demolition
and scheduled itwith the proceeds of the sale'of property it cannot sell. Due to the lack of
funds available through a fluke in budgeting, this is eligible under HUD guidelines 570.901,
"Activities designed to meet community development needs having a particular urgency". This
building must be demolished as soon as possible and there apears to be no money'available
to accomplisiz this scheduled project. The urgency arises as this building is a public hazard
and nuisance. HUD regulations section 570.201 "Basic Eligible Activities" clearly recognizes
this is an eligible project under "Clearance Activities". (see attachment)
This also falls under being blighted - we have to declare this as a blighted site before
it qualif ies for HUD funding, and it does qualify as a"blighted" piece of property.
$. RECOMMENDATION:
The City Council approve a motion to cancel re-allocation of $93,200 for demolition of the
rlanette Sewer Plant.

SUBJ: Re-allocation of 1985 CDBG Funds
DATE: June 6, 1986
In consideration of Council action taken on May 14, 1986, in Agenda Item 6G,
the cancellation and re-allocation of $109,050 of 1985 CDBG funds, I believe
City Council should have been advised of all eligible projects. What other
recommendations from the public were offered at the public hearing? Were
public hearings required for citizen input as to the use of re-allocation on
these funds? Were these public hearings held? We, City Councilmen, were never
advised of other requests for these funds. If May 14th was the public hearing
the public had no opportunity to consider the
demolition of the Manette Sewer Treatment Plant as an eligible project. It is
imparative that the City re-evaluate its priorities in using these funds. The
more important project, in my estimation,is the demolition of this sewer plant.
It was scheduled to be demolished this year and is a public nuisance and a hazard
to public safety. The Wastewater Department is not prepared to finance this
demolition due to a misinformed previous City Council budgeting fluke. We have no
funds to accomplish this task and it is urgent that the demolition be accomplished.
I understand the importance of rebuilding our downtown waterfront, as it is a
precious comanodity and the entrance by ferry to our community. I appreciate
the efforts of those businesssmen who are reinvesting and renovating their
properties, but I cannot neglect our responsibility to protect the public health
and safety and to work to diminish liability and to meet financial obligations and ,
to serve a proportionally larger population of low and moderate income citizens.
If one child wanders into that abandoned sewer plant and is injured or killecl, no
rationalization nor amount of apologies will repair the loss or cure the neglect
of taking this opportunity to prevent just such a tragedy.
Therefore, I am urging my fellow Councilmen to reconsider the matter of re-
allocation of thes funds to a higher priority and a more urgent need in this
City. Each day that goes by increases aur liability risk. This plant needs to be
demolished.

My proposal for your consideration is:
Reallocate $5,000.00, as before, to design for waterfront project.
Reallocate $93,000.00 for Manette Sewer Plant demolition.
Reallocate $10,800.00 for Newsletter to inform the public on
issues coming before Council, hef.ore the'f_act. To be divided
into nine parts, each Council member to receive $100.00 per '
month to issue to their District information of City business.

Dear M5. Kats i ubas :
I am responding to your letter to me dated Dec;ember 6, lyf5 regarding
the Citv's proposed sale of land dedicated to it by the Public Housing
s s.e..r -- -.ws
Administration in 1948.
The Deed to the City of Bremerton from the Public Housing Administration
restricts the use of the land to "Public Use," The Deed also refers to War
Housing ProjecLs. Although it could be argued that a"Lanham Act"

proceeds would go to HUD , since the Lanham Actas not referred to
specifically in the Deed, HUO's only rqurwemenC at this time would be that
the proceeds be used for a similar "Public Use."
.r. = . .
In a phone conversation with Joyce Moen, Assistant Regional Counsel,
you stated that the prior use was a waste water plant which is not
functional and that the proceeds would be held in "public trust" for use
on another public waste water plant. Since that is vour intention, we have
no objection to your sale of the land to the hiQhest wi e" `

Dear Mr. Nishimura:
I need to clarify some confusion on the issue of ownership and use of land dc:eded
fio the City of $remerton in 1948 by the Public Housing Adminisi:ration, referred
to in your letter of llecember 2U, 1985. to Ms. Katsirubas, Bremerton Citv Auditc,r.
Your response did not address the transfer of use of the parcel frur one City
department to another City department. 'Does a Wastewater Department Irive any
claitn on the value of the land now that it has been declared surplus to is
need? At the time of construction of ttie Wastewater Plant, the wastewater
services provided was considered a department of the City, not a utility.
confusion over the true ownership of the parcel stems from th Wastewater l<ar-
ment. "elaiminQ" u_tility status and ownership of the Uarccl as 3 separatc. cntity
from the Citv. The "utility?" requested tlie Czy it from ttiem. 'I'►ie

guidelines of the Deed without a purchase from the City Wastewater llearrtnen,
"Utility?"? In the original 1941 City Ch3rter, Public Works llepartment was
charged with providing wastewater service along w:ith street services, etc..
In 1978 City Ordinance 3489 established the Wastewater Facility Department.
To date, the public has not ratified by vote the acceptance of a new utility.
It is my understanding ttiat the City has the property rights to this parcel and
it is not necessary for the City to purchase land it already holds in public trust.
Au► I correct?
Your response would be greatly appreciated.
Thank you,. i
Sincerely,

Dear Ms. Long:
I am responding to your letter,to me dated May 28 , ; ,t986 .

'You have asked whether the land deeded to the City of Bremerton by
the federal government can be transferred from one City Department to
another. As noted in our previous correspondence, HUD has no specific
legal concern re ardin any sale or transfer as long as the tand or the
proceeds from the sale of the land are used for "Public Use." As to the
status of.title to the land, we can on y note that title was deeded from
the federal qovernment to the "Citv of Bremerton". Working out any
transfer of title be ween the City and the Wastewater Department would
appear to be the responsibility of those parties to resolve. This
Department is not in a position to comment further on this issue provided
the previously noted restriction as to the land or proceeds being h,eld
for "public use" is complied with.

If we can be of further assistance please let me know.

FROM: oseph C. Fabre', Community Developmer.t Manage,r
SUBJECT: Usage of CDBG funds for the demoition of the Manette
Wastewater facility and for a Council District
newsletter
It is my understanding that Councilwoman Mary Lou Long proposes
to use CDBG funds for the above ref erenced projects. Based upon
her poposed usage and after careful review of the CDBG
regulations, I find the proposed projects to be ineligible
activiies.
KANETTE WASTEWATER FACILITY
While demolition under ,certain conditio:s is an eligible
activity, Councilwoman Long's proposal falls short of ineeting the
regulations in that the site has not been determined to have
existing conditions which pose a serious and immediate threat to
the health or weifare of the community. This declaration can
only be maae by an official of the City. which has the legal
3utiorty to make. this determination. .
While the activity is not in an area which has been defined as a
slum, blightec, deteriorated, or deteriorating under State or
ocal law, the regulations do provide a means for carrying out .
activities outside a slum or bliqhted area.- However, there still
needs to be he determination by the responsible official that
conditions exist which pose a health and saf ety' threat to the
immediatE community. For this reason the proposed project can
not be carrieci out in the absence of the declaration. ,
OICIL DISTkICT NESLETTERS
Councilwomar. Long's proposal o use 1985 CDBG funds for a
newsletter violates 24 CFR 570.200(g. ,mit ion onTanni g znd
administ, ative cost and raises a red flag as to whether her
proposed usage volates 24 CFR 570.207 ( (2) . c,ne ,,],_gQygrnment

Page 2
The major problem with using 1985 CDBG funds has to do with the
fact that the City has already allocated 20$ of the 1985 grant
towards planning and administrative costs. No more than 20
percent of the sum of any grant plus program income shall be
expendec for planning and administration costs, as def ined in
Sections 570.2Q5 and 570.206 respectively 24 Fg 570.200(s1.
A newsletter as proposed is considered a administrative cost and
therefore 1985 CDBG funds cannot be used. '
As to the usage of future CDBG funds for a similar activity I
have come to the conclusion that as proposed, Councilwoman Long's
project would not be eligible because of the restriction placed
on the CDBG program as it relates to using funds for general
government expenses and political activities.
The regulations provide in 24 CF R 570.206(b) for the provision of
information and other resources to residents and citizen
organizations participation in the planning, implementation, oz
assessment of activities being carried out with CDBG funds. The
key here is that if the newsletter is being sent specifically to
residents and participating organization in the planning,
implementation or assessment of CDBG activities, then it may be
feasible.
As proposed Councilwoman Long would divide the funds among the
nine district for usage in a monthly newsletter. Since many of
those districts do not have CDBG activities in them they could
not use CDBG funds for a newsletter. In addition, those
districts which do have CDBG activities, would be limited to
using the funds }o only ptblishing information in the newsletter
related to CDBG activities. Any other usage can be construed as
activities which are the responsibility of the local unit of
government and/or political activities.
Mechanically, the proposed project poses many problems and in the
absence of other inf ormation I find the project to be ineligible.
DBG PROJECT EVALtI TION
As you know, the City has an approved and workable process for
aetermining whether a project is eligible or not or whether it
can withstand other program recuirements. When projects are
proposed without aoing through this process, history has shown
that more time and money is spent undoing the errors that surface

when a ineligible project is approved. It would be helpful to
the City if future request for CDBG funds fo22ow the accepted
review process. ot nly does the City receive a complete
review, we also save the emba:rzssment haing to expiain possible
audit findings and also the time. and energy correcting the
problem.
