HomeMy WebLinkAboutORDINANCE 5514ORDINANCE NO. 5514 ANORDINANCE oftheCityCounciloftheCityof Bremerton, Washington, authorizingtheCityCounciltoextenda cabletelevisionfranchiseagreementwithWAVEDIVISIONIV, LLC/ASTOUND. 5100onDecember21, 2009knownjointlyastheFranchiseAgreement; and WHEREAS, WAVEDIVISIONIV, LLCisnowknownasASTOUND BROADBAND, butthosenamesareusedinterchangeablythroughoutthisordinance; and WHEREAS, thepartiesmutuallyagreedtoextendthefranchisetermforan additionalfive (5) years, persection2.3ofOrd. 5100andthereforeresultedintheexpirationof theFranchiseAgreementonDecember31, 2024; and WHEREAS, boththeCityandWAVEDIVISIONIV, LLC/ASTOUNDbelieveit isintheirmutualinterest, andinthepublicinterest, toextendthetermoftheFranchiseforan additionalperiodoftimeinordertonegotiatealongertermFranchisewithmutuallyagreeable termsbutdonotdesiretointerruptcabletelevisionserviceintheCity; and WHEREAS, thepartiesmutuallyagreetoextendthetermofthisFranchise beyondthecurrentterminordertopromoteandfacilitateanorderlyfranchiserenewalprocess; agreeinghowever, thatanysuchextensionshallbeincompliancewithApplicableLaw includingtheCableAct, 47U.S.C. Section546ascurrentlyadoptedorhereinaftermodified) andcontinuetoreserveallrightsunderSection626ofTitleVIoftheCommunicationsActof 1934, asamended, anddonotwaiveanyrightsrelatedthereto; and WHEREAS, theCityandWAVEDIVISIONIV, LLC/ASTOUNDhavereacheda mutualagreementforanextensionoftheFranchise, effectiveDecember31, 2024, andexpiring onMarch31, 2026; NOWTHEREFORE, THECITYCOUNCILOFTHECITYOFBREMERTON, WASHINGTON, DOESHEREBYORDAINASFOLLOWS: SECTION1. ThattheFranchiseAgreementwithWAVEDIVISIONIV, LLC/ASTOUNDreferredtoinOrdinanceNo. 5100shallbeextended, expiringMarch31, 2026. SECTION2. ThattheFranchiseAgreementwithWAVEDIVISIONIV, LLC/ASTOUNDreferredtoinOrdinanceNo. 5100, shallbeextendedwiththesametermsand conditionsexceptfortheeffectivedateandterminationdates, whichshallbeassetforthinthis ordinance. Ifanyprovisionofthisordinanceisdeterminedtobeinvalidor unenforceableforanyreasonbyfederal, state, orlocallaw, theremainingprovisionsofthis ordinanceand/ortheprovisionssetforthintheFranchiseAgreementwithWAVEDIVISIONIV, LLC/ASTOUNDreferredtoinOrdinanceNo5100willremaininforceandaffect. SECTION4. UpontheapprovaloftheCityAttorney, theCityClerkis authorizedtomakeanynecessarycorrectionstothisordinanceincluding, butnotlimitedto, the numbers, andanyreferencethereto. SECTION5. Neitherpartywaivesanyrightswhichitenjoysunderlawasa resultofagreeingtothisextension. SECTION6. Severability. Ifanyoneormoresections, subsections, or sentencesofthisOrdinanceareheldtobeunconstitutionalorinvalid, suchdecisionshallnot affectthevalidityoftheremainingportionofthisOrdinanceandthesameshallremaininfull forceandeffect. SECTION7. EffectiveDate. Thisordinanceshallbeinfulleffecton ofrecord. Asummaryofthisordinancemaybepublishedinlieuofpublishingtheordinancein itsentirety.
