Kinnon W.Williams Juliana U.Wong SCOPE OF WORK Inslee Best has been retained to conduct a neutral fact-finding investigation on behalf of the City, relating to a workplace complaint received by the City, as directed by you and/or your representative. I will serve as the investigator for the work described herein. This is to confirm that I have not been retained to provide legal advice--the scope of our engagement is specifically limited to and for the purpose of conducting a neutral factual investigation. All communications, whether verbal or in writing, between Inslee Best, you and/or your representatives in this matter are not intended to be and shall not be construed by any party as legal advice on any matter that may arise during the course of our engagement. FEES, COSTS AND BILLING My hourly rate for the professional investigation services rendered by me in connection with this engagement is$350.00. In addition to this hourly rate, we charge for travel mileage at the rate established by the Internal Revenue Service and we charge for costs associated with the investigation, including fax and postage expenses, along with any direct costs incurred on behalf of the client. We will advance the costs outlined above, and we do not charge for administrative tasks such as secretarial typing. Invoices shall be issued monthly for services rendered and costs incurred during the preceding calendar month. Costs and expenses are itemized. Importantly, payment of fees and costs are not contingent upon the final result and it is understood that Inslee Best does not and cannot warrant or predict results or final developments in this engagement. It is understood that no testimony will be provided unless all outstanding fees have been paid. Please indicate your agreement to the foregoing terms of our engagement by signing the attached copy of this letter and returning it to me for our files. We appreciate very much the opportunity to assist you in this matter. If you have any questions regarding this agreement, or should you at any time have any questions regarding the nature of our services, please do not hesitate to contact me. CONFIDENTIALITY All communications, whether written or oral, between Inslee Best, you and/or your representatives in this matter shall be regarded as confidential. Disclosure of the nature or content of any such oral or written communication shall not be made without your prior approval. Any requests for such disclosure,or request by any person or authority to inspect or copy written materials,or any attempt to subpoena such materials,shall be reported directly to you. However,any investigative notes compiled by the investigator shall be considered the property of Inslee Best. In the event that Inslee Best is requested by you to testify about,subpoenaed by anyone,receives a court order, or is otherwise asked to participate at any stage of any kind or judicial or administrative proceeding concerning any work performed for you in connection with this engaged, we will be compensated for the time involved in responding to such subpoena(s) and order(s) at our regular billing rates of $485.00 (or the then-current billable rate) for professional time and for all costs that may reasonably be incurred in connection therewith, including attorney's fees. Before commencing work to respond to such a subpoena or order, Inslee Best shall provide you with an estimate of the time that will be required to comply and the expense we anticipate incurring. TERMINATION AND DISPUTES Any party may terminate this agreement at any time. Upon your written notice to terminate,we shall immediately stop all work. Termination of work shall not, however, terminate obligations of confidentiality and work product unless so expressly provided. In the unlikely event that a dispute arises concerning or relating to this agreement, the parties will attempt to amicably resolve the disagreement in good faith and to the satisfaction of both parties. However, if any litigation proceeding is required to enforce the terms of this agreement,the prevailing party in such proceeding shall be entitled to an award of its reasonable attorney's fees and incurred costs and expenses.
