HomeMy WebLinkAbout5514 - WAVEDIVISION IV, LLC/ASTOUNDORDINANCE NO. 5514 ANORDINANCE ofthe CityCouncilof theCityof Bremerton, Washington, authorizing theCity Councilto extend a cabletelevision franchiseagreement withWAVEDIVISIONIV, LLC/ASTOUND. 5100onDecember21, 2009 knownjointlyastheFranchise Agreement; and WHEREAS, WAVEDIVISION IV, LLCisnowknownasASTOUND BROADBAND, butthosenamesareusedinterchangeably throughout thisordinance; and WHEREAS, theparties mutuallyagreed toextend thefranchise term foran additional five (5) years, persection 2.3ofOrd. 5100 andtherefore resulted intheexpiration of theFranchiseAgreement onDecember31, 2024; and WHEREAS, boththeCityandWAVEDIVISION IV, LLC/ASTOUND believe it isintheirmutual interest, andinthepublic interest, to extend thetermoftheFranchiseforan additional period oftime inordertonegotiatealongertermFranchisewithmutually agreeable termsbutdonotdesire tointerrupt cabletelevisionserviceintheCity; and WHEREAS, theparties mutually agreetoextend theterm ofthisFranchise beyondthecurrent terminorder topromoteandfacilitate anorderlyfranchise renewalprocess; agreeinghowever, thatanysuchextension shallbeincompliance withApplicable Law including theCableAct, 47 U.S.C. Section546ascurrentlyadoptedorhereinaftermodified) andcontinuetoreserveall rightsunder Section626ofTitleVIofthe CommunicationsActof 1934, asamended, anddonot waiveany rightsrelated thereto; and WHEREAS, theCityandWAVEDIVISION IV, LLC/ASTOUND havereacheda mutual agreement foranextensionoftheFranchise, effective December31, 2024, andexpiring onMarch31, 2026; NOWTHEREFORE, THECITY COUNCILOFTHE CITYOFBREMERTON, WASHINGTON, DOESHEREBY ORDAIN ASFOLLOWS: SECTION 1. ThattheFranchiseAgreement withWAVEDIVISION IV, LLC/ASTOUND referredto inOrdinance No. 5100shallbeextended, expiringMarch 31, 2026. SECTION 2. ThattheFranchiseAgreementwithWAVEDIVISION IV, LLC/ASTOUND referred toinOrdinance No. 5100, shall be extendedwiththesame terms and conditions except fortheeffectivedate andtermination dates, whichshall be assetforthin this ordinance. Ifanyprovision ofthisordinanceisdetermined tobeinvalid or unenforceableforanyreason byfederal, state, or locallaw, theremainingprovisions ofthis ordinance and/ortheprovisions set forthintheFranchise Agreement withWAVEDIVISION IV, LLC/ASTOUND referred toinOrdinanceNo5100 willremaininforceandaffect. SECTION 4. Upontheapproval of theCityAttorney, theCityClerkis authorized tomake anynecessarycorrections to thisordinance including, butnotlimitedto, the numbers, andanyreference thereto. SECTION 5. Neither partywaivesanyrights which itenjoys underlawasa resultofagreeing to thisextension. SECTION 6. Severability. Ifany oneormoresections, subsections, or sentencesof thisOrdinance areheld tobeunconstitutional orinvalid, suchdecision shallnot affectthe validity oftheremaining portion ofthisOrdinance andthesame shallremaininfull forceandeffect. SECTION 7. Effective Date. Thisordinanceshallbeinfulleffecton ofrecord. Asummary ofthisordinance maybepublished inlieuofpublishing theordinancein itsentirety.
