Dear Mr. Davis:
This letter serves to notify you of the change of name of our firm, formerly known as
Murraysmith, Inc. to CONSOR North America, Inc. In Washington, we also have the
assumed business name of Murraysmith in order to facilitate business and
transactions under our historic name and contracts, to the extent our clients prefer
such an option. For your reference, I attach evidence of this name change from our
state of incorporation, Oregon. The Secretary of State of Washington has reviewed
and approved this change, and approved the application for our assumed business
name as well. This name change involves no change of ownership or corporate form;
it is merely a branding change consistent with our affiliation with CONSOR Engineers,
LLC.
Murraysmith currently has an agreement with City of Bremerton for professional
services on Project #4545, also known as the Pump Station 14 Relocation, dated on or
about July 10, 2019, with a notice to proceed of July 19, 2019. (the “Agreement”). We
seek no amendment to this Agreement, and no assignment is needed. Please be
assured that the specific project personnel assigned to City of Bremerton’s project will
remain the substantially the same.
If you wish to continue ‘as is’ under this Agreement, we will gladly do so; no change of
control triggering an assignment has occurred pursuant to Section VII O of the
Agreement. Nevertheless, if you prefer that we execute an amendment changing our
name formally in this contract, we will review and approve any such amendment you
propose.
