CABLETELEVISIONFRANCHISE ThisCableTelevisionFranchise (ÐFranchiseÑ) isenteredintoinBremerton, Washington, this _____ dayof ______, 2024, byandbetweenBremerton, Washingtonamunicipal corporation, hereinafter (ÐCityÑorÐGrantorÑ) andComcastCableCommunications Management, LLC (ÐGranteeÑ). DEFINITIONS ForthepurposesofthisFranchiseandtheExhibitsattachedheretothefollowingterms, phrases, wordsandtheirderivationsshallhavethemeaningsgivenhereinwhenindicatedwithinthetext oftheFranchisebybeingcapitalized. Whennotinconsistentwiththecontext, wordsusedinthe presenttenseincludethefuture, wordsinthepluralincludethesingular, andwordsinthesingular includetheplural. Wordsnotdefined, orthosedefined, butnotcapitalizedwithinthetextshallbe giventheircommonandordinarymeaning. Theword "shall" isalwaysmandatoryandnotmerely directory. ÐAccessÑorÐAccessProgrammingÑincludesPublicAccess, EducationalAccessand GovernmentalAccess, collectively, andmeanstheavailabilityforNoncommercialusebyvarious governmentalandeducationalagencies, institutionsandorganizations, inthecommunity, includingCityanditsdesignees, ofparticularchannelsontheCableSystemtoreceiveand distributeVideoProgrammingtoSubscribers, aspermittedunderApplicableLaw, including, but notlimitedto: A)ÐPublicAccessÑmeansAccesswhereanymemberofthegeneralpublicmaybea programmeronanondiscriminatorybasis, subjecttooperatingrulesformulatedbytheCityorits designee. Suchrulesshallnotbedesignedtocontrolthecontentofpublicaccessprogramming. Suchrulesshallalsoaddresstheextenttowhichandmannerinwhichmembersofthegeneral publicwhoarenotresidentsoftheCitymaybeprogrammersontheAccessChannel. A) ÐEducationalAccessÑmeansAccesswhereSchoolsaretheprimaryusershaving editorialcontroloverprogrammingandservices. B) ÐGovernmentalAccessÑmeansAccesswheregovernmentalinstitutionsortheir designeesaretheprimaryusershavingeditorialcontroloverprogrammingandservices. ÐAccessChannelÑmeansanyChannel, orportionthereof, designatedforNoncommercialAccess purposesorotherwisemadeavailabletofacilitateAccessprogramming. ÐAccessFeesÑmeansthecapitalcontributionpaidtotheCitybytheGranteeinaccordancewith section9.7. ÐAccessOriginationPointÑmeanstheLocationwherePEGprogrammingismanagedand switchedforfinalvideoandaudiosignaldeliverytoGranteeÓsheadend. ÐAffiliatedEntityÑorÐAffiliateÑwhenusedinconnectionwithGranteemeansanyPersonwho ownsorcontrols, isownedorcontrolledby, orisundercommonownershiporcontrolofGrantee. ÐApplicableLawÑmeansanystatute, ordinance, judicialdecision, executiveorder, orregulation havingtheforceandeffectoflawthatdeterminesthelegalstatusofacaseorissue. ÐBadDebt" meansamountslawfullyowedbyaSubscriberandaccruedasrevenuesonthebooksof Grantee, butnotcollectedafterreasonableeffortsbyGrantee. ÐBasicServiceÑorÐBasicCableServiceÑmeansanyCableTierthatincludes, ataminimum, the retransmissionoflocaltelevisionBroadcastSignals (47U.S.C. Section522(3)). ÐBroadcastSignalÑmeansatelevisionorradiosignaltransmittedovertheairtoawidegeographic audience, andreceivedbyaCableSystemoff-the-airbyantenna, microwave, satellitedishesor anyothermeans. ÐCableActÑmeanstheTitleVIoftheCommunicationsActof1934, asamendedbytheCable CommunicationsPolicyActof1984, asamendedbytheCableTelevisionConsumer ProtectionandCompetitionActof1992, andasamendedbytheTelecommunicationsActof 1996, andanyamendmentsthereto. ÐCableOperatorÑmeansanyPersonorgroupofPersons, includingGrantee, whoprovides CableServiceovertheCableSystemanddirectlyorthroughoneormoreAffiliatesownsa significantinterestinsuchCableSystemorwhootherwisecontrol(s) oris (are) responsible for, throughanyarrangement, themanagementandoperationoftheCableSystem. ÐCableServiceÑmeanstheone-waytransmissiontoSubscribersofVideoProgramming, or otherprogrammingserviceandSubscriberinteraction, ifany, thatisrequiredfortheselection oruseofsuchVideoProgrammingorotherprogrammingservice. ÐCableSystemÑorÐSystemÑmeansafacility, consistingofasetofclosedtransmissionpaths andassociatedsignalgeneration, receptionandcontrolequipmentthatisdesignedtoprovide CableServicethatincludesVideoProgrammingandthatisprovidedtomultipleSubscribers withinacommunity, butsuchtermdoesnotinclude (1) afacilitythatservesonlytoretransmit thetelevisionsignalsofoneormoretelevisionbroadcaststations; (2) afacilitythatserves Subscriberswithoutusinganypublicright-of-way; (3) afacilityofacommoncarrierthatis subject, inwholeorinpart, totheprovisionsofTitleIIofthefederalCommunicationsAct 47U.S.C. Section201etseq.), exceptthatsuchfacilityshallbeconsideredacablesystem otherthanforpurposesofSection621(c) (47U.S.C. Section541(c)) totheextentsuchfacility isusedinthetransmissionofVideoProgrammingdirectlytoSubscribers, unlesstheextentof suchuseissolelytoprovideinteractiveon-demandservices; (4) anopenvideosystemthat complieswithSection653oftheCableAct; or (5) anyfacilitiesofanyelectricutilityused solelyforoperatingitselectricutilitysystems. ÐChannelÑmeansaportionofthefrequencybandcapableofcarryingaVideoProgramming ServiceorcombinationofVideoProgrammingServices, whetherbyanalogordigitalsignal, onatwenty-four (24) hourperdaybasisoraportionthereof. ÐCityÑmeanstheCityofBremerton, Washington, amunicipalcorporation, oftheStateof Washington. ÐCustomerServiceRepresentativeÑ (orÐCSRÑ) shallmeananypersonemployedbyGrantee toassist, orprovideserviceto, Customers, whetherbyansweringpublictelephonelines, writingserviceorinstallationorders, answeringCustomers' questions, receivingand processingpayments, orperformingotherCustomerservice-relatedtasks. ÐDemarcationPointÑislocatedatanAccessoriginationsiteandshallbetheterminationpanelor pointofinterconnectionbetweentheCityÓsencodedvideoandaudioandtheinputtothe GranteeÓsopticaltransmitterwheretheCitysignalistransmittedoverafiberconnectionto GranteeÓsHeadend. ÐDesignatedAccessProviderÑmeanstheentityorentitiesdesignatedbytheCitytomanage orco-managePublic, EducationalorGovernmentalAccessChannelsandfacilities. TheCity maybeaDesignatedAccessProvider. ÐDownstreamChannelÑmeansaChannelcapableofcarryingatransmissionfromtheHeadend toremotepointsontheCableSystem. ÐDwellingUnitÑmeansanybuildingorportionthereofthathasindependentlivingfacilities, includingprovisionsforcooking, sanitationandsleeping, andthatisdesignedforresidential occupancy. ÐEmergencyÑmeansapublicsafetyemergencycreatinganimmediatedangertoproperty, life, health, orsafetyofanyindividualorpersonin, above, orunderanyRight-of-Wayoraservice interruptiontoalargenumberofSubscriberscausedbyanunforeseenorunanticipatedfailure. ÐFCCÑmeanstheFederalCommunicationsCommissionoritslawfulsuccessor. ÐFiberOpticÑmeansatransmissionmediumofopticalfibercable, alongwithallassociated electronicsandequipmentcapableofcarryingelectriclightwavepulses. ÐFranchiseÑmeansthedocumentinwhichthisdefinitionappears, thatisexecutedbetween CityandGrantee, containingthespecificprovisionsoftheauthorizationgrantedandthe contractualandregulatoryagreementcreatedhereby. ÐFranchiseAreaÑmeanstheareawithinthejurisdictionalboundariesoftheCity, including anyareasannexedbyCityduringthetermofthisFranchise. ThetermFranchiseFee doesnotinclude: A) Anytax, feeorassessmentofgeneralapplicability (includinganysuchtax, fee, orassessmentonbothutilitiesandCableOperatorsortheirservices, butnotincludingatax, fee, orassessmentthatisundulydiscriminatoryagainstCableOperatorsorcableSubscribers); B) CapitalcoststhatarerequiredbytheFranchisetobeincurredbytheGrantee forPublic, EducationalorGovernmentalAccessfacilities, includingthesupportrequiredin Section9.7. C) Requirementsorchargesincidentaltotheawardingorenforcingofthe Franchise, includingpaymentsforbonds, securityfunds, lettersofcredit, insurance, indemnification, penaltiesorliquidateddamages; or D) AnyfeeimposedunderTitlel7, UnitedStatesCode. ÐGranteeÑmeansComcastCableCommunicationsManagement, LLCoritslawfulsuccessor, transferee, orassignee. ÐGrossRevenuesÑmeansandshallbeconstruedbroadlytoincludeallrevenuesderiveddirectly orindirectlybyGranteeandanAffiliatethatisthecableoperatoroftheCableSystem, fromthe operationofGranteeÓsCableSystemtoprovideCableServiceswithintheCity. Granteewill calculategrossrevenuesinaccordancewithGenerallyAcceptedAccountingPrinciples ÐGAAPÑ). Grossrevenuesinclude, bywayofillustrationandnotlimitation: monthlyfeesforCableServices, regardlessofwhethersuchCableServicesareprovided toresidentialorcommercialSubscribers, includingrevenuesderivedfromtheprovisionofall CableServices (includingbutnotlimitedtoBasic, digitalstarter, payorpremiumCableServices, otherdigitalCableServices, pay-per-view, pay-per-event, andvideo-on-demandCableServices); installation, reconnection, downgrade, upgrade, orsimilarchargesassociatedwithchanges insubscriberCableServicelevelsand/orservicecallsandadditionaloutlets; feespaidtoGranteeforchannelsdesignatedforcommercial/leasedaccessuse, whichshall beallocatedonaproratabasisusingtotalCableServiceSubscriberswithintheCity; converter, remotecontrol, andotherCableServiceequipmentrentals, leases, orsales; AdvertisingRevenuesasdefinedherein; latefees, conveniencefees, andadministrativefees, whichshallbeallocatedonaprorata basisusingCableServicesrevenueasapercentageoftotalSubscriberrevenueswithintheCity; revenuesfromprogramguides; FranchiseFees; FCCRegulatoryFees; CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 Exceptasprovidedinsubsection (B) below, anyfee, tax, orotherchargeassessedagainst Granteebyamunicipality, whichGranteechoosestopassthroughandcollectfromitsSubscribers; commissionsfromhomeshoppingChannelsandotherCableServicerevenuesharing arrangements, whichshallbeallocatedonaproratabasisusingtotalCableServiceSubscribers withintheCity. paymentsorotherconsiderationreceivedfromprogrammersforcarriageofprogramming ontheCableSystemandrecognizedasrevenueunderGAAP; and A) ÐAdvertisingRevenuesÑshallmeanrevenuesderivedfromsalesofadvertisingthat aremadeavailabletoGranteeÓsCableSystemSubscriberswithintheCityandshallbeallocated onaproratabasisusingtotalCableServiceSubscribersreachedbytheadvertising. Additionally, GranteeagreesthatGrossRevenuessubjecttoFranchiseFeesshallincludeallcommissions, representativefees, Affiliatefees, orrebatespaidtoAmpersandandEffectvortheirsuccessorsor otheraffiliatedadvertisingagenciesassociatedwithsalesofadvertisingontheCableSystem withintheCityandallocatedaccordingtothissubsectionusingtotalCableServiceSubscribers reachedbytheadvertising. B) ÐGrossRevenuesÑshallnotinclude: BadDebt, provided, however, thatallorpartofanysuchBadDebtthatiswrittenoffbut subsequentlycollectedshallbeincludedinGrossRevenuesintheperiodcollected; anytaxesand/orfeesonservicesfurnishedbytheGranteewhichareimposeddirectlyon anySubscriberoruserbytheState, Cityorothergovernmentalunitandwhicharecollected bytheGranteeonbehalfofsaidgovernmentalunit, providedthatFranchiseFeesandthe FCCregulatoryfeeshallnotberegardedassuchataxorfee; feesimposedbyanymunicipality, state, orothergovernmentalunitonGrantee, including butnotlimitedtocapitalexpensereimbursementsintheformofPublic, Educationaland Governmental (PEG) Fees, providedthatFranchiseFeesandtheFCCregulatoryfeeshall notberegardedassuchataxorfee; Launchfeesandmarketingco-opfees; and Unaffiliatedthird-partyadvertisingsalesagencyfeeswhicharereflectedasadeduction fromrevenue. C) TotheextentrevenuesarereceivedbyGranteefortheprovisionofadiscounted bundleofserviceswhichincludesCableServicesandnon-CableServices, Granteeshallcalculate revenuestobeincludedinGrossRevenuesusingamethodologythatallocatesrevenueonapro ratabasiswhencomparingthebundledservicepriceanditscomponentstothesumofthe publishedratecard, exceptasrequiredbyspecificfederal, Stateorlocallaw. Theallocationsshall bedoneforeachbundledpackageseparately, andupdatedandrevisedwithinsixty (60) days, each timeanelementwithinthepackagehasitsratecardchangedincludingwhenanelementis substitutedforanotherelementwithinthebundledpackage. Itisexpresslyunderstoodthat equipmentmaybesubjecttoinclusioninthebundledpriceatfullratecardvalue. TheCityreservesitsrighttoreviewandtochallengeGranteeÓs calculations. D) Granteereservestherighttochangetheallocationmethodologiessetforthherein inordertomeetthestandardsrequiredbyGAAPaspromulgatedanddefinedbytheFinancial AccountingStandardsBoard (ÐFASBÑ), EmergingIssuesTaskForce (ÐEITFÑ) and/ortheU.S. SecuritiesandExchangeCommission (ÐSECÑ). Granteewillexplainanddocumenttherequired changestotheCitywiththenextpaymentreportfollowingsuchchanges, andaspartofanyaudit orreviewofFranchiseFeepayments. IfnewCableServicerevenuestreamsdevelopfrom GranteeÓsoperationofitsCableSystemwithintheCity, thosenewrevenuestreamsshallbe includedwithinGrossRevenues, unlessthepartiesagreeotherwise. E) Resolutionofanydisputesovertheclassificationofrevenueshouldfirstbe attemptedbyagreementoftheParties, butshouldnoresolutionbereached, thePartiesagreethat referenceshallbemadetogenerallyacceptedaccountingprinciples (ÐGAAPÑ) aspromulgated anddefinedbytheFASB, EITFand/ortheSEC. Notwithstandingtheforegoing, theCityreserves itsrighttochallengeGranteeÓscalculationofGrossRevenues, includingtheapplicationofGAAP toFranchiseFeesandtheinterpretationofGAAPaspromulgatedanddefinedbytheFASB, EITF and/ortheSEC. ÐHeadendÑorÐHubÑmeansanyFacilityforsignalreceptionanddisseminationonaCable System, includingcable, antennas, wires, satellitedishes, monitors, switchers, modulators, processorsforBroadcastSignalsorothersignals, andallotherrelatedequipmentand Facilities. ÐInstitutionalNetworkÑmeansthatpartoftheCableSystemfacilitiesorcapacitydesignated forusebynon-residentialSubscribersincludingcommunicationsto, fromandamong governmentagenciesandotherpublicagencies. ÐInterconnectÑorÐInterconnectionÑmeanstheprovisionofelectroniclinkageofCityAccess Channelprogrammingto geographicallycontiguouscablesystemsservedbyGranteeÓs HeadendlocatedintheKitsapCountysystem, includingtechnical, engineering, physical, and othernecessarycomponentstoaccomplish, completeandadequatelymaintainsuch provisioning. ÐLeasedAccessChannelÑmeansanyChannelorportionofaChannelcommerciallyavailable forprogramming inaccordancewithSection612oftheCableAct. ÐLocalOriginationReturnLineÑmeansthesignaltransportsystem, fiberoptic, thatcarries videoandaudiofromremotecontentoriginationlocationstotheAccessOriginationPoint. ÐLocalOriginationSiteÑmeanslocation(s) withinCityÓsfranchisorsboundarieswherelive accessvideoandaudioisgeneratedtobesenttotheAccessOriginationPointforuseinthe Accesschannelprogramming. Locationstypicallyincludebutarenotlimitedto: Cityhalls, schools, libraries, sportscomplexes, etc. CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 ÐLocallyScheduledQualifiedProgrammingÑmeansPublicAccess, GovernmentAccessor EducationalAccessprogrammingthatiscreatedbyorbroadcastbytheCityortheirdesignated accessprovider(s) includingeditedanduneditedcoverageofliveoriginalprogramming. Such LocallyScheduledQualifiedProgrammingshallnotbeconsideredasqualifyingassuchafter three (3) cablecasts (initial, firstrepeatandsecondrepeat). AutomatedVideoProgramming filler, suchascablecastsofhighwaysandroads, orvideobulletinboardsdoesnotconstitute LocallyScheduledQualifiedProgrammingthatqualifiesherein. ÐNoncommercialÑmeans, inthecontextofAccessChannels, thoseparticularproductsand servicesthatarenotpromotedorsold. ThistermshallnotbeinterpretedtoprohibitanAccess Channeloperatororprogrammerfromsolicitingandreceivingcontributionsusedtoproduce andtransmitVideoProgrammingonanAccessChannel, orfromacknowledginga contribution, inthemanneroftheCorporationforPublicBroadcastingorsomesimilarmanner, subjecttoApplicableLaw. ÐNormalBusinessHoursÑmeansthosehoursduringwhichmostsimilarbusinessesinthe communityareopentoserveCustomers. Inallcases, "normalbusinesshours" mustinclude someeveninghoursatleastonenightperweek (MondaythroughFriday) andsomehourson weekends (SaturdayandSunday). ÐNormalOperatingConditionsÑmeansthoseserviceconditionsthatarewithinthecontrolof theGrantee. ThoseconditionsthatarenotwithinthecontroloftheGranteeinclude, butare notlimitedto, naturaldisasters, pandemics, civildisturbances, poweroutages, telephone networkoutages, severeorunusualweatherconditions, andavailabilityofmaterials, equipmentorlabor. ThoseconditionsthatareordinarilywithinthecontroloftheGrantee include, butarenotlimitedto, regularpeakorseasonaldemandperiodsandmaintenanceor upgradeoftheCableSystem. ÐPersonÑmeansanynaturalperson, soleproprietorship, partnership, jointventure, association, orlimitedliabilityentityorcorporation, oranyotherformofentityororganization. ÐQualifiedI-NETUsersÑmeans (i) theCity; (ii) othergovernmentalandpublicagencies, and libraries; and (iii) otherentitiesthatGranteeandCityagreemayusetheI-NET. ÐRights-of-WayÑmeanslandacquiredforordedicatedtothepublicorarehereafteracquired ordedicatedtothepublicandmaintainedunderpublicauthority, includingbutnotlimitedto publicstreetsorroads, highways, avenues, lanes, alleys, bridges, sidewalksandareasbehind sidewalks, easements, andsimilarpublicpropertylocatedwithintheFranchiseArea. ÐSchoolÑmeansanyStateaccreditedK-12publicorprivateeducationalinstitution, locatedin theCity, notincludinghomeschools, prisonsorjails (providedthatstateaccreditedjuvenile schoolswithinprisonsorjailsshallbeincluded). ÐServiceInterruptionÑmeansthelossofpictureorsoundononeormorecableChannels. ÐStandardÑ installationsarethosethatarelocatedupto125aerialfeetorsixty (60) undergroundfeetfromthe existingaccesspointinthedistributionsystemprovidedthatthisdoesnotrequireextensiveboring ortheuseofcostlyconstructionequipment. ÐStateÑmeanstheStateofWashington. ÐSubscriberÑorÐCustomerÑmeansanyPerson (includingthoseunderabulkbillingarrangement) wholawfullyreceivesCableServicesprovidedbyGranteebymeansoftheCableSystemwith Grantee'sexpresspermission. Saidpermissionmaybewithdrawnandcustomerdisconnected byGranteeatGranteeÓsdiscretion. ÐTierÑmeansacategoryofCableServicesprovidedbytheGranteeforwhichaseparaterate ischarged. ÐVideoProgrammingÑmeansprogrammingprovidedby, orgenerallyconsideredcomparable toprogrammingprovidedby, atelevisionbroadcaststation(47U.S.C. Section522(20)). SECTION2. GRANTOFFRANCHISE 2.1Grant A) CityherebygrantstoGranteeanonexclusiveauthorizationtomakereasonable andlawfuluseoftheRights-of-WaywithintheFranchiseAreatoconstruct, operate, maintain, reconstruct, repairandupgradetheCableSystem, subjecttothetermsandconditionssetforth inthisFranchiseandApplicableLaw. ThisFranchiseshallconstitutebotharightandan obligationtoprovideCableServiceandfulfilltheobligationssetforthintheprovisionsofthis Franchise. B) TheGrantee, throughthisFranchise, isgrantedtherighttooperateitsCableSystem usingthepublicRights-of-WaywithintheFranchiseAreaincompliancewithChapter11.01of theBremertonMunicipalCode, asmaybeamendedperiodically, andalllawfullyenacted applicableconstructioncodesandregulations. TheGranteespecificallyagreestocomplywiththe provisionsofCityordinancesprovidedthatintheeventofaconflictbetweentheprovisionsof ordinancesandtheFranchise, theexpressprovisionsoftheFranchiseshallgovern. Subjectto federalandStatepreemption, thematerialtermsandconditionscontained inthisFranchisemay notbeunilaterallyalteredbytheCitythroughsubsequentamendmenttoanyordinance, rule, regulation, resolution, orotherenactmentofCity, exceptinthelawfulexerciseofCityÓspolice power. GranteeacknowledgesthattheCitymaymodifyitsgenerallyapplicableregulatory policiesbylawfulexerciseoftheCityÓspolicepowersthroughoutthetermofthisFranchise. GranteeagreestocomplywithsuchlawfulmodificationsunlessthereisaconflictwithGranteeÓs negotiatedrightshereunder. Granteereservesallrightsitmayhavetochallengesuchlawful modificationswhetherarisingincontractoratlaw. TheCityreservesallofitsrightsanddefenses tosuchchallengeswhetherarisingincontractoratlaw. D) Granteeagrees, asaconditionofexercisingtheprivilegesgrantedbythis Franchise, thatanyAffiliateoftheGranteethatisaCableOperatoroftheCableSysteminthe FranchiseArea, asdefinedherein, ordirectlyinvolvedinthemanagementoroperationofthe CableSystemintheFranchiseArea, willcomplywiththetermsandconditionsofthis Franchise. E) NorightsshallpasstoGranteebyimplication. Withoutlimitingtheforegoing, bywayofexampleandnotlimitation, thisFranchiseshallnotincludeorbeasubstitutefor: 1) Anyothergenerallyapplicablepermitorauthorizationrequiredforthe privilegeoftransactingandcarryingonabusinesswithintheCitythatmayberequiredbythe ordinancesandlawsoftheCity. 2) Anygenerallyapplicablepermit, agreementorauthorizationrequiredby theCityforRights-of-WayusersinconnectionwithoperationsonorinRights-of-Wayor publicproperty; or 3) Anygenerallyapplicablepermitsoragreementsforoccupyinganyother propertyoftheCityorprivateentitiestowhichaccessisnotspecificallygrantedbythis Franchiseincludingwithoutlimitation, permitsforplacingdevicesonpoles, inconduitsorin oronotherstructures. F) ThisFranchiseisintendedtoconveylimitedrightsandinterestsonlyastothose Rights-of-WaysinwhichtheCityhasanactualinterest. Itisnotawarrantyoftitleorinterest inanyRights-of-Way; itdoesnotprovidetheGranteewithanyinterestinanyparticular locationwithintheRights-of-Way; anditdoesnotconferrightsotherthanasexpressly providedinthegranthereof. G) ThisFranchiseauthorizesGranteetoengageinprovidingCableService, asthat termisdefinedin47U.S.C. Sec. 522(6), asamended. NeithertheCitynortheGranteewaiveany rightstheymayhaveunderApplicableLawastothelawfuluseoftheCableSystemforother servicesandtheregulatoryobligationsrelatedtosuchservices. 2.2UseofRights-of-Way A) Granteemayerect, install, construct, repair, replace, reconstruct, andretainin, on, over, under, upon, across, through, belowandalongtheRights-of-Waywithinthe FranchiseArea, suchwires, cables (bothcoaxialandFiberOptic), conductors, ducts, conduit, vaults, manholes, amplifiers, appliances, pedestals, attachmentsandotherpropertyand equipmentasarenecessaryandappurtenanttotheoperationofandprovisionofaCable SystemwithintheFranchiseArea. Granteeshallcomplywithalllawfullyenactedand applicableconstructioncodes, laws, ordinances, regulationsandproceduresregarding placementandinstallationofCableSystemfacilitiesintheRights-ofWay. TheGranteemustin anyeventinstallCableSystemfacilitiesinamannerthatminimizesinterferencewiththeuse oftheRights-of-Waybyothers, includingothersthatmaybeinstallingcommunications facilities. WithinlimitsreasonablyrelatedtotheCityÓsroleinprotectingpublichealth, safety andwelfare, theCitymayrequirethatCableSystemfacilitiesbeinstalledataparticulartime, ataspecificplaceorinaparticularmannerasaconditionofaccesstoaparticularRights-of- Way; maydenyaccessifGranteeisnotwillingtocomplywithCity'srequirements; andmay remove, orrequireremovalof, anyfacilitythatisnotinstalledincompliancewiththe requirementsestablishedbyCity, orthatisinstalledwithoutpriorCityapprovalofthetime, placeormannerofinstallationandchargeGranteeforallthecosts associatedwithremoval; andCitymayrequireGranteetocooperatewithotherstominimizeadverseimpactsonthe Rights-of-Waythroughjointtrenchingandotherarrangements. Granteeshallassumeitscosts inaccordancewithApplicableLaw) associatedwithanyrequirementofCityintheexercise ofitspolicepowers, torelocateitsCableSystemfacilitieslocatedintheRights-of-Way providedthesameisconsistentwithStatelaw. 2.3Term ThisFranchiseisandshallremaininfullforceandeffectforaperiodoften (10) yearsfrom andaftertheeffectivedateofthisOrdinance, subjecttoacceptanceofthisFranchiseby GranteepursuanttoSection20.16. ThisOrdinancemaybeextendedinterm, bymutual consent, andinwritingpursuanttoSection20.16. 2.4 EffectiveDate A) ThisFranchiseandtherights, privileges, andauthoritygrantedhereunderandthe contractualrelationshipestablishedherebyshalltakeeffectandbeinforcefromandafterthe effectivedateofthisFranchiseasspecifiedinthisSectionandforthedurationofthetermas specifiedinSection2.3. B) TheeffectivedateofthisFranchiseshallbetenbusinessdaysafteritsadoption. C) ThegrantofthisFranchiseshallhavenoeffectontheGranteeÓsdutyunderany ordinancesorfranchiseineffectpriortotheEffectiveDateofthisFranchiseoranyeffecton theGranteeÓsdutywhileitcontinuedtobeboundbythetermsandconditionsofsuch ordinancesorfranchisebetweenthetimeoftheexpirationdateofsuchfranchiseuntilthe EffectiveDateofthisFranchisetoindemnifyorinsuretheCityagainstpreviousactsand omissionsoccurringduringtheperiodthatthepriorFranchisewasineffect, norshallithave anyaffectuponliabilitytopayallortopayanyFranchiseFees, capitalcontributions, business andutilitytaxesoranyotherpaymentsdueunderanyordinancesorfranchiseineffectorunder anysuchordinancesorfranchiseunderwhichGranteecontinuedtooperatetheCableSystem intheCitypriortotheEffectiveDateofthisFranchise. 2.5FranchiseNonexclusive CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 ThisFranchiseshallbenonexclusive, andsubjecttoallpriorrights, interests, easements, or franchisesgrantedbyCityoritspredecessorstoanyPersontouseanyproperty, Right-of-Way, easement, includingtherightofCitytousesameforanypurposeitlawfullydeemsfit, including thesameorsimilarpurposesallowedGranteehereunder. Citymayatanytimegrantauthorization tousetheRights-of-WayforanypurposenotincompatiblewithGrantee'sauthorityunderthis FranchiseandforsuchadditionalfranchisesforCableSystems, asCitydeemsappropriate. 2.6 GrantofOtherFranchises A) GranteeacknowledgesandagreesthattheCityreservestherighttograntoneormore additionalcablesystemfranchiseagreementsorothersimilarlawfulauthorizationtoutilize theRights-of-WayinordertoprovideCableServicesorsimilarvideoprogrammingservice withintheCity. IftheCitygrantssuchanadditionalagreementorothersimilarlawful authorizationthatpermitsotherproviderstoutilizetheRights-of-WayforCableServicesor similarvideoprogrammingservicescontainingmaterialtermsandconditionsthatdifferfrom Grantee'smaterialobligationsunderthisFranchiseAgreement, ordeclinestorequiresuch agreementorothersimilarlawfulauthorizationwhereithasthelegalauthoritytodoso, then thepartiesagreethattheobligationsinthisFranchiseAgreementwillbeamendedtoinclude materialtermsorconditionsthatitmakesavailabletothenewentrantwithinninety (90) days oftheGranteeÓsrequest, soastoensurethattheregulatoryandfinancialburdensoneachentity aremateriallyequivalent. ÐMaterialtermsandconditionsÑinclude: franchisefees; insurance; systembuild-outrequirements; securityinstruments; publiceducationandgovernmentAccess Channelsandsupport; customerservicestandards; requiredreportsandrelatedrecordkeeping; andnoticeandopportunitytocurebreaches. Ifanysuchadditionalorcompetitivefranchise isgrantedbytheCitywhich, inthereasonableopinionoftheGrantee, containsmorefavorable orlessburdensometermsorconditionsthanthisFranchise, theCityagreesthatitshallamend thisFranchisetoincludeanymorefavorableorlessburdensometermsorconditionsina mannermutuallyagreeduponbyCityandGrantee. B) Intheeventanapplicationforanewcabletelevisionfranchiseisfiledwiththe CityproposingtoservetheFranchiseArea, inwholeorinpart, theCityshallprovidenotice ofsuchapplication. C) Intheeventthatawirelinecablesystemmultichannelvideoprogramming distributorprovidesvideoservicetotheresidentsoftheCityundertheauthoritygrantedby federalorStatelegislationorotherregulatoryentity, theGranteeshallhavearighttorequest FranchiseamendmentsthatrelievetheGranteeofregulatoryburdensthatcreateacompetitive disadvantagetotheGrantee. Inrequestingamendments, theGranteeshallfileapetition seekingtoamendtheFranchise. Suchpetitionshall: (1) indicatethepresenceofsuchcable systemwirelinecompetitor; (2) identifythebasisforGranteeÓsbeliefthatcertainprovisions oftheFranchiseplaceGranteeatacompetitivedisadvantage; and (3) identifytheregulatory burdenstobeamendedorrepealedinordertoeliminatethecompetitivedisadvantage. The CityshallnotunreasonablywithholdconsenttotheGranteeÓspetition. 2.7FamiliaritywithFranchise CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 TheGranteeacknowledgesandwarrantsbyacceptanceoftherights, privilegesandagreement grantedherein, thatithascarefullyreadandfullycomprehendsthetermsandconditionsofthis Franchiseandiswillingtoanddoesacceptallreasonablerisksofthemeaningoftheprovisions, termsandconditionsherein. TheGranteefurtheracknowledgesandstatesthatithasfullystudied andconsideredtherequirementsandprovisionsofthisFranchise, andfindsthatthesameare commerciallypracticableatthistimeandconsistentwithalllocal, Stateandfederallawsand regulationscurrentlyineffect, includingtheCableAct. 2.8EffectofAcceptance ByacceptingtheFranchise, theGrantee: (1) acknowledgesandacceptstheCity'slegalright toissueandenforcetheFranchiseasallowedunderApplicableLawandregulationaffecting theCableSystem; (2) acceptsandagreestocomplywitheachandeveryprovisionofthis FranchisesubjecttoApplicableLaw; and (3) agreesthattheFranchisewasgrantedpursuant toprocessesandproceduresconsistentwithApplicableLaw, andthatitwillnotraiseanyclaim tothecontrary. 2.9PolicePowers Grantee'srightshereunderaresubjecttothepolicepowersofCitytoadoptandenforce ordinancesnecessarytothesafety, healthandwelfareofthepublic, andGranteeagreesto complywithallApplicableLaws, ordinancesandregulationslawfullyenactedpursuanttothe policepowersofCity, orhereafterenactedinaccordancetherewith, byCityoranyother legallyconstitutedgovernmentalunithavinglawfuljurisdictionoverthesubjectmatterhereof. TheCityreservestherighttoexerciseitspolicepowers, notwithstandinganythinginthis Franchisetothecontrary. SECTION3. FRANCHISEFEEANDFINANCIALCONTROLS 3.1FranchiseFee AscompensationfortheuseofCity'sRights-of-Way, GranteeshallpayasaFranchiseFeeto City, throughoutthedurationofthisFranchise, anamountequaltofivepercent (5 %) of Grantee'sGrossRevenues. AccrualofsuchFranchiseFeeshallcommenceasoftheeffective dateofthisFranchise. 3.2 Payments Grantee'sFranchiseFeepaymentstoCityshallbecomputedquarterlyfortheprecedingcalendar quarterendingMarch31, June30, September30, andDecember31. Eachquarterlypaymentshall bedueandpayablenolaterthanforty-five (45) daysaftersaiddates. 3.3 AcceptanceofPayment NoacceptanceofanypaymentshallbeconstruedasanaccordbyCitythattheamountpaidis, in fact, thecorrectamount, norshallanyacceptanceofpaymentsbeconstruedasareleaseofany claimCitymayhaveforfurtheroradditionalsumspayableorfortheperformanceofanyother obligationofGrantee. TheperiodoflimitationforrecoveryofFranchiseFeespayablehereunder shallbesix (6) yearsfromthedateonwhichpaymentbytheGranteewasdueorsuchshorter periodoftimeifsoprovidedbylaw. Suchreports shallincludeallGrossRevenuesoftheCableSystem. Reportsshallbeprovidednolaterthan 45daysafterthelastdayofthepriorquarteranddeliveredeitherelectronicallyorinhardcopy totheCityÓsFinanceDepartmentcontact. 3.5 Audits Onanannualbasis, uponthirty (30) days' priorwrittennotice, Cityshallhavetherightto conductanindependentauditofGrantee'sfinancialrecordsnecessarytoenforcecompliance withthisFranchiseandtocalculateanyamountsdeterminedtobepayableunderthis Franchise. ProvidedGranteecooperatesinmakingallrelevantrecordsavailableuponrequest, Citywillingoodfaithattempttocompleteeachauditwithinsix (6) months, andtheaudit periodshallnotbeanygreaterthantheprevioussix (6) yearsorsuchshorterperiodoftimeif soprovidedbylaw. AnyadditionalamountsduetotheCityasaresultoftheauditshallbe paidwithinsixty (60) daysfollowingwrittennoticetotheGrantee, andGrantee'sagreement thattheauditfindingsarecorrect, whichnoticeshallincludeacopyoftheauditfindings. Ifa FranchiseFeeunderpaymentisdiscoveredastheresultofanaudit, Granteeshallpay, in additiontotheamountdue, interestatthemaximumallowedrateasprovidedunderStatelaw calculatedfromthedatetheunderpaymentwasoriginallydueuntilthedatetheCityreceives thepayment. IftheauditshowsthatFranchiseFeeshavebeenunderpaid, byfivepercent 5%) ormoreinacalendaryear, Granteeshallpaythecostoftheauditinanamountupto 15,000fortheaudit. 3.6FinancialRecords GranteeagreestomeetwitharepresentativeoftheCityuponwrittenrequesttoreview Grantee'smethodologyofrecord-keeping, financialreporting, thecomputingofFranchiseFee obligationsandotherprocedures, theunderstandingofwhichtheCitydeemsnecessaryfor reviewingreportsandrecordsthatarerelevanttotheenforcementofthisFranchise. Reporting shallbeprovidedonaquarterlyandannualbasis, aspertheFranchise, andshallincludethe CableSystemrevenuesofmulti-familydevelopmentsthatareprovidedservices. 3.7InterestonLatePayments Intheeventanypaymentisnotreceivedwithinforty-five (45) daysfromtheendofthescheduled paymentperiod, Granteeshallpay, inadditiontothepaymentorsumdue, interestfromthedue dateattheprimerateaslistedintheWallStreetJournalonthedatethepaymentwasdue, until thedatetheCityreceivesthepayment. Theperiodoflimitationforrecoveryoffranchisefees payablehereundershallbesix (6) yearsfromthedateonwhichpaymentbytheGranteewasdue. 3.8MaximumFranchiseFee CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 Thepartiesacknowledgethat, atpresent, applicablefederallawlimitsCitytocollectionof a Franchise Fee of five percent (5%) of Gross Revenues in any twelve (l2) monthperiod. In the event that at any time throughout the term of this Franchise, City isauthorized tocollectanamountinexcessoffivepercent (5%) ofGrossRevenuesinanytwelve (l2) month period, thepartiesherebyagreetoamendtheFranchiseafterwrittennoticetoGrantee, anda publicmeetingtodiscusssameprovidedthatallcablesystems in the Franchise Areaover which the City has jurisdiction are treated in anequivalentmanner. Intheeventthatat anytimethroughoutthetermofthisFranchise, Cityislimitedbyfederallawtocollectingan amountwhichislessthanfivepercent (5%) ofGrossRevenuesinanytwelve (l2) month period, GranteemayreducetheFranchiseFeepaymentstotheCityinaccordancewithfederal lawandthepartiesherebyagreetoamendtheFranchiseunlesstheCitywouldbecovered undergrandfatheredprovisionsunderfederallawtokeeptheFranchiseFeeat5% ofGross Revenues. 3.9AdditionalCommitmentsNotFranchiseFees TheAccesscapitalcontributionpursuanttoSection9.7, aswellasanychargesincidentaltothe awardingorenforcingofthisFranchise (including, withoutlimitation, paymentsforbonds, securityfunds, lettersofcredit, insurance, indemnification, penaltiesorliquidateddamages) and GranteeÓscostsofcompliancewithFranchiseobligationsregardingcompliancewithcustomer servicestandardsandbuildoutrequirementsshallnotbeoffsetagainstFranchiseFees. Furthermore, theCityandGranteeagreethatanylocaltaxofgeneralapplicabilityshallbein additiontoanyFranchiseFeesrequiredherein, andthereshallbenooffsetagainstFranchiseFees. Notwithstandingtheforegoing, Granteereservesallrightstooffsetcashornon-cashconsideration orobligationsfromFranchiseFees, consistentwithApplicableLaw. TheCitylikewisereserves allrightsithasunderApplicableLaw. ShouldGranteeelecttooffsettheitemssetforthherein, or otherFranchisecommitmentsagainsttheFranchiseFeesinaccordancewithApplicableLaw, includinganyOrdersresultingfromtheFCC, GranteeshallprovidetheCityadvancewrittennotice anduptoonehundred-twenty (120) daystomakeanelectionastoanoffsetfromFranchiseFees ormodificationoftheobligationassetforthinApplicableLawbyamendmentofthisFranchise. CityÓsfailuretodeterminesuchoffsetoracttoamendthisFranchiseshallnotprecludeGrantee fromfollowingthroughonitsoffsetnoticetotheCity. Nothinginthissectionshallbeconstrued toprohibittheCityfromchallengingGranteeÓsoffsetcostcalculationsforconsistencywith ApplicableLaw. ShouldtheCitychallengeanyoffsetcostcalculationsimposedbyGranteefor signalcarriageorforreturnlinemaintenancecostsunderSection9.8, Granteeagreestocontinue tocarrytheCityÓssignalpendingfinalresolutionofthematter. 3.10 PaymentonTermination IfthisFranchiseterminatesforanyreason, theGranteeshallfilewiththeCitywithinonehundred twenty (120) calendardaysofthedateofthetermination, afinancialstatement, certifiedbyan independentcertifiedpublicaccountant, showingtheGrossRevenuesreceivedbytheGrantee sincetheendofthepreviousfiscalyear. Withinforty-five (45) daysofthefilingofthecertified statementwiththeCity, Granteeshallpayanyunpaidamountsasindicated. IftheGranteefails tosatisfyitsremainingfinancialobligationsasrequiredinthisFranchise, theCitymaydosoby utilizingthefundsavailableinaLetterofCreditorothersecurityprovidedbytheGrantee. 3.11AdditionalCompensation IntheeventthatFranchiseFeesareprohibitedbyanylaworregulation, Granteeshallpayto theCitythatamount, ifany, whichisdeterminedbyApplicableLaw. SECTION4. ADMINISTRATIONANDREGULATION Cityshallbevestedwiththepowerandrighttoadministerandenforcetherequirementsofthis FranchiseandtheregulationsandrequirementsofApplicableLawincludingtheCableAct, or todelegatethatpowerandrightofadministration, oranypartthereof, totheextentpermitted underfederal, Stateandlocallaw, toanyagentinthesolediscretionoftheCity. 4.1RatesandChargesandCustomerCommunication AllofGranteeÓsratesandchargesrelatedtoorregardingCableServicesshallbesubjectto regulationbytheCitytothefullextentauthorizedbyapplicablefederal, State, andlocallaws. 4.2NoRateDiscrimination AllGranteeratesandchargesshallbepublished (intheformofapublicly-availableratecard), andshallbenon-discriminatoryastoallPersonsofsimilarclasses, undersimilar circumstancesandconditions, totheextentrequiredbyApplicableLaw. Granteeshallapply itsratesinaccordancewithgoverninglaw. Nothinghereinshallbeconstruedtoprohibit: A) Thetemporaryreductionorwaivingofratesorchargesinconjunctionwith promotionalcampaigns; B) TheofferingofreasonablediscountstosimilarlysituatedPersons; C) TheofferingofratediscountsforeitherCableServicegenerally; or D) TheofferingofbulkdiscountsforMultipleDwellingUnits. 4.3FilingofRatesandCharges ThroughoutthetermofthisFranchise, GranteeshallmaintainonfilewithCityacomplete scheduleofapplicableratesandchargesforCableServicesprovidedunderthisFranchise. NothinginthissubsectionshallbeconstruedtorequireGranteetofileratesandchargesunder temporaryreductionsorwaiversofratesandchargesinconjunctionwithpromotional campaigns. 4.4TimeLimitsStrictlyConstrued WheneverthisFranchisesetsforthatimeforanyacttobeperformedbyGrantee, suchtime shallbedeemedtobeoftheessence, andanyfailureofGranteetoperformwithintheallotted timemaybeconsideredabreachofthisFranchise. B) Allevaluationsessionsshallbeopentothepublicandannouncedatleastone weekinadvanceinanewspaperofgeneralcirculationintheFranchiseArea. C) Topicsthatmaybediscussedatanyevaluationsessionmayincludethoseissues surroundingGranteeÓsfailuretocomplywiththetermsoftheFranchiseprovidedthatnothing inthissubsectionshallbeconstruedasrequiringtherenegotiationofthisFranchiseorany termorprovisionthereinandfurtherprovidedthatthissubsectionneednotbefollowedbefore otherlegalorequitableremedieswithinthisFranchise. 4.6LeasedAccessChannelRates Uponrequest, Granteeshallprovideacompletescheduleofcurrentratesandchargesforany andallLeasedAccessChannels, orportionsofsuchChannels, providedbyGrantee. 4.7LateFees A) Forpurposesofthissubsection, anyassessment, charge, cost, feeorsum, however, characterized, thattheGranteeimposesuponaSubscribersolelyforlatepaymentof abillisalatefeeandshallbeappliedinaccordancewithApplicableLaw. B) TheGranteeÓslatefeeanddisconnectionpoliciesandpracticesshallbe nondiscriminatory, andsuchpoliciesandpractices, andanyfeesimposedpursuanttothis subsection, shallapplyequallyinallpartsoftheCitywithoutregardtotheneighborhoodor incomelevelofthesubscribers. SECTION5. FINANCIALANDINSURANCEREQUIREMENTS 5.1 Indemnification A)GeneralIndemnification. Grantee, atitssolecostandexpense, shallindemnify, defendandholdCity, itsofficers, officials, boards, commissions, agents, representatives, and employees, harmlessfromanyactionorclaimforinjury, damage, loss, liability, settlement, proceeding, judgment, orcostorexpense, includingcourtandappealcostsandattorneys' fees andexpenses, arisingfromanycasualtyoraccidenttoPersonorproperty, including, without limitation, copyrightinfringement, defamation, andallotherdamagesinanywayarisingout of, orbyreasonof, anyconstruction, excavation, erection, operation, maintenance, repairor reconstruction, oranyotheractdoneunderthisFranchise, byorforGrantee, itsauthorized agents, orbyreasonofanyneglectoromissionofGranteeitsauthorizedagentsorits employeesandGranteeÓsacts, errors, omissions, conduct, activity, orwork arisingfromor inconnectionwiththisFranchiseAgreement. Granteeshallconsultandcooperatewiththe CitywhileconductingitsdefenseoftheCity. SubjecttoApplicableLaw, Granteeshall indemnifyCityforanydamages, claims, additionalcosts, orexpensespayablebyCitydirectly orindirectlyrelatedto, arisingsolelyoutoforresultingsolelyfromGranteeÓsfailuretoproperly install, remove, adjustorrelocateanyofitsfacilitiesinthestreetsinaccordancewithanylawful relocationrequiredbyCity. C) AdditionalCircumstances. Granteeshallalsoindemnify, defendandholdCity harmlessforanyclaimforinjury, damage, loss, liability, costandexpense, includingcourtand appealcostsandattorneys' feesandexpensesinanywayarisingoutofanyfailurebyGranteeto secureconsentsfromtheowners, authorizeddistributorsorfranchisees/licensorsofprogramsto bedeliveredbytheCableSystem, providedhowever, thatGranteewillnotberequiredto indemnifytheCityforanyclaimsarisingoutoftheuseofAccessChannelsbytheCityand/orits DesignatedAccessProvidersorusebytheCityoftheEmergencyAlertSystem. D) ProceduresandDefense. Ifaclaimoractionarises, Cityshalltenderthedefense oftheclaimoractiontoGrantee, whichdefenseshallbeatGrantee'sexpense. Citymay participateinthedefenseofaclaimand, inanyevent, Granteemaynotagreetoanysettlement ofclaimsfinanciallyaffectingCitywithoutCity'swrittenapprovalthatshallnotbe unreasonablywithheld. E) DutyofDefense. ThefactthatGranteecarriesoutanyactivitiesunderthis Franchisethroughindependentcontractorsshallnotconstituteanavoidanceofordefenseto Grantee'sdutyofdefenseandindemnificationunderthisSection. F) DutytoGiveNotice. TheCityshallgivetheGranteetimelywrittennoticeof anyclaimorofthecommencement ofanyaction, suitorotherproceedingcoveredbythe indemnityinthisSection. G) SeparateRepresentation. Ifseparaterepresentationtofullyprotecttheinterests ofbothpartiesisnecessary, suchasaconflictofinterestbetweentheCityandthecounsel selectedbyGranteetorepresenttheCity, Granteeshallselectothercounselwithoutconflict ofinterestwiththeCity. H) ConcurrentNegligence. Shouldacourtofcompetentjurisdictiondeterminethat aparticularactivityconductedunderthisFranchiseissubjecttoRCW4.24.115, thisSection 5.1 (H) shallapply. Whereliabilityfordamagesarisingoutofbodilyinjurytopersons, death, ordamagestopropertyiscausedbyorresultingfromtheconcurrentnegligenceoftheGrantee andtheCity, GranteeÓsliabilityshallbeonlytotheextentofGranteenegligence. I) Itisfurtherspecificallyandexpresslyunderstoodthattheindemnification providedhereinconstitutesGranteeÓswaiverofimmunityunderIndustrialInsurance, Title51 RCW, solelyforpurposesofthisindemnification. Thiswaiverhasbeenmutuallynegotiated bytheparties. Theprovisionsofthissectionshallsurvivetheexpirationorterminationofthis agreement. Granteeshall, atitsownexpense, purchaseandmaintain theminimuminsurancerequiredhereinwithcompaniesdulylicensedtoissueinsuranceinthe StateofWashingtonpossessingacurrentA.M. Best, Inc. RatingofAVIIorbetterandshall maintaininfullforceandeffectatitsowncostandexpenseeachofthefollowingpoliciesof insurance: 1) CommercialGeneralLiabilitycoverageforbodilyinjury, personal injury, andpropertydamagewithlimitsofnolessthanfivemilliondollars ($5,000,000) per occurrence. Thegeneralaggregatelimitshallbenolessthanfivemilliondollars ($5,000,000). SuchinsuranceshallnametheCity, theCityÓsofficers, officials, boards, commissions, agents, representatives, volunteersandemployeesasadditionalinsureds. 2) CommercialAutomobileLiabilityInsurancewithminimumcombined singlelimitsofatleastfivemilliondollars ($5,000,000) eachoccurrenceandfivemilliondollars 5,000,000) aggregatewithrespecttoeachofGranteeÓsowned, hiredandnon-owned, orany othervehiclesassignedtoorusedinanyactivitiesauthorizedunderorusedinconjunctionwith thisFranchise. 3)EmployerÓsLiabilitywithlimitsofatleastonemilliondollars 1,000,000). 5) WorkersÓCompensationinsuranceshallbemaintainedduringthelifeof thisFranchisetocomplywithStatelawforallemployees. TheamountslistedabovearetheminimumdeemednecessarybyCitytoprotectCityÓs interestsinthismatter. CityhasmadenorecommendationtotheGranteeastotheinsurance necessarytoprotectGranteeÓsinterestsandanydecisionbytheGranteetocarryornotcarry insuranceamountsinexcessoftheaboveissolelythatoftheGrantee. Granteeshallbe responsibleforjudgments, settlements, damages, costs, attorneysÓfeesandexpensesthat exceedlimitsofGranteeÓsinsurancecoverage. B) Eachpolicyshallprovidethattheinsuranceshallnotbecanceledorterminated soastobeoutofcompliancewiththeserequirementswithoutforty-five (45) daysÓwritten noticefirstprovidedtotheCityviamail, andten (10) daysÓnoticefornonpaymentofany premium. Iftheinsuranceiscanceledorterminatedormateriallydiminishedsoastobeoutof compliancewiththerequirementsofthisFranchise, Granteeshallprovideareplacementpolicy. Granteeagreestomaintaincontinuousuninterruptedinsurancecoverage, inatleasttheamounts required, untilallworkrequiredtobeperformedunderthetermsofthisFranchiseissatisfactorily completedand, intheeventanyinsurancepolicyrequiredbythisFranchiseshallbewrittenona claimsmadebasis, GranteeagreestokeepsuchpolicyinplaceaswellasCommercialGeneral LiabilityInsurance, foratleastone (1) yearpastcompletionandacceptanceofGranteeÓsworkor servicesandoneyearbeyond expirationorterminationofthisFranchise. AnyfailureofGrantee tocomplywiththeclaimreportingprovisionsofthepolicy(ies) oranybreachofaninsurance policywarrantyshallnotaffectcoverageaffordedunderthepolicytoprotecttheCity. Allinsurancepolicies, exceptWorkersCompensation, shallcontainawaiveroftransferrights ofrecovery (subrogation) againstCity, itsofficers, officials, agents, andemployeesforany claimsarisingoutofGranteeÓsworkorservice. Granteesolelyshallberesponsiblefor deductiblesand/orself-insuredretention, andCity, atitsoption, mayrequireGranteetosecure thepaymentofsuchdeductibleorself-insuredretentionbyasuretybondoranirrevocable LetterofCredit. C) Endorsements. 1) Allpoliciesshallcontain, orshallbeendorsedsothat: a) TheCity, andtheCityÓsofficers, officials, boards, commissions, agents, representatives, andemployeesaretobecoveredas, andhavetherightsof, additional insuredswithrespecttoliabilityarisingoutofactivitiesperformedby, oronbehalfof, Grantee underthisFranchiseorApplicableLaw, orintheconstruction, operation, upgrade, maintenance, repair, replacementorownershipoftheCableSystem; b) Grantee'sinsurancecoverageshallbeprimaryinsurancewith respecttotheCity, CityCouncilandtheCityÓsofficers, officials, boards, commissions, agents, andemployees. Anyinsuranceorself-insurancemaintainedbytheCity, CityCouncilandthe CityÓsofficers, officials, boards, commissions, agents, representatives, volunteersor employeesshallbeinexcessoftheGrantee'sinsuranceandshallnotcontributetoit, provided theoccurrencearisesoutofGrantee'sacts, omissionsornegligence; and c) Grantee'sinsuranceshallapplyseparatelytoeachinsuredagainst whomaclaimismadeorlawsuitisbrought, exceptwithrespecttothelimitsoftheinsurer's liability. D) VerificationofCoverage. TheGranteeshallfurnishtheCitywithcertificatesof insuranceandanendorsementreflectingadditionalinsuredstatus. Thecertificatesforeach insurancepolicyshallbesignedbyfacsimilesignatureofapersonauthorizedbytheinsurer tobindcoverageonitsbehalf. Thecertificatesforeachinsurancepolicyaretobeonstandard formsorsuchformsasareconsistentwithstandardindustrypractices, andaretobereceivedand approvedbytheCityatthetimeofacceptanceofthisFranchisebyGranteewithexistinginsurance coveragetobemaintainedbyGranteeuntilthatdate. TheGranteeherebywarrantsthatits insurancepoliciessatisfytherequirementsofthisFranchise. 5.3Security CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 A) Granteeshallprovideaperformancebondintheamountoftwenty-fivethousand dollars ($25,000) toensurethefaithfulperformanceofitsresponsibilitiesunderthisFranchise andApplicableLaw, including, bywayofexampleandnotlimitation, itsobligationsto relocateandremoveitsfacilitiesandtorestoreCityRights-of-Wayandotherproperty. Granteemayberequiredtoobtainadditionalbonds, suchasgenerallyapplicableconstruction bonds, inaccordancewiththeCity'sordinarypractices. Theconstructionbondand performancebondshallbeinastandardindustryform. Granteeshallpayallpremiumsor costsassociatedwithmaintainingthebond(s), andshallkeepthesameinfullforceandeffect atalltimes. Exceptasexpresslyprovidedherein, theGranteeshallnotberequiredtoobtain ormaintainotherbondsasaconditionofbeingawardedtheFranchiseorcontinuingits existence. B) Thebondshallnotbecancelledormateriallyalteredsoastobeoutofcompliance withtherequirementsofthisSectionwithoutforty-five (45) dayswrittennoticefirstbeinggiven toCity. Ifthebondiscancelledormateriallyalteredsoastobeoutofcompliancewiththe requirementsofthisSectionwithinthetermofthisFranchise, Granteeshallprovideareplacement bond. C) IfthereisuncuredbreachbyGrantee ofamaterialprovisionofthisFranchise orpatternofrepeatedviolationsofanyprovision(s) ofthisFranchise, thentheCitymayrequest andGranteeshallestablishandprovidewithinthirty (30) daysfromreceivingnoticefromthe City, totheCityassecurityforthefaithfulperformancebyGranteeofalloftheprovisionsof thisFranchise, aletterofcreditfromafinancialinstitutionsatisfactorytotheCityinthe amountoftwenty-fivethousanddollars ($25,000). D) AfterthegivingofnoticebytheCitytoGrantee, andexpirationofany applicablecureperiod, theletterofcreditmaybedrawnuponbytheCityforpurposesthat include, butarenotlimitedtothefollowing: 1) FailureofGranteetopaytheCitysumsdueunderthetermsofthis Franchise; 2) ReimbursementofcostsbornebytheCitytocorrectFranchiseviolations notcorrectedbyGrantee; and 3) LiquidateddamagesassessedagainstGranteeasprovidedinthis Franchise. E) TheCityshallgiveGranteewrittennoticeofanywithdrawalunderthis subsectionuponsuchwithdrawal. Withinten (l0) daysfollowingreceiptofsuchnotice, GranteeshallrestoretheletterofcredittotheamountrequiredunderthisFranchise. Grantee's maintenanceoftheletterofcreditshallnotbeconstruedtoexcuseunfaithfulperformanceby GranteeorlimittheliabilityofGranteetotheamountoftheletterofcreditorotherwiselimit theCity'srecoursetoanyotherremedyavailableatlaworinequity. G) GranteeshallhavetherighttoappealtotheCityCouncilforreimbursementin theeventGranteebelievesthattheletterofcreditwasdrawnuponimproperly. Aftera determinationbytheCityCouncil, Granteeshallalsohavetherightofjudicialappealif Granteebelievestheletterofcredithasnotbeenproperlydrawnuponinaccordancewiththis Franchise. AnyfundstheCityerroneouslyorwrongfullywithdrawsfromtheletterofcredit shallbereturnedtoGranteewithinterest, fromthedateofwithdrawalatarateequaltotheprime rateofinterestasquotedintheWallStreetJournal. SECTION6. CUSTOMERSERVICE 6.1 CustomerServiceStandards GranteeshallcomplywithCustomerServiceStandardsasprovidedinFCCStandards47C.F.R. Sections76.309, 76.1602, 76.1603and76.1619.TheCityreservesitsrighttoamendcustomer servicestandardsunderitspolicepowersandfederallaw. IftheCityintendstoexercisethis right, itwillenterintodiscussionswithGranteepriortosuchamendments. A) Granteeshallmaintaina, toll-freetelephoneaccesslinewhichwillbeavailableto itsCustomers24hoursaday, sevendaysaweek. B) Trainedcustomerservicerepresentatives (CSR) willbeavailabletorespondand resolvecustomerserviceinquiriesandrequestsforserviceduringNormalBusinesshours. C) Lessthanthreepercent (3%) ofcustomerservicecallsansweredduringnormal operatingconditionsandbusinesshourswillreceiveabusysignal. D) ExcludingconditionsunderSection20.12ofthisFranchise, Granteewillbegin respondingtoÐserviceinterruptionsÑnolaterthan3hoursaftertheserviceinterruptionbecomes knowntotheGrantee. E) Granteemustbeginactionstocorrectotherserviceproblemsthenextbusiness dayafternotificationoftheserviceproblem. F) ComplaintstotheCity. AnyCustomerwhoisdissatisfiedwithanyproposed decisionofGranteeorwhohasnotreceivedadecisionwithinthethirty (30) dayperiodas requiredwithrespecttoanunresolvedcomplaintshallbeentitledtohaveawrittencomplaint reviewedbytheCityoritsdesignee. 1) TheCustomermayinitiatethereviewbyfilingawrittencomplaint togetherwithGranteeÓswrittendecision, ifany, withtheCity. Sixty 60) dayspriortoanyclosureofsuchCustomerservicelocation, theCityandtheGrantee agreetomeettodiscussanyprospectiveclosure. One (1) copyof allreportsandrecordsrequiredunderthisoranyothersubsectionshallbefurnishedtothe City, atthesoleexpenseofGrantee. Iftherequestedbooksandrecordsaretoovoluminous, orforsecurityreasonscannotbecopiedorremoved, thenGranteemayrequirethattheCityor itsdesigneeinspectthematGranteeÓslocaloffices. ThroughoutthetermofthisFranchise, theGranteeagrees thattheCity, uponreasonablepriorwrittennoticetotheGrantee, mayreviewsuchofthe GranteeÓsbooksandrecordsregardingtheoperationoftheCableSystemandtheprovisionof CableServiceintheFranchiseAreawhicharereasonablynecessarytomonitorGranteeÓs compliancewiththeprovisionsofthisFranchiseattheGranteeÓsbusinessoffice, during normalbusinesshours, andwithoutunreasonablyinterferingwithGranteeÓsbusiness operations. Suchbooksandrecordsshallincludeanyrecordsrequiredtobekeptinapublic filebytheGranteepursuanttotherulesandregulationsoftheFCC. ThroughoutthetermoftheFranchise, GranteeshallmeetwiththeCityonanannualbasis uponfifteen (15) dayspriorwrittennoticefromCity. SECTION8. PROGRAMMING 8.1BroadProgrammingCategories Granteeshallprovideatleastthefollowinginitialbroadcategoriesofprogrammingtothe extentsuchcategoriesarereasonablyavailable. GranteeshallinformitsSubscribersoftheavailabilityofthe lockoutdeviceatthetimeoftheirinitialsubscriptionandperiodicallythereafter. AtsuchtimeastheGranteeelects todiscontinuetheprovisionofcomplimentaryservices, theGranteeagreesthatitwilldoso onlyafterprovidingtheCitywithatleastonehundredtwenty (120) daysÓpriorwrittennotice. SuchnoticeshalldocumenttheproposedoffsetorservicechargessothattheCitycanmake aninformeddecisionastowhethertokeeptheservices. UponwrittennoticefromtheGrantee, theCityshallbegiventhefullonehundredtwenty (120) daystoreviewthelistofoutlets receivingcomplimentaryserviceandshallhavetherighttodiscontinuereceiptofallora portionoftheoutletsreceivingcomplimentaryserviceprovidedbytheGranteeintheevent theGranteeelectstodiscontinuetheprovisionofcomplimentaryserviceassetforthherein. In theeventfederallawisoverturnedinwholeorinpartbyCongressionalaction, theFCCor throughjudicialdecision, bothpartieswillmeetpromptlytodiscusswhatimpactsuchaction hasontheprovisionofin-kindcable-relatedservicesunderthissubsection. PUBLIC, EDUCATIONALANDGOVERNMENTALACCESS 9.1AccessChannels A) UpontheeffectivedateofthisFranchise, theGranteehasandwillprovidetheCity withone (1) standarddefinition (SD) formatAccessChannel, forGovernment, Educationaland PublicAccessandregionalAccessprogramming, forSubscriberswithintheFranchiseArea. The SDAccessChanneliscurrentlybeingprogrammedbytheCityandlocatedonChannel12. Upon theactivationofthenewSimulcasthighdefinition (HD) AccessChannelundersubsection9.1(B), theGranteeshallmaintaintheCityÓsSDAccessChannelonChannel12andtheHDAccess ChannelwithintheFranchiseArea. TheCityshallhavetheright, butnottheobligation, atany timetomakeuseofthechannelcapacityprovidedforinthisFranchiseforpurposesofPublic, EducationalandGovernmentAccessandregionalAccessprogramming. TheGranteeshallinclude appropriatedesignationforthePEGChannelsonchannelcardsandotherchannellistings. GranteewillprovideCitywithaminimumofseven (7) daysÓwrittennoticeofany changestoengineeringstandards. 4) TheGranteeshallberesponsibleforallcapitalengineeringcostsassociated withfulfillingtherequesttoactivatethesimulcastHDAccessChannel. 5) TheCityoranyDesignatedAccessProvidershallberesponsiblefor acquiringallequipmentnecessarytoproduceprogramminginHDandSD. 6) ForpurposesofthisFranchise, anHDSignalreferstoatelevisionsignal deliveringpictureresolutionof1080i, orsuchothergreaterresolutioninthesamerangethat Granteeutilizesforothersimilarnon-sport, non-movieprogrammingchannelsontheCable System. 7) TheCityacknowledgesthatthesimulcastHDAccessChannelwillbe availableonlytothoseSubscribers whoelecttosubscribetoGranteeÓsHDCableService, receive orhaveaHDset-topconverter, andpayallfeesassociatedtherewith. 8) GranteeshallhavesolediscretiontodeterminetheChannelplacementof thesimulcastHDAccessChannelwithinitshigh-definitionchannelline-upbutshallendeavorto locateitnearothersimilarchannels. 9) AtsuchtimeastheHDAccessChannelisactivated, theCityand/or DesignatedAccessProviderwillprovideanHDAccessChannelsignalinasinglehighdefinition format. Atthattime, GranteewilltransmittheHDsignalontheHDAccessChannelandalso down-converttheHDsignalforsimultaneousadditionaltransmissionontheSDAccessChannel. 9.2 AdditionalAccessChannel PursuanttoSection9.1 (AccessChannels), theCitymayrequireGranteetomakeavailableone 1) additionalactivatedSDandsimulcastHDAccessChannelwhenrequestedbytheCity. Grantee shallmakeavailable, withinninety (90) daysofreceivingwrittenrequest, theadditionalAccess Channelontheline-upforAccessProgrammingpurposes. TheSecondAccessChannelwillbe governedbythesame (rulesandcriteria) asfoundthroughoutSection9. 9.3ManagementandControlofAccessChannels A) CitymayauthorizeDesignatedAccessProviderstocontrol, operate, and managetheuseofanyandallAccessfacilitiesprovidedbyGranteeunderthisFranchise, including, withoutlimitation, theoperationofAccessChannels. TheCityoritsdesigneemay formulaterulesfortheoperationoftheAccessChannels, consistentwiththisFranchise, the FCC, federalandStatelaw. NothinghereinshallprohibittheCityfromauthorizingitselfto beaDesignatedAccessProvider. B) GranteeshallcooperatewithCityandDesignatedAccessProvidersintheuse oftheCableSystemandAccessfacilitiesfortheprovisionofAccessChannels. C) BothpartiesrecognizeBremertonKitsapAccessTelevision (BKAT) asthe DesignatedAccessProviderthatisownedbytheCityandmaintainstheCityÓsAccess programmingaswellasotherjurisdictionsÓAccessprogrammingwithinKitsapCountythat areservedbytheGrantee. B) ThepartiesagreethatitistheresponsibilityoftheCityand/ortheirDesignated AccessProvider(s) toprovideaqualityAccesssignaltotheGranteeatthepointofdemarcation, whichmeetsorexceedstheFCCtechnicalstandards. Inadditiontotheforegoing, theGrantee agreesthatitwilldelivertoSubscribersanAccesssignal, including, butnotlimitedto, closed captioning, stereoaudio, andotherelementsassociatedwiththeprogramming, ofthesamequality itreceivesfromtheCityorDesignatedAccessProvider(s) withoutdegradationandinaccordance withtheFCCtechnicalstandards. TheGranteeshallnotunreasonablydiscriminateagainstAccess Channelswithrespecttoaccessibilityandfunctionality. ThereshallbenorestrictiononGranteeÓs technologyusedtodeployanddeliverSDorHDsignalssolongastherequirementsofthe Franchiseareotherwisemet. FCCRulesandRegulationsandgenerallyacceptedindustry technicalstandardsshallbeusedforalltestingandassessmentofqualityunderthissubsectionfor theSDAccessChannelandHDAccessChannel. IntheeventtheCitybelievesthatGranteefails tomeetthesestandards, theCitywillnotifyGranteeofsuchconcern, andGranteewillrespondto andtakediligentstepstocorrectanysignalqualityissueswithinseven (7) daysafterreceivingthe writtennotice, orsoonthereafterasreasonablypracticabletoeffectuatearesolution. C) TheGrantee, atitscostandexpense, shallprovideHeadendequipmentand routinemaintenanceandrepairandreplacesuch, ifnecessary, andanyotherofGranteeÓs equipmentrequiredtocarrytheAccesssignaltoandfromtheCityÓsandBKATÓsAccess originationpointsandtheGranteeÓsHeadendfortheAccessChannels. Additionally, changestotheCableSystem thatmaydirectlyorindirectlyimpacttheaccesschannel(s) willbeaccompaniedbynoticesentto theCityofBremertonandBKATmanagerwithinseven (7) daysofthechange. GranteeshallprovidetotheCityaminimumofsixty (60) daysnotice, anduseitsbestefforts toprovideninety (90) daysnotice, priortoanyrelocationofitsAccessChannels, unlessthe changeisrequiredbyfederallaw, inwhichcaseGranteeshallgivetheCitythemaximum noticepossible. InconnectionwiththemovementofanyoftheCitycontrolledAccess Channel, Grantee, atGranteeÓscostandexpense, shallprovideabillmessageonSubscriberÓs bills, ifrequestedbytheCity. 9.6AccessInterconnections GranteeshallcontinuetomaintainexistingInterconnectwiththeadjacentcablesystemnot ownedoroperatedbyGranteeoranAffiliateofGranteeuntiltheMUX (Fiber-Optic Multiplexer) systemhasbeencompletedasperSection9.8. 9.7SupportforAccessCapitalCosts A) Withinthirty (30) daysoftheEffectiveDateofthisFranchise, theGranteeshall collectandremittotheCityanAccessFeeforpublic, educationalandgovernmentaccess capitalexpenditures. ThisAccessFeeshallbeanamountof0.8 % ofGrossRevenuesper month. BothpartiesrecognizethatthepertinentprovisionsoutlinedinSection3shallapply toAccessFeepaymentsrequiredherein. B) TheAccessFeemaybeusedforcapitalpurposesonlyandnotforoperations unlessthereisachangeinApplicableLawwhichpermitsAccessFeestobeusedfor operations. B) Granteeatitscostandexpense, asperApplicableLaw, utilizinganytechnological solutionacceptabletobothGranteeandtheCity, shallreconfigurethelocalfiberoriginationline fromtheLocalOriginationSitelocatedwithintheNormDicksGovernmentCentersoasto terminateattheAccessOriginationPointlocatedat7266TibardisRd. Saidsolutionshall bedesignedandimplementedtoprovideandmaintaintheCityÓsAccessreturnlineandallAccess signalsofBKATÓspartnerjurisdictions. C) TheCityshallberesponsibleforpurchasingandmaintaininganyendpointfiber optictransmissionandreceivingequipmentatNormDicksGovernmentCenterandtheAccess OriginationPoint. Granteeshallberesponsibleforpurchasingandmaintaininganyintermediate equipmentbetweentheCityÓstransmitterandreceiverendpointsandtheGranteeÓsHeadend. D) NosoonerthansixmonthsaftertheEffectiveDateofthisFranchise, theMUX Fiber-OpticMultiplexer) systemprojectworkshallbecompletedwithin60daysafterwritten requestbytheCity. E) UponwrittenrequestoftheCity, Granteeshallconstructandmaintainadditional fiber-opticreturnconnectivityfromtheCitytootherlocationswithintheFranchiseArea, for thepurposeofdeliveringAccessprogrammingtotheCity. Allreturnconnectivityengineering andconstructioncostsforadditionalfiberopticconnectivityshallbepaidbytheCityatacost mutuallyagreedtobetweentheCityandGranteepriortobeginningconstruction, andshallbe completedwithinamutuallyagreedschedule, followingCity'sacceptanceofGrantee's estimatedcost. GranteemustsubmittoCity, allrequestedestimates, within180daysofrequest date, andCitymustrespond, toGrantee, withacceptanceorrefusalwithin180daysofdateof estimate. Granteemayrequirethatareasonabledepositforthecostofengineeringforan estimatedprojectcostbepaidinadvance. F) AftersatisfactorycompletionofworkrequestedbytheCityforwhichtheCityis toreimbursetheGranteeanduponsubmissionbyGranteeofaproperinvoiceforpaymentofthe costreasonablyincurredandaccompaniedbysuchevidenceinsupportthereof, theCityagreesto makepaymentforthecostreasonablyincurreduptotheestimatedcostforthework; provided, however, thatallpaymentsshallbesubjecttoadjustmentforanyamountfounduponauditor otherwisetohavebeenimproperlyinvoiced. Allworkshallbeperformedinacost-effective mannertominimizethecoststotheCity. SECTION10. GENERALRIGHT-OF-WAYUSEANDCONSTRUCTION 10.1 Construction A) Granteeshallperformallmaintenance, construction, repair, upgradeand reconstructionnecessaryfortheoperationofitsCableSysteminaccordancewithApplicable Laws, regulations, ordinancesandprovisionsofthisFranchise. Totheextentpracticableand economicallyfeasible, GranteeÓsconstructionandlocationofitsfacilitiesshallbeofminimal impacttoCitystreetsandsidewalkslocatedwithintheRights-of-Way. Allconstructionand maintenanceofanyandallofGrantee'sfacilitieswithinRights-of-Wayshall, regardlessof whoperformstheconstruction, beandremainGrantee'sresponsibility. C) GranteemaymakeexcavationsinRights-of-Wayforanyfacilityneededforthe maintenanceorextensionofGrantee'sCableSystem. Priortodoingsuchwork, Granteeshall applyfor, andobtain, appropriatepermitsfromCity, andgiveappropriatenoticestoCity, and Granteeshallpayallapplicablefeesuponissuanceoftherequisiteconstructionpermitsby CitytoGrantee. Asaconditionofanypermitssoissued, Cityofficialsmayimposesuch conditionsandregulationsasarenecessaryforthepurposeofprotectinganystructuresinsuch Rights-of-Way, properrestorationofsuchRights-of-Wayandstructures, protectionofthe publicandthecontinuityofpedestrianandvehiculartraffic. Wheneveritispossibleand reasonablypracticabletojointtrenchorshareboresorcuts, Granteeshallworkwithother providers, licensees, permitteesandfranchiseessoastoreducesofaraspossiblethenumber ofRights-of-WaycutswithintheFranchiseArea. D) Intheeventthatemergencyrepairsarenecessary, GranteeshallnotifyCityof theneedforsuchrepairsassoonaspracticable. Granteemayinitiatesuchemergencyrepairs, andshallapplyforappropriatepermitswithinforty-eight (48) hoursafterdiscoveryofthe emergency. 10.2LocationofFacilities Withinforty-eight (48) hours, unlessotherwisespecifiedinfederal, Stateorlocalregulations, aftertheCityoranyfranchiseeorpermitteeoftheCitynotifiesGranteeofaproposedRight- of-Wayexcavation, Granteeshall, atGrantee'sexpense, markonthesurfaceallofitslocated undergroundfacilitieswithintheareaoftheproposedexcavation. 10.3 RestorationofRights-of-Way A) WhenanyopeningismadebyGranteeinahardsurfacepavementinanyRights- of-Way, Granteeshallpromptlyrefilltheopeningandrestorethesurfaceasrequiredbyits constructionpermit. B) IfGranteeexcavatesthesurfaceofanyRights-of-Way, Granteeshallbe responsibleforrestorationinaccordancewithapplicableregulationsregardingtheRights-of- Wayanditssurfacewithintheareaaffectedbytheexcavation. Citymay, afterproviding noticetoGrantee, andGranteeÓsfailuretorespondwithintherequiredtime, refillorrepave anyopeningmadebyGranteeintheRights-of- Way, andtheexpensethereofshallbepaidby Grantee. Citymay, afterprovidingnoticetoGrantee, andGranteeÓsfailuretorespondwithin therequiredtime, removeandrepairanyworkdonebyGranteethat, inthedeterminationofCity, doesnotconformtoapplicablecode. Thecostthereof, includingthecostsofinspectionand supervisionshallbepaidbyGrantee. GranteeshallremitpaymenttoCitywithinthirty (30) days ofreceiptofanitemizedlistofthosecosts. AllofGranteeÓsworkunderthisFranchise, andthis Sectioninparticular, shallbedoneincompliancewithalllaws, regulationsandordinancesofCity andState. CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 10.4 MaintenanceandWorkmanship A) Grantee'sCableSystemshallbeconstructedandmaintainedinsuchmanneras nottointerferewithsewers, waterpipesoranyotherpropertyofCity, orwithanyotherpipes, wires, conduits, pedestals, structuresorotherfacilitiesthatmayhavebeenlaidinRights-of- Wayby, orunder, City'sauthority. B) Granteeshallprovideanduseanyequipmentandfacilitiesnecessarytocontroland carryGranteeÓssignalssoastopreventinjurytoCityÓspropertyorpropertybelongingtoany Person. Grantee, atitsownexpense, shallrepair, renew, changeandimproveitsfacilitiestokeep themingoodrepairandsafecondition. C) TheGrantee'stransmissionanddistributionCableSystem, wiresand appurtenancesshallbelocated, erectedandmaintainedsoasnottoendangerorinterferewith thelivesofPersons, ortounnecessarilyhinderorobstructthefreeuseofRights-of-Way, or otherpublicproperty. D) GranteewillmaintainmembershipingoodstandingwiththeUtilityÓs UndergroundLocationCenter, orothersimilarorsuccessororganizationdesignatedto coordinateundergroundequipmentlocationsandinstallations. Granteeshallabideby WashingtonState's "UndergroundUtilities" statutesandwillfurthercomplywithandadhere toproceduresandpracticesrelatingtotheonecalllocatorserviceprogram. E) Granteeshallgivereasonablenoticetoprivatepropertyownersofconstruction workinadjacentRights-of-Way. 10.5AcquisitionofFacilities UponGrantee'sacquisitionoffacilitiesinanyRights-of-Way, orupontheadditionor annexationtotheCityofanyareainwhichGranteeownsoroperatesanyfacility, such facilitiesshallimmediatelybesubjecttothetermsofthisFranchise, asperApplicableLaw. 10.6 ReservationofRights-of-Way NothinginthisFranchiseshallpreventCityfromconstructinganypublicworkor improvement. IfanyofGrantee'sCableSysteminterfereswiththeconstructionorrepairof anyRights-of-Wayorpublicimprovement, includingconstruction, repairorremovalofa sewerorwatermain, Grantee'sCableSystemshallberemovedorrelocatedintheareaCity shalldirect. AnyandallsuchremovalorrelocationshallbeattheexpenseofGrantee. Inthe caseofajointrelocationproject, Granteeshallberesponsibleforthecostofrelocatingits facilities. Allsuchremovalorrelocationshallbeprecededbysixty (60) dayswrittennotice orsuchadditionaltimeasmaybeprovidedbyCity. Uponnotice, bothpartiesshallagreeupon anappropriaterelocationtimelinethattakesintoconsiderationpermittingandotherutility involvementandcoordination. Granteeshallprovideroutineupdatesonmeetingagreedupon relocationtimeline(s). ShouldGranteefailtoremove, adjustorrelocateitsfacilitiesbythe dateestablishedbyCity'swrittennoticetoGrantee, Citymayeffectsuchremoval, adjustment orrelocation, andtheexpensethereofshallbepaidbyGrantee. Granteeshallremitpayment toCitywithinthirty (30) daysofreceiptofanitemizedlistofthosecosts. TheCitymayremoveordisconnect Grantee'sfacilitiesandequipmentlocatedintheRight-of-Wayoronanyotherpropertyofthe Cityinthecaseoffire, disasterorotherEmergency. ExceptduringanEmergency, theCity shallprovidereasonablenoticetoGranteepriortotakingsuchactionandshallprovideGrantee withtheopportunitytoperformsuchaction. FollowingnoticebytheCity, Granteeshall remove, replace, relocate, modifyordisconnectanyofitsfacilitiesorequipmentwithinany Right-of-Way, oronanyotherpropertyoftheCity, exceptthattheCityshallprovideatleast sixty (60) days' writtennoticeofanymajorcapitalimprovementprojectthatwouldrequirethe removal, relocation, replacement, modificationordisconnectionofGrantee'sfacilitiesor equipment. Uponnotice, bothpartiesshallagreeuponanappropriaterelocationtimelinethat takesintoconsiderationpermittingandotherutilityinvolvementandcoordination. Grantee shallprovideroutineupdatesonmeetingagreeduponrelocationtimeline(s). IftheGrantee failstocompletethisworkwithinthetimeprescribedandtotheCity'ssatisfaction, theCity maycausesuchworktobedoneandbillthecostoftheworktotheGrantee. Granteeshall remitpaymenttoCitywithinthirty (30) daysofreceiptofanitemizedlistofthosecosts.Ifthe CityrequiresGranteetorelocateitsfacilitieslocatedwithintheRights-of-Way, theCityshall makeareasonableefforttoprovideGranteewithanalternatelocationwithintheRights-of- Way. IffundsaregenerallymadeavailabletousersoftheRights-of-Waybyathirdpartyfor suchrelocation, Granteeshallbeentitledtoitsshareofsuchfunds. B) MovementforOtherPermittees. AttherequestofanyPersonholdingavalid permitanduponreasonableadvancenotice, Granteeshalltemporarilyraise, lowerorremove itswiresasnecessarytopermitthemovingofabuilding, vehicle, equipmentorotheritem. Thecostofsuchtemporarychangemustbepaidbythepermitholder, andGranteemayrequire theestimatedpaymentinadvance. 10.7Rights-of-WayVacation IfanyRights-of-WayorportionthereofusedbyGranteeisvacatedbyCityduringthetermof thisFranchise, unlessCityspecificallyreservestoGranteetherighttocontinuetheuseof vacatedRights-of-Way, Granteeshall, withoutdelayorexpensetoCity, removeitsfacilities fromsuchRights-of-Way, andrestore, repairorreconstructtheRights-of-Waywheresuch removalhasoccurred. Intheeventoffailure, neglectorrefusalofGrantee, afterthirty (30) days' noticebyCity, torestore, repairorreconstructsuchRights-of-Way, Citymaydosuch workorcauseittobedone, andthereasonablecostthereof, asfoundanddeclaredbyCity, shallbepaidbyGranteewithinthirty (30) daysofreceiptofaninvoiceanddocumentation. 10.8RemovalofDiscontinuedFacilities WheneverGranteeintendstodiscontinueusinganyfacilitywithintheRights-of-Way, Grantee shallsubmittoCityacompletedescriptionofthefacilityandthedateonwhichGranteeintends todiscontinueusingthefacility. GranteemayremovethefacilityorrequestthatCityallowit toremaininplace. NotwithstandingGrantee'srequestthatanysuchfacilityremaininplace, CitymayrequireGranteetoremovethefacilityfromtheRightsofWayormodifythefacility toprotectthepublichealth, welfare, safetyandconvenience, orotherwiseservethepublic interest. CitymayrequireGranteetoperformacombinationofmodificationandremovalof thefacility. Granteeshallcompletesuchremovalormodificationinaccordancewitha schedulesetbyCity. UntilsuchtimeasGranteeremovesormodifiesthefacilityasdirected CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 byCity, oruntiltherightstoandresponsibilityforthefacilityareacceptedbyanotherPerson havingauthoritytoconstructandmaintainsuchfacility, Granteeshallberesponsibleforthe facility, aswellasmaintenanceoftheRights-of-Way, inthesamemanneranddegreeasifthe facilitywereinactiveuse, andGranteeshallretainallliabilityforsuchfacility. IfGrantee abandonsitsfacilities, Citymaychoosetousesuchfacilitiesforanypurposewhatsoever including, butnotlimitedto, AccessChannelpurposes. 10.9HazardousSubstances A) GranteeshallcomplywithallapplicableStateandfederallaws, statutes, regulationsandordersconcerninghazardoussubstanceswithintheRights-of-Way. B) GranteeshallmaintainandinspectitsSystemlocatedinRights-of-Way. Upon reasonablenoticetoGrantee, CitymayrequestacoordinatedinspectionofGrantee'sfacilities inRights-of-Waytodetermineifanyreleaseofhazardoussubstanceshasoccurred, ormay occur, fromorrelatedtoGrantee'sCableSystem. InremovingormodifyingGrantee's facilitiesasprovidedinthisFranchise, Granteeshallalsoremoveallresidueofhazardous substancesrelatedthereto. 10.10 UndergroundingofCable A) Wiring. 1) Whereelectricandtelephoneutilitywiringisinstalledundergroundat thetimeofCableSystemconstruction, orwhenallsuchwiringissubsequentlyplaced underground, allCableSystemlines, wiringandequipmentshallalsobeplacedunderground withotherwirelinecablesystemserviceatnoexpensetotheCity. RelatedCableSystem equipment, suchaspedestals, mustbeplacedinaccordancewithapplicableCityCode requirementsandrules, andinamannerthatallowsGranteetomaintainitssignalintegrityin accordancewithFCCrequirements. Inareaswhereelectricortelephoneutilitywiringare aerial, theGranteemayinstallaerialcable, exceptwhenapropertyownerorresidentrequests undergroundinstallationandagreestobeartheadditionalcostinexcessofaerialinstallation. 2) TheGranteeshallutilizeexistingpolesandconduitwhereverpossible. 3) ThisFranchisedoesnotgrant, giveorconveytotheGranteetherightor privilegetoinstallitsfacilitiesinanymanneronspecificutilitypolesorequipmentoftheCityor anyotherPerson. 4) TheGranteeandtheCityrecognizethatsituationsmayoccurinthe futurewheretheCitymaydesiretoplaceitsowncableorconduitforFiberOpticcablein trenchesorboresopenedbytheGrantee. Therefore, iftheGranteefurtherupgradesitsCable System, theGranteeshallsubmittheseplanstotheCityinaccordancewiththeCity's permittingprocesssothatsuchopportunitiesmaybeexplored. However, nothingsetforth hereinshallobligatetheGranteetoslowtheprogressofanyfutureupgradeoftheCable SystemtoaccommodatetheCity. Inaddition, theGranteeagreestocooperatewiththeCityin anyotherconstructionbytheGranteethatinvolvestrenchingorboring. Ifsufficientspaceis CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 reasonablyavailableandthereisnoreasonablepossibilityofdegradationtoGranteeÓsCable System, theGranteeshallallowtheCitytolayitscable, conduitandFiberOpticcableinthe Grantee'strenchesandbores, providedtheCitysharesproportionallyinthecostofthetrenching andboringonthesametermsandconditionsastheGranteeatthattimesharesthetotalcostof trenchesandbores. TheCityshallberesponsibleformaintainingitsrespectivecable, conduitand FiberOpticcableburiedintheGrantee'strenchesandboresunderthisparagraph. 5) TheCityshallnotberequiredtoobtaineasementsfortheGrantee. 6) TheGranteemayparticipatewithotherprovidersinjointtrenchprojects torelocateitsoverheadfacilitiesundergroundandremoveitsoverheadfacilitiesinareaswhere allutilitiesarebeingconvertedtoundergroundfacilities. B) RepairandRestorationofProperty. Ifpublicpropertyisdisturbedordamaged byGranteearisingoutoforinconnectionwiththeprovisionofCableService, theGrantee shallrestorethepropertytoitsformercondition. Rights-of-WayorotherCitypropertyshall berestoredinamannerandwithinatimeframeapprovedbytheCity'sDirectorofPublic Works & Utilitiesorhisorherdesignee. IfrestorationofRights-of-Wayorotherpropertyof theCityisnotsatisfactorilyperformedwithinareasonabletime, theDirectorofPublicWorks Utilitiesmay, afterpriornoticetotheGrantee, orwithoutnoticewherethedisturbanceor damagemaycreatearisktopublichealth, safetyorwelfare, orcausedelayoraddedexpense toapublicprojectoractivity, causetherepairstobemadeattheGrantee'sexpenseandrecover thecostofthoserepairsfromtheGrantee. Withinthirty (30) daysofreceiptofanitemized listofthosecosts, includingthecostsoflabor, materialsandequipment, theGranteeshallissue paymenttotheCity. IfsuitisbroughtbyCityuponGrantee'sfailuretopayforrepairor restoration, theresponsibilityforreasonablecostsandexpensesoftheprevailingparty includingattorneycostsandfees, willbedeterminedbyacourtofcompetentjurisdiction. 10.11 Codes Granteeshallstrictlyadheretoallbuildingandzoningcodescurrentlyorhereafterineffect. Granteeshallarrangeitslines, cablesandotherappurtenances, onbothpublicandprivateproperty, insuchamannerastocausenounreasonableinterferencewiththeuseofsaidpublicorprivate propertybyanyPerson. Intheeventofsuchinterference, Citymayrequiretheremovalor relocationofGrantee'slines, cablesandotherappurtenancesfromthepropertyinquestion. 10.12 ConstructionandUseofPoles Wheneverfeasible, Granteeshalluseexistingpoleswhentheinstallationoffacilitiesabove- groundispermitted. IntheeventGranteecannotobtainthenecessarypolesandrelated facilitiespursuanttoapoleattachmentagreement, andonlyinsuchevent, thenitshallbe lawfulforGranteetomakeallneededexcavationsinthestreetsforthepurposeofplacing, erecting, laying, maintaining, repairingandremovingpoles, conduits, supportsforwiresand conductors, andanyotherfacilityneededforthemaintenanceorextensionofGrantee'sCable System. 10.13TreeTrimming CITYOFBREMERTON - ComcastCableTelevisionFranchise Docusign Envelope ID: F0E57AF7-6442-4E0D-8359-33EB5E0A9094Docusign Envelope ID: 7010DAFE-3AE7-42D3-9C84-AC29EB6FD863 UponobtainingawrittenpermitfromCity, ifsuchapermitisrequired, Granteemaypruneor causetobepruned, usingproperpruningpracticesinaccordancewithsuchpermit, anytreeinthe Rights-of-WaythatinterfereswiththeCableSystem. 10.14 Standards A) TheGranteemustcomplywithallfederal, Stateandlocalsafetyrequirements, rules, regulations, lawsandpractices, andemployallnecessarydevicesasrequiredbyApplicable Lawduringconstruction, operationandrepairofitsCableSystem. Bywayofillustrationandnot limitation, theGranteemustcomplywiththeNationalElectricCode, NationalElectricalSafety CodeandOccupationalSafetyandHealthAdministration (OSHA) Standards. Allwork authorizedandrequiredhereundershallbedoneinasafe, thoroughandworkmanlikemanner. Granteeshallensurethatallcabledropsareproperlybondedandgroundedatthehomeor residenceatthetimeofinstallation, consistentwithapplicablecoderequirements. Allnon- conformingornonperformingcabledropsshallbereplacedbyGranteeduringthenormal courseofbusiness. B) Allinstallationsofequipmentshallbepermanentinnature andshallnot interferewiththetravelanduseofpublicplacesbythepublicduringtheconstruction, repair, operationorremovalthereof, andshallnotobstructorimpedetraffic. C) Allinstallationsofequipmentshallbepermanentinnaturedurableandinstalled inaccordancewithgoodengineeringpracticesandofsufficientheighttocomplywithall federal, Stateandlocalregulations, ordinancesandlawssoasnottointerfere withtheright ofthepublicorindividualpropertyowner, andshallnotinterferewiththetravelanduseofpublic placesbythepublicduringtheconstruction, repair, operationorremovalthereof, andshallnot obstructorimpedetraffic. Granteeshallfollowstandardindustrypracticesintheburyingof servicedropsandmakebesteffortstocompleteburialwithinseven (7) daysofinitialrequest forserviceorinstallation (whicheverislater) andataminimumoftwelve (12) inchesdepth. 10.15 StopWork OnnoticefromCitythatanyworkisbeingconductedcontrarytotheprovisionsofthisFranchise, orinanunsafeordangerousmannerasdeterminedbyCity, orinviolationofthetermsofthis Franchiseoranyapplicablepermit, laws, regulations, ordinancesorstandards, theworkmay immediatelybestoppedbyCity. Thestopworkordershall: A) Beinwriting; B) BegiventothePersondoingthework, orpostedontheworksite; C) BesenttoGranteebymailattheaddressgivenherein; D) Indicatethenatureoftheallegedviolationorunsafecondition; and E) Establishconditionsunderwhichworkmayberesumed. Workbycontractorsandsubcontractorsshallbesubject tothesamerestrictions, limitationsandconditionsasiftheworkwereperformedbyGrantee. Granteeshallberesponsibleforallworkperformedbyitscontractorsandsubcontractorsand othersperformingworkonitsbehalf, andshallensurethatallsuchworkisperformedin compliancewiththisFranchiseandotherApplicableLaw, andshallbejointlyandseverally liableforalldamagescausedbythem. ItisGrantee'sresponsibilitytoensurethatcontractors, subcontractorsorotherpersonsperformingworkonGrantee'sbehalfarefamiliarwiththe requirementsofthisFranchiseandotherApplicableLawsgoverningtheworkperformedby them. 10.17GISMapping GranteeshallprovidetheCitywithrecordsofGranteeÓstrunkanddistributionroutesof facilitieswithintheFranchiseAreainastandardgeographicinformationsystemformat (GIS) formatwhichisacceptabletotheCity. TheroutedatashallidentifyCableSystemfacilities asaerialorundergroundandisnotrequiredtodepictcabletypes, numberofcables, electronic equipment, andservicelinestoindividualSubscribers. AllupdatesoftheGISshallbe submittedtotheCityPublicWorks & UtilitiesDepartmentwithinthirty (30) daysuponannual request. 10.18Locates A) PriortodoinganyworkintheRight-of-Way, Granteeshallgiveappropriatenotices totheCityandtothenotificationassociationestablishedinRCW19.122, assuchmaybeamended fromtimetotime. B) Withinforty-eight (48) hoursafteranyCityagencyorfranchisee, licenseeor permitteenotifiesGranteeofaproposedRight-of-Wayexcavation, Granteeshall, atGranteeÓs expense: 1) Markonthesurfaceallofitslocatedundergroundfacilitieswithinthearea oftheproposedexcavation; 2) Notifytheexcavatorofanyunlocatedundergroundfacilitiesintheareaof theproposedexcavation; or 3) NotifytheexcavatorthatGranteedoesnothaveanyundergroundfacilities inthevicinityoftheproposedexcavation. Granteerepresentsandcovenantsthatactiveandpassivedevices currentlyarepassingaminimumof750MHz, andtheCableSystemiscapableofdelivering highqualitysignalsthatmeetorexceedFCCtechnicalqualitystandardsregardlessofa particularmannerinwhichthesignalistransmitted. GranteeagreestomaintaintheCable Systeminamannerconsistentwith, orinexcessofthesespecificationsthroughouttheterm oftheFranchise. TheGranteeÓsSystemshall, atalltimesduringtheFranchiseterm, meetor exceedthefollowingrequirements: TheSystemshallbecapableofcontinuoustwenty-four 24) houroperationwithoutmaterialdegradationofservicequalityexceptduringextremely inclementweatherorimmediatelyfollowingextraordinarystormsthatadverselyaffectutility servicesordamagemajorSystemcomponents. TECHNICALSTANDARDS 13.1TechnicalPerformance ThetechnicalperformanceoftheCableSystemshallmeetorexceedallapplicabletechnical standardsauthorizedorrequiredbylaw, including, FCCtechnicalstandards, astheymaybe amendedfromtimetotime, regardlessofthetransmissiontechnologyutilized. TheCityshall havethefullauthoritypermittedbylawtoenforcecompliancewiththesetechnicalstandards. Uponrequest, allFCCrequiredtechnicalperformancetestsmaybe witnessedbyrepresentativesoftheCity. Copiesofsuchtestresultswillbeprovidedtothe Cityuponrequest. B) AllrequiredtechnicalperformanceorotherCableSystemtestsshallbeatthe expenseoftheGranteeandmaybewitnessedbyrepresentativesoftheCity. Uponrequest, GranteewillnotifytheCitybeforeanyrequiredtechnicalproof-of-performanceorother testingoccurs. C) Granteeshallpromptlytakesuchmeasuresasarenecessaryanddiligently continuethesameuntilcompletioninordertocorrectanyperformancedeficienciesfullyand topreventtheirrecurrence. Grantee'sfailuretocorrectdeficienciesidentifiedthroughthis testingprocessshallbeaviolationofthisFranchise. TheGranteemayrequirethatthepaymentofthecapitalcontributioninaidof constructionbebornebysuchpotentialCustomersandbepaidinadvance. Granteewill coordinatewiththeCustomerintheeventthattheCustomervolunteerstoprovidenecessary trenchandbackfill, inaccordancewithreasonablestandardsasprovidedbyGrantee. C) TheGranteeshallprovideCableServicetoMultipleDwellingUnitsin accordancewithanagreementwiththepropertyownerorowners, thisFranchiseandall ApplicableLaws. D) ServicetoNewlyAnnexedAreas. Granteeshallhavetherightbutnottheobligation toextendtheCableSystemintoanyareaannexedaftertheEffectiveDateofthisAgreementwhich isnotcontiguousorispartiallycontiguoustothepresentFranchiseAreaoftheCityortoanyarea thatistechnicallyinfeasible. NothinghereinshallrequireGranteetoexpanditsCableSystemto serveortoofferservicetoanyareaannexedbytheCityifsuchareaisthenservedbyanother cableoperator. SECTION15. STANDBYPOWERANDEAS 15.1StandbyPower GranteeshallprovidestandbypowergeneratingcapacityattheCableSystemHeadendcapable ofprovidingatleasttwelve (12) hoursofemergencyoperation. Granteeshallmaintainstandby powersuppliesthatwillsupplyback-uppowerofatleasttwo (2) hoursdurationthroughout thedistributionnetworks, andfour (4) hoursdurationatallnodesandhubs. Inaddition, throughoutthetermofthisFranchise, Granteeshallhaveaplaninplace, alongwithall resourcesnecessaryforimplementingsuchplan, andfordealingwithoutagesofmorethantwo 2) hours. Granteeshallhavethirty 30) daysfromthereceiptofsuchnoticeto: 1) RespondtoCity, contestingCity'sassertionthatadefaulthasoccurred, andrequestingahearinginaccordancewithsubsection (B), below; 2) Curethedefault; or 3) NotifyCitythatGranteecannotcurethedefaultwithinthethirty (30) days, becauseofthenatureofthedefault. Intheeventthedefaultcannotbecuredwithinthirty 30) days, GranteeshallpromptlytakeallreasonablestepstocurethedefaultandnotifyCity inwritingandindetailastotheexactstepsthatwillbetakenandtheprojectedcompletion date. Uponfive (5) businessdays' priorwrittennotice, eitherCityorGranteemaycallan informalmeetingtodiscusstheallegeddefault. Insuchcase, ifmattersarenotresolvedat suchmeeting, Citymaysetahearinginaccordancewithsubsection (B) belowtodetermine whetheradditionaltimebeyondthethirty (30) daysspecifiedaboveisindeedneeded, and whetherGrantee'sproposedcompletionscheduleandstepsarereasonable. B) IfGranteedoesnotcuretheallegeddefaultwithinthecureperiodstatedabove, orbytheprojectedcompletiondateundersubsection (A)(3), ordeniesthedefaultandrequests ahearinginaccordancewithsubsection (A)(1), orCityordersahearinginaccordancewith subsection (A)(3), Cityshallsetapublichearingtoinvestigatesaidissuesortheexistenceof theallegeddefault. CityshallnotifyGranteeofthehearinginwritingandsuchhearingshall takeplacenolessthanseven (7) businessdaysafterGrantee'sreceiptofnoticeofthehearing. Atthehearing, Granteeshallbeprovidedanopportunitytobeheard, topresentandquestion witnesses, andtopresentevidenceinitsdefense. AnysuchdeterminationbyCityshallbeaccompaniedbyarecord, towhichGrantee's contributionshallnotbelimitedbyCity (i.e., CityshallhearanyinterestedPersonsandshall allowGranteeanopportunitytobeheard, tocrossexaminewitnesses, topresentevidenceand tomakeadditionstothehearingrecord). Anysuchfinaldeterminationshallbesubjectto appealtoacourtofcompetentjurisdiction. SuchappealtotheappropriateCourtshallbetaken withinthirty (30) daysoftheissuanceofthefinaldeterminationoftheCity. Cityshallreceive noticefromGranteeofanyappealconcurrentwithanyfilingtoacourtofcompetent jurisdiction. 16.2AlternativeRemedies NoprovisionofthisFranchiseshallbedeemedtobartherightofeitherpartytoseekorobtain judicialrelieffromaviolationofanyprovisionoftheFranchiseoranyrule, regulation, requirementordirectivepromulgatedthereunder. Neithertheexistenceofotherremedies identifiedinthisFranchisenortheexercisethereofshallbedeemedtobarorotherwiselimit therightofeitherpartytorecovermonetarydamages, asallowedunderApplicableLaworto seekandobtainjudicialenforcementofobligationsbymeansofspecificperformance, injunctiverelieformandate, oranyotherremedyatlaworinequity. TheCityspecificallydoesnot, byanyprovisionofthisFranchise, waiveanyright, immunity, limitationorprotection (includingcompletedamageimmunity) otherwiseavailabletotheCity, itsofficers, officials, boards, CityCouncil, commissions, agents, oremployeesunderfederal, State, orlocallawincludingbyexampleSection635AoftheCableAct. TheGranteeshall nothaveanymonetaryrecourseagainsttheCity, oritsofficers, officials, CityCouncil, board, commissions, agentsoremployeesforanyloss, costs, expensesordamagesarisingoutofany provision, requirementofthisFranchiseortheenforcementthereof, subjecttoApplicableLaw. 16.3AssessmentofLiquidatedDamagesandLetterofCredit SubjecttoSection5.3 (C): A) GranteeshalldelivertotheCityanunconditionalLetterofCredit, inaformand substanceacceptabletotheCity, fromaNationalorStatebanksubjecttoreasonableapproval bytheCity, intheamountoftwenty-fivethousanddollars ($25,000.00). D) EachviolationofanymaterialprovisionofthisFranchiseshallbeconsidereda separateviolationforwhichseparateliquidateddamagescanbeimposed. Anyliquidated damagesforanygivenviolationshallbeimposeduponGranteeforamaximumof90days. E) IfanysubsequentLetterofCreditdeliveredpursuanttheretoexpirespriorto twelve (12) monthsaftertheexpirationofthetermofthisFranchise, itshallberenewedor replacedduringthetermofthisFranchisetoprovidethatitwillnotexpireearlierthantwelve l2) monthsaftertheexpirationofthisFranchise. TherenewedorreplacedLetterofCredit shallbeofthesameformandwithabankauthorizedhereinandforthefullamountstatedin paragraph (A) ofthisSection. F) TheCityandtheGranteerecognize thedelays, expenseanduniquedifficulties involvedinprovinginalegalproceedingtheactuallosssufferedbytheCityasaresultofthe Grantee'sbreachofthisFranchise. Accordingly, insteadofrequiringsuchproof, theCityand theGranteeagreethattheGranteeshallpaytotheCitythesumssetforthaboveforeachday thattheGranteeshallbeinbreachofthespecificprovisionsofthisFranchise. Suchamounts areagreedbybothpartiestobeareasonableestimateoftheactualdamagestheCitywould sufferintheeventoftheGrantee'sbreachofsuchprovisionsofthisFranchise. TheCityshall giveGranteewrittennoticeofanyintenttowithdrawunderthissubsection. Withinseven (7) businessdaysfollowingreceiptofsuchnotice, Granteeshallrestorethebond(s) andLetterof CredittotheamountrequiredunderthisFranchise. Grantee'smaintenanceofthebond(s) and LetterofCreditshallnotbeconstruedtoexcuseunfaithfulperformancebyGranteeortolimit theliabilityofGranteetotheamountofthebond(s) andLetterofCreditorotherwisetolimit theCity'srecoursetoanyotherremedyavailableatlaworinequity. AnyfundstheCityerroneouslyor wrongfullywithdrawsfromthebond(s) orLetterofCreditshallbereturnedtoGranteewith interestfromthedateofwithdrawal. H) TheassessmentofliquidateddamagesdoesnotconstituteawaiverbytheCity ofanyotherrightorremedyitmayhaveundertheFranchiseorApplicableLaw, includingits righttorecoverfromGranteeanyadditionaldamages, losses, costsandexpensesthatare incurredbyCitybyreasonofthebreachofthisFranchise. I) Grantee'smaintenanceofthesecurityrequiredhereinorbyapplicablecodeshall notbeconstruedtoexcuseunfaithfulperformancebytheGranteeofthisFranchise; tolimit liabilityoftheGranteetotheamountofthesecurity; ortootherwiselimittheCity'srecourse toanyotherremedyavailableatlaworequity. 16.4Revocation A) ThisFranchisemayberevokedandallrightsandprivilegesrescindedifa materialbreachoftheFranchiseisnotcuredpursuanttoSection16.1, orintheeventthat: 1) GranteeattemptstoevadeanymaterialprovisionofthisFranchiseorto practiceanyfraudordeceitupontheCityorSubscribers; 2) Granteemakesamaterialmisrepresentationoffactinthenegotiationof thisFranchise; 3) GranteefailstomaintaintherequiredCustomerservicelocationas providedinthisFranchiseinaccordancewithSection6.3; 4) GranteeabandonstheCableSystem, orterminatestheCableSystem's operations; 5) GranteefailstorestoreservicetotheCableSystemafterthree consecutivedaysofanoutageorinterruptioninservice; exceptinthecaseofanemergencyor duringaforcemajeureoccurrence, orwhenapprovalofsuchoutageorinterruptionisobtained fromtheCity, itbeingtheintentthatthereshallbecontinuousoperationoftheCableSystem; or 6) Granteebecomesinsolvent, unableorunwillingtopayitsdebts, oris adjudgedbankrupt, thereisanassignmentforthebenefitofGrantee'screditors, orallorpart oftheGrantee'sCableSystemissoldunderaninstrumenttosecureadebtandisnotredeemed byGranteewithinthirty (30) daysfromsaidsale. D) GranteeshallhavenoobligationtoremovetheCableSystem, iforderedbythe Cityunderthissection, whereitutilizestheSystemtoprovidenon-CableServicesandhasany otherauthorityunderApplicableLawtomaintainfacilitiesintheRights-of-Way, orwhere GranteeisabletofindapurchaseroftheCableSystemwhothenorwillsubsequentlyholdsuch authorization. TheforegoingrightofGranteeshallbeindependent, separateandapartfromand havenoeffectupontheGranteeÓsrequirementstomoveorremovetheCableSystemassetforth elsewhereinthisFranchise. 16.5PurchaseoftheCableSystem IfatanytimethisFranchiselawfullyterminates, theCityshallhavetheoptiontopurchasethe CableSysteminaccordancewiththeCableActs. Comcastisallowedto utilizeCity-ownedconduitwithavailablecapacity, ifany, atnochargeifsuchCity-owned conduitwithavailablecapacity, ifany, isdirectlyusedinconnectionwiththisI-Net, for fiberconstructiononCitypropertyandinthePublicRight-of-way, andtheCityhasagreed tograntComcastallnecessaryrightsofentry, easementsandlicensestoaccomplishthe constructiontothesitesreferencedhereunderandlistedonExhibitÐBÑattachedheretofor thosespecificpurposes. Eachfiberconnectionhasbeenterminatedataninternalpointor demarcationinaComcaststandardfiberterminationpanel, unlesstheCityprovidesanother meansoftermination, inwhichcasetheCityhasprovided, atitsexpenseallnecessaryfiber terminationequipment. Ateachfiberterminationlocation, thefiberhasbeenterminatedby theCity. RoutinemaintenanceonthefiberusedforCityutilizedI-Netpurposesandincluding associatedfacilitiesandequipmentusedexclusivelyforI-Nettransmissionpurposesand locatedonGranteeÓssideofitsregulardemarcationpoint (thatis, theGranteeÓssideoftheI- Netfiberterminationpanellocatedateachsite) willbeconductedonthesamescheduleas routinemaintenanceofGranteeÓsCableSystem. Anyrepairseffecteduponthefiberand associatedI-NetfacilitiesandequipmentshallbeperformedbyGrantee, withpriornoticeof atleastfive (5) businessdaystotheCitywhenpracticable. Inemergencyconditions, such asanaturalemergencyresultingfromawindstorm, Granteewilleffectemergencyrepair workontheGranteeutilizedfiberandCityutilizedI-Netfiber, ifany, inthecourseof conductingitsownemergencyrepairworkonitsCableSystem, exceptwhereCityutilized I-Netfibermaynotbeco-locatedwithGranteeÓsCableSystemonastrandorinconduit, in whichcaseGranteefibershallberepairedasafirstpriorityandCityutilizedI-Netfibershall berepairedasasecondpriorityinacontinuousrepairwindow. Insuchevent, Granteeshall havenoliabilitytotheCityforadelayinI-Netservicerestoration. Granteeshalllevyan all-inclusive, annualmaintenancefeeforallroutinemaintenance, non-emergencyand emergencyrepairsupontheCityutilizedI-Netfibersandassociatedfacilitiesandequipment fromtheGranteesideoftheI-Netfiberterminationpanellocatedateachsiteouttoand includingthebackbonefiber. Section4. ServiceTroubleCallsandEscalation. TheCityacknowledgesthatGranteedoesnotactivelymonitorthesignaltransmissionupon CityutilizedI-Netfiber, andmayhavenonoticeofaserviceoutagebutforaCity-initiated notification. ForanyoutagesofCityutilizedI-NetfiberasdeterminedbytheCity, the CityÓsdesignatedrepresentativeshallcontactthedesignatedlocalNetworkOperationsCenter NOC) at +1 (855) 537-6296 (option1; thenoption2). Granteeshallrespondon-sitetoany routinetroublecallswithinfour (4) hoursofreceiptofnotificationattheNOCandshall activelybeginworkingontheproblemuntilitisresolved. Inordertodocumentitsworkon theCity-utilizedI-Netfiber, Granteewilluseitsnormaltroubleticketprocesses. Inthe eventofaninabilitytoinitiallyresolveI-Netproblems, Granteeshallfollowitsnormal escalationproceduresforcorrectingfiberoutages. Granteewillcommunicatewiththe CityÓsdesignatedrepresentativefollowingresolutionoftheI-Netproblemsand, atthe CityÓsrequest, providedocumentationoftheI-Netproblemresolution. Suchdocumentation shallinclude, amongotherthings, adescriptionofthecauseandresolutionoftheproblemfor eachI-Nettroubleticket. Section5. Administration, MaintenanceandManagement. TheCityshallberesponsiblefortheongoingadministration, maintenanceandmanagement ofthenon-backboneI-NetfacilitiesandequipmentownedbytheCityandlocatedontheCity sideoftheI-Netfiberterminationpanellocatedateachsite, andtheCityinternalsitenetwork itself, unlessitcontractswithGranteeseparatelyforamanagednetwork. Allsuch maintenanceconductedbytheCityshallbeperformedinaccordancewithindustrystandards, andanyequipmentownedandusedbytheCityshallcomplyinallrespectswithapplicable governmentalcodes, laws, ordinancesorregulations. EquipmentorModifications. TheCitywillnotattachanyequipmentorotherwisemodifytheI-Netinanywaythatwill interferewiththesignalqualityandthenormaloperationofGranteeÓsCableSystem. TheCity maynotaccessanypartofthebackbonefiberandassociatedfacilitiesandequipmentoutsidethe actualI-Netsitefiberterminationpanel, andtheCityÓspermittedaccessshallinnoeventextend beyondtheCityÓssideofthefiberterminationpanel. Section7. Undergrounding. WhenelectricandtelephoneutilitywiringinanareaoftheCityarerelocatedunderground, GranteeshallberesponsibleforrelocatingCityI-NetutilizedfiberatGranteeÓscostwhen GranteeÓsCableSystemisplacedundergroundatthesametime. Notwithstandingtheforegoing, shouldanincreasedcostdifferentialarisebecauseofGranteeÓshavingtodoadditionalsplicing, increasethesizeofitsconduit, vaults, orfibersheath (becauseoftheundergrounding), thenthe Cityshallpaythereasonable, incrementalcostdifferentialpertainingtotheCityI-Netutilized fiberonly. Section8. AnnualMaintenanceFee. TheongoingmaintenanceandrepairoftheCityutilizedI-Netfiber(s), whetherscheduledornot scheduled, orpromptedbyanemergency, shallbeperformedbyGranteeaspartofanannual maintenancefeethatreflectsthemarginalcostofprovidingsuchservice. SuchfeeshallbeSeven HundredDollars ($700.00) permileperyearandshalladjustannually, afterthefirstyear, forthe applicableannualmaintenancefeebyanamountequaltotheincreaseintheConsumerPrice Index (CPI-U) ratefortheSeattlearea. FortheCPI-Ucalculation, theyearlytimeperiodshallbe fromJunetoJuneandtheincreaseshallapplyineachsubsequentcalendaryear. Bywayof exampleonly, theCPI-UwillbedeterminedbetweenJune2024andJune2025fortheJanuary- December2025rateincrease. Theannualcostwillbe $700permileperyearpluscurrentchange intheCPI-UratefortheSeattleAreacalculatedfromtheJunerateofthecurrentyearminus Junerateoftheprioryear; andtheCPI-UwillnotbeappliedtocumulativeincreasesofCPI-Uto the $700annualfee. TotalI-NetmileageshallbecalculatedasindicatedinExhibitB. Suchmaintenanceandrepair feeshallapplywithoutregardtothenumberofnecessarynon-emergencyoremergencyrepair incidentsreported, andshallcover, withoutlimitation, restorationofoutagescausedbythird- partyplantdamage, damagewroughtbyinclementweather, quarterlysystemdrive-outsfor preventivemaintenance, codecomplianceinspections, fiberfunctionalitytestingandre- documentation, polechange-outsandpolerelocations, strandreplacement, strand/facilitiesre- tensioningandanchoring, and alllabor, materialsandequipmentchargesandassociated engineeringcosts. Exceptforanemergency, maintenanceandrepairworkwillnotbeperformed withoutthepriorwrittenconsentoftheCity. Granteeshallrecoupthemaintenancefeethroughadeductiontothequarterlyfranchisefee paymentowedtotheCityundertheFranchise, agreeduponbybothparties.
