Whereas, Section 4 of the Agreement provides that"in no event shall Participant's share exceed$20,000 per yeaz;"and Whereas,the Agreement terminates in December 2015; and Whereas, the parties wish to increase the Participant's share in 2015, which is the tlnal year of the Agreement to an amount not exceed to $25,000 because anticipated grant funding was available only for one year; and Whereas,the total cost to each participant for the 5-year project was estimated to be $100,000 but will end up being less at$84,000 each; and NOW, TI3EREFORE, in consideration of the terms and conditions contained herein, the parties agree that Section 4 of the A�,neement is amended to include the following sentence at the end of the section: EXCEPT THAT, Participant's share shall not exceed $25,000 for 2015. Parties. TffiS INTERLOCAL AGREEMENT ("Ageement") is made and entered �nto on the date referenced on the s�gnature page by and between the Crty of Bremerton (herem referred to as "Participant") and Pubhc Utilrty Distnct #1 of Krtsap County, a murucipal corporation ("Lead Agency") pursuant to RCW 39 34 2. Purpose of Agreement. Lead Agency is entering unto an agreement with the USGS for the purpose of havmg the USGS prepare a comprehensrve analysis of the Krtsap Pemnsula Ground Water Systems and prepare a Kitsap Peninsula Ground Water Model 3. Role of Lead Agencv. Kitsap PUD shall be responsible for coordmatuig vv�th the USGS and Participants m the preparation of the ground water model and administrabon ofthe agreemern with USGS Kitsap PUD sha11 recerve no compensataon for rts admuustrative duties 4. Contribution of Particiaant. Participant agrees to reunburse PUD for Participants share of payments made by Krtsap PUD to the USGS Such payments shall be made on an annual basis Wfule the exact amount of Participants contribution will not be known unt�l all Participants have been idetrtified and have agreed to participate, m no event sha11 Panc��pant's share exceed $20,000 per year 5. Ownershia and Use of Data. Krtsap PUD shall be the custodian and owner of the USGS data However, as Lead Agency, Krtsap PUD agrees to make available and share with all Participants all of the data and uiformat�on developed by the USGS mcludmg the final ground water model 6. Additional Resaonsibilities of Kitsaa PUD. As Lead Agency, KPUD shall represent all parties in commumcanon with the USGS In addrtion, Lead Agency shall support and momtor the performance and progress of the USGS includuig meehng vv�th the USGS at regular �ntervals to access its progress and establish a performance and evaluation process available to all Panc��pants to comment on the progress ofthe ground water model and provide feedback to the USGS 7. Term. This Agreement shall be m effect for five years Billmgs shall be provided to Participant by Lead Agency on an annual basis S. Termination. Any Pait�c�pazrt may ternvnate its panc�ipation of tlus Interlocal Agreement at any tune for any reason by providuig at least 60 days advanced notice of termuiat�on m wnting to the other parnes In such event, the ternunating party shall no longer be obligated to pay any reimbursement costs for the remammg term of this Agreement In the event of ternunation, Participant shall forfert any nghts otherwise accrumg to rt by this agreement 9. Hold Harmless. Each party to ttus Agreement shall defend, indemrufy and hold the other party, rts appomted and elected officers and employees, harniless from claims, achons, m�unes, damages, losses or swts mcludmg attorney fees, ansmg or alleged to have arisen du�ectly or mdirectly out of or m consequence of the performance of this Agreement to the extent caused by the fault of negligence of the mdemrutor, its appomted or elected officials, employees, officers, agents, assigns, volunteers or representatives 10. A�aGcable Law and Venue. Tlus Agreement shall be construed and interpreted m accordance with the laws of the State of Washuigton In the event of a dispute, such dispute shall be htigated m the Supenor Court of Kitsap County, Waslungton 11. Non-Discrimination. Parties shall not discnmmate m any manner related to this Agreement on the basis of race, color, national ongm, sex, se�cual onentation, rehgion, age, mantal status or disabilrty m employment of the provision of sernces 12. Severabilitv If any provision of the Agreement shall be held mvand, the remauider of tlus Agreement shall not be affected thereby if such remauider would then contuiue to serve the purposes and objectives of all Parties 13.
