Annual subscnption costs (induding orgarnzational fee and employee seat iioense feesj
must be paid within 30 days of the effective date or a 1.590 per month iate penalty wili
appiy. SGR wdi produce a report o# active users in the system on a� annual basis and bill
the organization for active users added in the ias# year. New users wiil be charged the
same seat I�cense fee as all other empioyees, and their first year seat license will expire on
the annual renewai date along with all ex�sting users.
SGR hereby grants the Organization identified above the right to use and access the SGR
learning Management System subject to the Terms and Conditions herem. This is a non-
exclusive and non trans#errabie right to use the SGR System. Organization understands
that ail of the LMS content is the excluslve property of SGR, is copyrighted and may not be
reproduced, nor used in whoie or part without the express written cansent of SGR, except
as intended withm the confines of the SGR Learning Management System.
Organization further agrees ta prohibR access to any ernployee or any ather party who
does not hold an authorized seat license as detailed here+n. Orgamzation understands
that the #ollowing activities are strictiy prohibited: 1) reverse engineering, decompiling, or
dlsassembiing any compone�t of the UViS; 2) �eseliing, renting or imposing a charge for
the LMS; 3) loan, transfer, permit ac�ess to, distribute or circulate the !MS to any other
party other than authorized emplayees hoiding a seat license; 4) permitting unauthorized
recording or dupiicatio� of the LMS or any content therein, including making backup
copies, and/or CD's; S) broadcasting the !MS in any manner, including, but not limited to
sateli�te, cabie, dosed circuit television, or via video conference system; or 6) permit any
other use not expressiy granted in this agreement.
Subject to these terms and conditians, Organitation is hereby granted a term license for a
twehre month period from the effective date detailed above, for which payment has been
recetved. t?rganization may terminate this agreement for convernence upon 30 days
written notice. Term�nation shall not be effective until such wniten notice is received.
Parties may renew this agreement for an additional 12 month term upon written
agreement of the parties.
