Work on deleted sections 50 will not have begun prior to the change order execution. The deleted slurry seal and chip seal 51 DocuSign Envelope ID: C0635709-0630-47C6-A5FF-F7F6CEC3B6F7 PROJECT NO. 6016 APRIL 2021 2021 CITY ROAD PRESERVATION PROJECT 9 sections may be any of those listed in the attached project list provided in Appendix A. This 1 change consists of portions of the bid items found in the summary of quantities and on the 2 proposal form. The change of lump sum items will be pro-rated based upon the changed 3 quantities of the items with unit bid prices. The credit to the agency for such change orders 4 will be computed based upon the prices of the applicable bid items in the proposal. There will 5 be no provisions for payment of added or deleted profit, insurance, or other overhead items in 6 the addition or deletion of work. 7 8 1-04.6 Variation in Estimated Quantities 9 (May 25, 2006 APWA GSP; may not be used on FHWA-funded projects) 10 11 Supplement this section with the following: 12 13 The quantities for ***Latex Modified Slurry Seal Type 2 and 3/8-Inch Rock Chip Seal*** 14 have been entered into the Proposal only to provide a common proposal for bidders. 15 Actual quantities will be determined in the field as the work progresses, and will be paid at 16 the original bid price, regardless of final quantity. Therefore, after the award and/or during construction, the agency has the 22 option of deleting or adding to, by change order, the number of slurry or chip seal sections. 23 Work on deleted sections will not have begun prior to the change order. The deleted slurry or 24 chip seal sections may be any of those listed in the attached project list provided in Appendix 25 A. This change consists of portions of the bid items found in the summary of quantities and 26 on the proposal form. The change of lump sum items will be pro-rated based upon the 27 changed quantities of the items with unit bid prices. The credit to the agency for such change 28 orders will be computed based upon the unit prices of the applicable bid items in the proposal. 29 30 1-04.11 Final Cleanup 31 The list in the first paragraph of Section 1-04.11 is supplemented with the following: 32 33 (******) 34 3. An emergency situation is any situation when, in the opinion of the 5 Engineer, a delay in its remedy could be potentially unsafe, or might cause serious risk 6 of loss or damage to the public. 7 8 Direct or indirect costs incurred by the Contracting Agency attributable to correcting and 9 remedying defective or unauthorized work, or work the Contractor failed or refused to 10 perform, shall be paid by the Contractor. Payment will be deducted by the Engineer from 11 monies due, or to become due, the Contractor. Such direct and indirect costs shall 12 include in particular, but without limitation, compensation for additional professional 13 services required, and costs for repair and replacement of work of others destroyed or 14 damaged by correction, removal, or replacement of the Contractor’s unauthorized work. 15 16 No adjustment in contract time or compensation will be allowed because of the delay in 17 the performance of the work attributable to the exercise of the Contracting Agency’s 18 rights provided by this Section. 19 20 The rights exercised under the provisions of this section shall not diminish the 21 Contracting Agency’s right to pursue any other avenue for additional remedy or damages 22 with respect to the Contractor’s failure to perform the work as required. 23 24 1-05.11 Final Inspection 25 26 Delete this section and replace it with the following: 27 28 1-05.11 Final Inspections and Operational Testing 29 (October 1, 2005 APWA GSP) 30 31 1-05.11(1) Substantial Completion Date 32 33 When the Contractor considers the work to be substantially complete, the Contractor 34 shall so notify the Engineer and request the Engineer establish the Substantial 35 Completion Date. The Contractor’s request shall list the specific items of work that 36 remain to be completed in order to reach physical completion. The Engineer will 37 schedule an inspection of the work with the Contractor to determine the status of 38 completion. The Engineer may also establish the Substantial Completion Date 39 unilaterally. 40 41 If, after this inspection, the Engineer concurs with the Contractor that the work is 42 substantially complete and ready for its intended use, the Engineer, by written notice to 43 the Contractor, will set the Substantial Completion Date. If, after this inspection the 44 Engineer does not consider the work substantially complete and ready for its intended 45 use, the Engineer will, by written notice, so notify the Contractor giving the reasons 46 therefor. 47 48 Upon receipt of written notice concurring in or denying substantial completion, whichever 49 is applicable, the Contractor shall pursue vigorously, diligently and without unauthorized 50 interruption, the work necessary to reach Substantial and Physical Completion. The 51 DocuSign Envelope ID: C0635709-0630-47C6-A5FF-F7F6CEC3B6F7 PROJECT NO. 6016 APRIL 2021 2021 CITY ROAD PRESERVATION PROJECT 11 Contractor shall provide the Engineer with a revised schedule indicating when the 1 Contractor expects to reach substantial and physical completion of the work. 2 3 The above process shall be repeated until the Engineer establishes the Substantial 4 Completion Date and the Contractor considers the work physically complete and ready for 5 final inspection. 6 7 1-05.11(2) Final Inspection and Physical Completion Date 8 9 When the Contractor considers the work physically complete and ready for final 10 inspection, the Contractor by written notice, shall request the Engineer to schedule a 11 final inspection. The Engineer will set a date for final inspection. The Engineer and the 12 Contractor will then make a final inspection and the Engineer will notify the Contractor in 13 writing of all particulars in which the final inspection reveals the work incomplete or 14 unacceptable. The Contractor shall immediately take such corrective measures as are 15 necessary to remedy the listed deficiencies. Corrective work shall be pursued vigorously, 16 diligently, and without interruption until physical completion of the listed deficiencies. This 17 process will continue until the Engineer is satisfied the listed deficiencies have been 18 corrected. 19 20 If action to correct the listed deficiencies is not initiated within 7 days after receipt of the 21 written notice listing the deficiencies, the Engineer may, upon written notice to the 22 Contractor, take whatever steps are necessary to correct those deficiencies pursuant to 23 Section 1-05.7. 24 The Contractor will not be allowed an extension of contract time because of a delay in 25 the performance of the work attributable to the exercise of the Engineer’s right 26 hereunder. 27 28 Upon correction of all deficiencies, the Engineer will notify the Contractor and the 29 Contracting Agency, in writing, of the date upon which the work was considered physically 30 complete. That date shall constitute the Physical Completion Date of the contract, but shall 31 not imply acceptance of the work or that all the obligations of the Contractor under the 32 contract have been fulfilled. 33 34 1-05.11(3) Operational Testing 35 36 It is the intent of the Contracting Agency to have at the Physical Completion Date a 37 complete and operable system. Therefore when the work involves the installation of 38 machinery or other mechanical equipment; street lighting, electrical distribution or signal 39 systems; irrigation systems; buildings; or other similar work it may be desirable for the 40 Engineer to have the Contractor operate and test the work for a period of time after final 41 inspection but prior to the physical completion date. Whenever items of work are listed in 42 the Contract Provisions for operational testing they shall be fully tested under operating 43 conditions for the time period specified to ensure their acceptability prior to the Physical 44 Completion Date. During and following the test period, the Contractor shall correct any 45 items of workmanship, materials, or equipment which prove faulty, or that are not in first 46 class operating condition. Equipment, electrical controls, meters, or other devices and 47 equipment to be tested during this period shall be tested under the observation of the 48 Engineer, so that the Engineer may determine their suitability for the purpose for which 49 they were installed. The Physical Completion Date cannot be established until testing 50 and corrections have been completed to the satisfaction of the Engineer. 51 52 DocuSign Envelope ID: C0635709-0630-47C6-A5FF-F7F6CEC3B6F7 PROJECT NO. 6016 APRIL 2021 2021 CITY ROAD PRESERVATION PROJECT 12 The costs for power, gas, labor, material, supplies, and everything else needed to 1 successfully complete operational testing, shall be included in the unit contract prices 2 related to the system being tested, unless specifically set forth otherwise in the proposal. 3 4 Operational and test periods, when required by the Engineer, shall not affect a 5 manufacturer’s guaranties or warranties furnished under the terms of the contract. 6 7 Add the following new section: 8 9 1-05.12(1) One-Year Guarantee Period 10 (March 8, 2013 APWA GSP) 11 12 The Contractor shall return to the project and repair or replace all defects in 13 workmanship and material discovered within one year after Final Acceptance of the 14 Work.
