SUMMARY: November 303 2020 Wave Cable submitted a notice of Transfer of Control of their
Parent Company Wave Division IV, LLC/d/b/a Wave Broadband. The Wave Division Broadband
Franchise will continue to be held by the same legal entity that holds this Broadband Franchise
today. However, it will operate under the ultimate ownership and indirect control of StonePeak
Infrastructure Partners. The new controlling company, Stone Peak Infrastructure Partners
("StonePeak") has no current plans to change local operations or structure of the operations or
services offered. It is however expected to make additional resources available to Bremerton with
which it can enhance its network and improve services in the City of Bremerton. Per section 15A (A)
of the current franchise the City Council is required to approve this transfer via resolution.

RECOMMENDED MOTION:
Move to pass Resolution No. 3337 approving the Change of Indirect Control of the Franchisee under
the Cable Television Franchise; and authorizing the Mayor to sign Resolution No. 3337 into action to
implement procedural updates to comply with Section 15.1 of the Franchise Agreement.
