Michelle[mailto:Miche_I_le.Caldieraleo.wa.go_v] Sent: Monday, June 05, 2017 9:15 AM To: Patty Lent Subject: $50,000 payment to the Bremerton Historic Ships Assodaiton Mayor Lent, Hello! I reached out to the Office of Public Research about the inquiryin your email and below you will find their response: "Relying on judicial rulings about consideration, the state has developed a program for capital (construction) grants to governmental and private non -profits that provide community recreational, educational, or cultural services. Under a statutoprocess, non -profits may apply to the state for grants to finance a portion of the cost of building or improving a facility that provides these types of community services. The grants must be used for the specific capital purpose and may not be used for the general operating costs of the non-profit." Part of the reason these projects are put through these programs is to make sure the public is receiving value for the contribution. Most Capitol Budget requests include many entities that contribute to make this project possible, including cities, counties and ports. The USS Turner Joy Museum was able to increase its priority compared to other applicants due to the matching funds from the city and the port. Thank you so much for your continued support of the USS Turner Joy and the impact it has on the community. Perhaps your constituent who the letter might also understand the importance of the USS Turner Joy if he took a tour of the ship. Vendor further represents that the services furnished under this Agreement will be performed in accordance with generally accepted professional practices in effect at the time such services are performed, as outlined in the Work Specifications. 2. TIME OF COMPLETION. The term of this Agreement shall commence on June 12, 2017 and will terminate on June 11, 2022, unless terminated earlier pursuant to this Agreement. 3. COMPENSATION. The descriptions shall conform to and fall within the categories set out in the Scope of Work. Upon receipt of a conforming billing statement, the City shall promptly process the payment. Vendor shall not perform work beyond the Scope of Work and Duties, nor shall Vendor be compensated for such work, unless the Scope of Work and Duties or amount of compensation is modified pursuant to this Agreement. Vendor shall only be compensated for additional services if requested pursuant to Section I OX and, if not otherwise provided, such compensation shall be in accordance with this Section. If a billing statement does not conform to this Agreement, the City may withhold payment until the statement is brought into compliance. Such withholding does not relieve Vendor of its obligations under this Agreement. 4. INDEPENDENT CONTRACTOR. Vendor is and shall be at all times acting as an independent contractor and not as an employee of the City. The Vendor shall secure at its expense, and shall be responsible for all payments of income tax, social security, state disability insurance compensation, unemployment compensation, and all other payroll deductions for the Vendor, officer, agents, employees and subcontractors. CHANGES. The City may issue a written change order for any change in the services to be provided during the performance of this Agreement. If the Vendor determines, for any reason, that a change order is necessary, Vendor must submit a written change order request to an authorized agent of the City within fourteen (14) calendar days of the date Vendor knew or should have known of the facts and events giving rise to the requested change. If the City determines that the change increases or decreases the Vendor's costs or time for performance, the City will make an equitable adjustment. The City will attempt, in good faith, to reach agreement with the Vendor on all equitable adjustments. However, if the parties are unable to agree, the City will determine the equitable adjustment as it deems appropriate. The Vendor shall proceed with the change order work upon receiving either a written change order from the City or an oral order from the City before actually receiving the written change order. If the Vendor fails to require a change order within the time allowed, the Vendor waives its right to make any claim or submit subsequent change order requests for that portion of the contract work. If the Vendor disagrees with the equitable adjustment the Vendor must complete the change order work; however, the Vendor may elect to protest the adjustment as provided below: A. Procedure and Protest by the Vendor. If the Vendor disagrees with anything required by a change order, another written order, or an oral order from the City, including any direction, instruction, interpretation, or determination by the City, the Vendor shall: 1. If the City determines that a protest is valid, the City will adjust payment for work or time by an equitable adjustment. No adjustment will be made for an invalid protest. B. Veiidor's Duty to Complete Protested Work. In spite of any protest, the Vendor shall proceed promptly to provide the goods, materials and services required by the City under this Agreement. C. Vciidor's Acceptance ofChasi es. The Vendor accepts all requirements of a change order by: (1) endorsing it, (2) writing a separate acceptance, or (3) not protesting in the way this section provides. D. Failure to Protest Constitutes Waiver. By not protesting as this section provides, the Vendor also waives any additional entitlement and accepts from the City any written or oral order (including directions, instructions, interpretations, and determination). Vendor shall defend, indemnify and hold the City, its officer, officials, employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal costs and attorney fees, arising out of or in connection with the performance of this Agreement. Vendor's obligation to indemnify shall not extend to that portion of damages caused by the City's sole negligence. The City's inspection or acceptance of any of Vendor's work when completed shall not be grounds to avoid any of these covenants of indemnification. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Vendor and the City, its officers, officials, employees, agents and volunteers, the Vendor's liability hereunder shall be only to the extent of the Vendor's negligence. Each year the City assesses its current fiscal year budget and addresses any needed adjustments that have come to the attention of the staff in Financial Services. Adjustments for both revenue and expenditures are brought forward for the following reasons: to adjust the estimated beginning fund balances to actual, to account for subsequent unanticipated/unexpected conditions, to account for previously approved projects that were underway in 2016 that were not concluded and require carryover expenditure authority, to reallocate revenue and expenditure line items within budget control categories with zero net increase, and to formally account for various council motions/resolutions previously approved to date during 2017. Enclosed is the mid -year budget amendment ordinance and detailed supporting schedules. Noteworthy items are as follows: General Fund • Changes in personnel which have been previously approved by Council include $2,400 in Council salaries, $118,500 for the addition of a CE II position in Engineering and $24,806 for a BDS III position upgrade in the Department of Community Development. An adjustment of $8,800 in Legal and $8,500 in HR is also budgeted for temporary extra help. • Carryover items in the General Fund include $88,913 in General Facilities for the Police Roof Project, $69,240 in Engineering for the completion of the Navy Tunnel/Equipment and $42,400 in Human Resources for professional services. • A transfer -out from the General Fund to the Risk Management Fund is budgeted to offset expenses associated with unexpected/unforeseen claims, $500,000. Other Funds • The Parking Fund includes a $21,365 carryover in professional services for the comprehensive parking study which is anticipated to be completed by mid -summer. • The General Government Capital Improvement Fund includes $52,166 in transfers -out to Parks Construction for Harborside Fountain Repairs (carryover) and a contribution to the Lions Legacy/Zip Line Project. An additional transfer -out of $88,913 is budgeted to fund the Police Roof Project also carried forward into 2017. • The Transportation Capital Projects Fund 315 includes a budget adjustment of $1,675,490 for the West Belfair Valley Road and Tracyton Beach Road Project which is fully funded by a Highway Safety Improvement Program grant. Other adjustments for project carryovers and true -ups include -$18,217 for Crown Hill Safe Routes, $205,885 for Navy Safety Project, $234,851 for Bremerton Crosswalks, -$10,792 for the Highway Safety Project Phase 2, and $25,742 for Austin Drive. • As mentioned previously, the roadway construction component of the Lebo Blvd Construction Project was not budgeted in 2017, only design. The adjustment brought forward in this amendment includes final design and construction costs in the amount $4,749,165. • The WA Avenue Connector Fund includes a budget carryover of $300,946 to finalize the Schedule 74 component and complete remaining ADA ramp and sidewalk work. When the project is complete, any remaining match funding will be transferred back to its origination source when the fund is closed. • Water Capital items that have been previously approved by Council, but are noteworthy due to the dollar amount, include a carryover of $65,400 for a Low Boy Trailer, $71,078 for two Water Utility vehicles, and $1,422,903 for the Reservoir 4 Replacement Cover Project which is funded by a Drinking Water State Revolving Fund low interest loan. • Claims payments for the City's Self Insured Health and Welfare Reserve Fund are allowable for up to twelve months from the time of service. The budget adjustment of $197,763 utilizes the remaining fund balance for this purpose. Budget adjustments are necessary to properly reflect the nature and extent of revenues and expenditures of the various City funds and departments. The attached ordinance and supporting schedules (by fund) include adjustments by budget control category for both revenues and expenditures with a City-wide appropriation, including fund balance, of $169,313,086. 2 The target ending fund balance is 8.5% of annual expenditures excluding capital. The target fund balance for the 2017 budget as amended is $3,479,662. The actual ending fund balance after the proposed amendments is $5,899,011 which is higher than the target amount by $2,419,349. The 2017 budget as proposed, includes an ending fund balance which exceeds the target, and is increased from the previously adopted budget by $990,960. The financial planning goal is to maintain an ending fund balance that meets or exceeds the target level.
