MASTER CONTItACT USAGIC AGREL�MENT
1'his Master Contract Usage Agreement (the "AgreemenY') is made puisuant to Chapter 39 34 of
the Revised Code of Washingtan, and other applicable laws, by and between the state of
Wasl�ington (the "State"), acttn by d throu the Depa� qnent of Cnterprise Seiw�ces ("DES"),
an agency of the State, and D �,(

I. u� se. The purpose of the A�reement is to establish tlte terms a��d conditions for when
Buyer purehases or acqu�res goods and services for its direct use under conhacts entered into
by DES that pennit such use ("Master Contracts")
2 Duration: This Agreement witl become effective on date of execution, and will continue in
ful! force and effect unt�l thirty (30) days follow�ng rece�pt of written uot�ce from e�ther pa� ty

5. Financial Responsibilitv: Buyer w�ll deal directly with @ie Master Contract contracto�,
supplier, or service suppl�e� ("Contractor") for any purchases Buyer makes pursuant ta this
Agreeinent and under a Master Contract. DES does not accept any responsibility, financial
or otherwise, for any pui�chase Buyer makes under a Mastci Contract
4. Cancellation of A ��eement• This agreement can be tenninated by either party upon 30 days
written notice provided to DES at:

6 Com I'ance with Other L ws. Each of the parties will compiy w�th al) applicable federal,
state, and iocal laws and regulations governing its own purchases.
7. Master Contract Audits: Buyer agrees to cooperate with DES, the Office of the State
Auditor, federai of�icials, or any third party suthorized by law, rule, regulation or contract, �n
any sudit conducted by such party related to any Master Contract(s) that Buyer has made
purcheses from pursuant to this Agreement, includmg providing records related to any
purchase from a Master Contract. In add�tion, Buyer agr�es to provide, upon request from
DES, documentat�on to confirm its eligibility to use Master Contracts.
8. Dispute Resolution: If there are any disputes between Suyer and a Contractor, Buyer agrees
to (a) provide DES written notice of the nature of the dispute; and (b) unless otherw�se
provided in the Master Contract or as set forth below, work tn good faith with the Contractor
to resolve the dispute without the �nvolvement of DES. DES may� upon request, review and
assist in the resolut�on of a d�spute, and if DES chooses to do so, the Buyer will cooperate
with DES in that resolution process.
In its sole discret�on, DES may, but is not obligated to, upon written notice to Buyer, resolve
disputes with a Contractor on behalf of Buyer and all other state, local, and federal agenc�es,
local governments, and public benefit nonprofit corporations with similar or reiated disputes
with such Contractor.
9. No Separate Entitv No separate legal or admm�strative entity is intended to be created by, or
for the adm�mstration of, th�s Agreement.
10 Hold Harmless. Each party agrees to defend, indemnify, and hold the other party harmless
from any claim arising from such party's sole negligent, reckless, or w�ilful misconduct
i l Entire A reement This Agreement sets forth thc entire agreement between the parties, and
supersedes any other prior written agreements between the part�es, with respect to the sub�ect
matter hereof.
