Home My WebLink About5256Contract Number: Vendor• Sub�ect• Department• File Class Begin Date End Date Review Date Vault Date 5256 POPE RESOURCES License Agreement - Maintain Timber Road Forestry LEG 12-1 6/7/2013 12/31/2015 9/30/2015 2017 Comments LICENSE AGREEMENT This Revocable License Agreement ("Agreement") made and entered into between the CITY OF BREMERTON ("Crty") and POPE RESOURCES, A DELEWARE LIMITED PARTNERSHIP ("Licensee") In consideration of the terms, condrtions, covenants and performances contained herein, rt is mutualiy agreed as follows 1 DESCRIPTION OF PREMISES• The City hereby grants a license under the terms set forth m this Agreement to the Licensee to use the followulg descnbed premises ("Piennises") as illustrated m Exhibrt A as "New Road Construction on Bremerton Watershed" Crty Water Utility property m part NW1/4 SW1/4 Section 34, Townslup 24 North, Range 1 West, W M(part of tax parcel #342401-1-001-1006) 2 USE Licensee may use the prenuses to construct and maintam a temporary road for the purpose of hauling timber from property owned by Licensee 3 TERM Trus Agreement shall become effecrive upon executaon of the Agreement and sha11 termmate on December 31, 2015 This CiTy may revoke the license or otherwise termmate the Agreement at any t�me for its convemence 4 MAINTENANCE AND REPAIR At the time of the execution of this Agreement, the Licensee is responsible for construcring, maintaimng and repainng any and all road on the premises during the continuance of this agreement Licensee shall restore the property to its pre-Agreement condit�on at the conclusion of this Agreement 5 TERMINATION This Agreement may be termmated by either party, wrthout cause, by givmg wntten notice of not less than thirty (30) days pnor to the effective date of = termination Pro-rata refunds for the remairung pre-paid rental term shall be refunded to Licensee should either party initiate termination _ 6 ENTIRE AGREEMENT This Agreement and rts Exhibrts constrtutes the ent�re agreement between the Parhes, and the Parhes acknowledge that there are no other agreements, written or oral, that ha.ve not been set forth in the text of this Agreement 7 SEVERABILITY Should any part of tlus Agreement be found void, the balance of the Agreement shall remam in full force and effect 8 MODIFICATION This Agreement may only be modified by wntten mstrument signed by both Parties 9 WRITTEN NOTICES All commumcahons regardmg this Agreement shall be sent to the parties at the addresses listed below by registered or lst class mail, or by personal service, and shall be deemed sufficiently given if sent to the addressee at the address stated in tlus Agreement or such other address as may be hereafter specified in wrrting. In the event of lrtigahon to enforce any of the terms or proviszons herem, each party sha11 pay all its own costs and attorney's fees 14 ASSIGNMENT Any assignment of tlus agreement by the Licensee vv�thout the written consent of the City sha11 be void 15 INDEMNIFICATION: Licensee shall defend, mdemrufy and hold the City, rts officers, officials, employees, agents and volunteers harmless from any and all claims, in�unes, damages, losses or surts, mcludmg a11 legal costs and attorney fees, ansmg out of or m connection wrth Licensee's use or improvement of the Premises. IT IS FURTHER SPECIFICALLY AND EXPRESSLY UNDERSTOOD THAT THE 1NDEMNIFICATION PROVIDED HEREIN CONSTITUTES THE LICENSEE'S WAIVER OF IMMUNITY UNDER INDUSTRIAL INSURANCE, TITLE 51 RCW, SOLELY FOR THE PURPOSES OF THIS INDEMNIFICATION THE PARTIES FURTHER ACKNOWLEDGE THAT THEY HAVE MUTUALLY NEGOTIATED THIS WAIVER The provisions of ttus sechon shall survive the expiration or terrrunahon of this Agreement 16 INSURANCE: Licensee shall procure and mauitain for the duration of the Agreement, insurance agauzst claims for in�uries to persons or damage to property which may anse from or m connection with the use or improvement of the Premises by Licensee, rts agents, representahves, employees, or sub-contractors Before Licensee may use the license granted m this Agreement, the Licensee shall provide a Certificate of Insurance evidencing A. Automobile Liability uisurance with limrts no less than $1,000,000 combined smgle limrt per accident for bodily m�ury and property damage, and B. Commercial General Liabilitv insurance written on an occurrence basis with linuts no less than $1,000,000 combined smgle luiut per occurrence and general aggregate for personal in�ury, bodily in�ury and property damage Coverage shaLl mclude ORM License Agreement Page 2 of S but not be limrted to blanket contractual, products/completed operations/bioad form property damage, loggers broad form, explosion, collapse and underground (XCU) if applicable, and employer's liabilrty, and _ C.
