AMENDMENT NO. 1 TO
SERVICE AGREEMENT
This Amendment No 1 to Service Agreement, dated as of the date written below (this
"Amendment "), between the City of Bainbridge Island ( "City ") and Bremerton Kitsap Access
Television ( "BKAT ") amends that certain Service Agreement, dated December 15, 2010
between the City and BKAT (the "Agreement ")
WHEREAS, City and BKAT entered into the Agreement to provide governmental access
television services,
WHEREAS, City desires to extend the term of the Agreement,
NOW, THEREFORE, City and BKAT agree to amend the Agreement as follows
1 Section 3 is hereby amended to read as follows
Section 3. Term This Agreement shall continue from month to month until
terminated in accordance with Section 4be for a peri of six ( 6) meaths

2 Except as modified herein, all other terms and conditions to the Agreement shall remain
in full force and effect

T}us Agreement is made and executed on ttus �day of December, 2010, by and between the
Crty of Bremerton (hereinafter referred to as "Bremerton"), which operates Bremerton Kitsap
Access Television (hereuiafter referred to as "BKAT") and the City of Bambndge Island
(heremafter referred to as "Ba�nbndge") Bremerton and Ba�nbndge hereby agree as follows
Sect'on 1. Scope of Services. In exchange for fundmg provided by Bainbndge to Bremerton,
BKAT shall provide governmental access television services mcludmg but not hrruted to video
production and program schedulmg BKAT shall provide techrucal support, consultation, pre-
production and post-production services, properly tra�ned staff and volunteers, dvd dupl�cation
and del�very no later than the 2° busmess day following completion of pro�ect to program
sponsor, and coordmation of programmmg hours of the Government Access Channel on
Bainbndge Island

schedule programs produced under ttus Agreement
BKAT shall provide production and playback of regularly scheduled Crty Council meetmgs and
study sessions
Production requests by Bambndge over and above those specified above wxll be arranged on a
per production basis Fees for these services are separate from this Agreement BKAT unll
provide a worksheet of fees (Attachment B) and will work v�nth Ba.mbndge on a production
schedule and ttmehne for completion Bambndge shall have total control over content of special
productions
BKAT will work wrth Ba�nbndge to estabhsh regular, consistent playback tunes for programs
produced under tlus Agreement Once scheduled, program rimes shall not be moved, altered or
deleted vv�thout the consent of Bambndge
Section 2. Pavanent Obligatioaas A monthly mvoice will be provided to Bambndge It is the
responsibihty of Bambndge to ensure payments are irut�ated and completed wltlun 30 days of
receipt

2011 and ternunatmg June 30, 2011
Section 4. 'I'ermanateon. E�ther party to this Agreement may ternunate the Agreement wrthout
cause upon givmg tlurty (30) days' wntten notice to the other party
Sect�on S. Severab�itv. In the event a.ny provision m tlus Ageement is deemed
unconstitutional, illegal, or void as a matter of law, the parties agree that all of the provisions of
this Agreement that are not affected by such occurrence, sha11 constrtute a full and complete
Agreement between the parties
Sect�on 6�adegnnifv and �old �arrnless. The parties sha11 each mdemrufy, defend, and hold
the other harmless from and agamst any and all claims, suits, actions, causes of action, losses,
damage, or habihties ansmg or resultmg fram any alleged negligent or mtentional acts or
ortussions ansmg out of the performance or non performance of their respective responsibihties as
set out m this Agreement
