PARKING AGREEMENT
THIS PARKING AGREEINENT is entered into by and between the CITY of
BREMERTON, a muniapal corporation organized and existing under the laws of the State of
Washington, (hereinafter referred to as the "City"), and Medicai Dental Budding
Investment Group LLC (hereinafter referred to as the "Licensee")

1. PRENIISES: City is the legal owner of the Municipal Parking Garage (herein after
referred to as the "garage'� located at 451 Washington
The City hereby grants to L�censee permits for parking spaces in the garage for the uses
and purposes described herein
2. USES AND PURPOSES: The City hereby agrees to sell to Licensee and the Licensee
hereby agrees to purchase from the City 30 parking permits for parking in the garage by D4
employees The monthly fee for the permits shall be at the rate established �n Section 4 below
The 30 parking permits purchased by the Licensee shall entitle D4 employees the nonexclusive
right to park motor vehicles within levels 8 through 9 of the Garage All vehicles shall be
parked one vehicle per space and such vehicle(s) shall be parked entirely within the parking
space
Notwithstanding any other provision herein, the Licensee shall not enter into any other
sublicense of the premises or any portion thereof or any assignment of any mterest m this
Agreement whether long or short term in nature, or engage in any activity with respect to or on
the premises other than the express use(s) and purpose(s) stipulated herein, without obtaining
the prior written authorization therefore from the City
3. TERM: The term of this Agreement shall be for a period of seven (7) years from the
date of execution However, Licensee shall have the option to terminate this Agreement at any
time with ninety (90) days written notice to the City City shall have the option to terminate this
Agreement as follows 1) with thirty (30) days written notice to the Licensee �n the event the of
a ma�or repair or improvements to the garage structure by City, 2) immediately in the event of
ma�or damage or destruction of the garage structure, or 3) upon breach of this Agreement by
Licensee and failure to cure following (30) days written notice to cure said default
4. COMPENSA7'ION: Licensee shall make payment to the City monthly in advance
before the first day of each month as follows $30 00 per permit for 30 total permits or $900
per month
5. INDEMNIFICATION: Licensee shall defend, indemnify and hold the City, its
officers, officiais, employees, agents and volunteers harmless from any and all claims, in�uries,
damages, losses or suits, including all legal costs and attorney fees, arising out of or in
connection with the performance of this Agreement, except for that portion of the inJuries and
damages caused by the City's sole negiigence This provision survives the termination and/or
expiration of this agreement

6. NOTICES: A// notices and payments to be given by either of the parties hereto to
the other party shali be in writing and may either be delivered personally or may be deposited
in the United States Mail, postage prepaid, as either certified or regular mail addressed as
specified below

RELATIONSHIP: In no event shall the City be construed, or held to have become in
any way or for any purpose a partner, associate or Joint venturer of the Licensee or any party
associated with the Licensee in the conduct of the Licensee's business or otherwise
PNYSCELLAIVEOUS: This Agreement constitutes the ent�re agreement and
understanding of the parties, and supersedes all other agreements There are no
representations or understandings of any kind not set forth herein Any amendments to this
Agreement must be in writing and executed by both parties
