AGREEMENT
This AGREEMENT is executed by and between the CITY OF BREMERTON,
WASHINGTON, hereinafter referred to as the "City", and the BREMERTON SCHOOL
DISTRICT, hereinafter referred to as the "District", on this � day of 6L'�'U�21-�C.. , 2010.
WHEREAS, the City and the District are cooperating to provide a"Youth Wellness
Center" campus for the community; and
WHEREAS, the District owns property where the Bremerton "Youth Wellness Center"
campus is proposed to be located; and
WHEREAS, it is necessary to have a geotechnical engineering investigation and Phase I
environmental site assessment completed for the proposed Bremerton "Youth Wellness Center"
campus; and
WAEREAS, the City has agreed to pay $6,500.00 towards the cost of the geotechnical
report.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained
herein, the sufficiency of which is hereby acknowledged, the parties hereto hereby agree as
follows:
1. The City will pay Six Thousand Five Hundred Dollars ($6,500.00) towards the costs of a
geo-technical report for the proposed Bremerton "Youth Wellness Center" campus.
In consideration of the City's promises as set forth in this Agreement, the District, with respect to
the matters set forth in this Agreement agrees:
1. To sign a contract with EnviroSound Consulting, Inc. for a geotechnical engineering
investigation and phase I environmental site assessment (geotechnical report) for the
proposed Bremerton "Youth Wellness Center" campus and comply with the provisions of
such contract. -
2. To administer and ensure that the geotechnical report provides sufficient information that
it will be useful for the development of the entire Bremerton "Youth Wellness Center"
campus.
3. To provide a copy of the geotechnical report completed by EnviroSound Consulting, Inc.
to the City.

4. To defend, indemnify and hold the City, its officers, officials, employees, agents and
volunteers harmless from any and all claims, injuries, damages, losses or suits, including
all legal costs and attorney fees, arising out of or in connection with this Agreement or the
Agreement between the District and EnviroSound Consulting, Inc.
This Agreement represents the complete and exclusive agreement between the parties in
settlement of all matters, claims, and disputes between them arising from or relating to the
matters set forth herein, and supersedes all prior written or oral agreements, offers, discussions,
or understandings of any kind whatever. This Agreement may only be amended in writing,
signed by the parties.
This Agreement shall be interpreted and enforced under the laws of the State of Washington.
If any provision of this Agreement is held to be illegal, invalid or unenforceable under present or
future laws, such provision shall be fully severable and this Agreement shall be construed and
enforced as if such provision had never comprised a part of this Agreement, and the remaining
provisions of this Agreement shall remain in full force and effect, and shall not be affected by the
illegal, invalid or unenforceable provision or by its severance from this Agreement.
