The proposed ordinance amends Chapter 10.10 entitled "Restricted Parking Zones" and Chapter 10.11 entitled "Parking Enforcement" of the Bremerton Municipal Code. Carlos Jara stated that he was a downtown business owner, and was also a member of the Ad -Hoc Parking Committee, and that the proposed action would address the issues that were discussed by the Committee, and therefore urged the Council for their support. 06:06:06 Motion was made by Arends; and seconded by Runyon. Discussion then began by the Council Members... Roy Runyon thanked everyone who participated on the Ad -Hoc Downtown Parking Committee to resolve issues with downtown parking; and mentioned that the Council would next form an Ad -Hoc Committee to resolve some of the parking issues related to residential areas. Carol Arends expressed her support for this action. Greg Wheeler also expressed his support. Will Maupin stated that as a member of the Ad -Hoc Downtown Parking Committee, his hope was to not only address some of the on -going issues with downtown parking, but to improve the poor perception that the public has about parking in downtown Bremerton and to make it more "customer friendly ". He feels that this ordinance will be a positive step in the right direction, just as the previous action taken by the Council was to restrict handicap parking; but regrets that they could not come up with a way to resolve all of the problems. 06:14:35 M /S /C /U (Arends /Runyon) Move to pass Ordinance No. 5122 amending Chapter 10.10 of the Bremerton Municipal Code' entitled "Restricted Parking Zones" and Chapter 10.11 of the Bremerton Municipal Code entitled "Parking Enforcement ". 613 ORDINANCE NO. 5115 AMENDING SECTION 5.02.040 ENTITLED 2 cRNCTION 5 EN T - IT' z^n" S€PAR_AT € r - € r -RAI6 BUSINESS 11 CMISSFRE^'v'll €D— ^o, --T,S Mrshfir-RTON MUNICIPAL CODE (13MG! Minutes Wednesday, September 15, 2010 Page 3 of 4 PUBLIC HEARING 7A — CONCESSION AGREEMENT WITH PIERCE COUNTY- KITSAP YMCA Roger Lubovich City Attorney explained that the proposed agreement replaces the current concession agreement between the City of Bremerton and the YMCA for use of the 3.1 acre land parcel upon which the YMCA facility has been located since 1984. The agreement extends the YMCA's term of use for the property and incorporates the management, maintenance, and operation of the City's pool approved by Council during its September 1 meeting. The property upon which the YMCA facility is situated is subject to the City's Park Protection Ordinance, Chapter 13.12 of the Bremerton Municipal Code (BMC). Although the agreement and its terms are not drafted as a lease but as a concession, staff is recommending that approval be processed under this code with two public hearings before final approval. Parks & Recreation Director Wyn Birkenthal added that a Parks Commission Special Meeting was called to allow the Commissioners time to review this Concession Agreement, which they unanimously approved. President Wofford opened the Public Hearing to the public for comment... Mike Walton YMCA Marketing Director and Executive Director for the Kitsap Public Facilities District, presented a report completed by the Kitsap Public Facilities District two years ago when they studied other community pools in the area and the difficulties they had in operating community recreation pools; Jane Erlenson YMCA Director of Operations, discussed some of the programs offered by the YMCA that are important to the community of Bremerton such as Date Night for Military couples and Splash & Jam for youth; and urged Council to support the agreement. Dan Nohel explained that he was the first manager of the City's pool, and thanked Council Members McConnell and Brockus for voting against the Concession Agreement at the last Council Meeting because he continues to be against the action taken by the Council last week to turn over the management of the Pool to the YMCA; also expressed his concern about the lack of public notice when the issue about the pool was initially discussed. Bert Warner was against the pool closing. President Wofford clarified that the pool was not closing, but that it would now be managed by the YMCA instead of the City. No action was taken. This was the 1 of 2 Public Hearings, Action is anticipated at the 2" Public Hearing to be held during a Special Meeting next week on September 22, 2010... COUNCIL MEMBER REPORTS Will Maupin thanked the individuals who served on the Ad -Hoc Downtown Parking Committee; and pointed out the Robert (Bob) Dollar was appointed to the Parks Commission earlier in the meeting and thanked Mr. Dollar for his willingness to serve. He was also surprised to learn that the City of Federal Way applied for and was awarded $1- million per year for an economic development project, but they do not currently have a project so they are not using the money. He also discussed the EB -5 Program which is a state program that was developed to bring in money from foreign investors. Carol Arends discussed her attendance at the CenCom Budget Committee Meeting earlier today with Mayor Patty Lent and fellow Council member Greg Wheeler. Dianne Robinson announced that a Veterans Job Fair was going to be held on Saturday, September 25 from 10:00 AM to 2:00 PM in the Jackson Park Community Center; and an Organizing Effective Coalitions utilizing the Strategic Prevention Framework workshop would be on September 28 & 29 from 9:00 AM to 4:00 PM in the Meeting Chambers. On a serious note, he explained that he wanted to attend the 9- 11 Ceremony but came down with a case of vertigo. Jim McDonald also attended the 9 -11 Memorial Ceremony, which he too found very moving; and also attended the Manette Fest which he enjoyed very much. Council Members present were Will Maupin, Carol Arends, Dianne Robinson, Greg Wheeler, Roy Runyon, Adam Brockus, Cecil McConnell, and Jim McDonald. The Pledge of Allegiance was led by Council Member Jim McDonald PUBLIC HEARING 2A — 2 nd OF 2 PUBLIC HEARINGS REGARDING THE CONCESSION AGREEMENT WITH THE PIERCE — KITSAP YMCA Roger Lubovich City Attorney, summarized that the first hearing was held on September 15 for public input, and that following input tonight, action is now required. President Wofford opened the Public Hearing to the public for comment... Dan Nohel reiterated his concerns about the lack of public notification regarding the pool's financial problems and proposed fee increases; and pointed out that the actual amount the City will be subsidizing the pool through this agreement will be much higher than estimates provided by staff. Bob Ecklund President of Pierce - Kitsap YMCA, continued to pledge assistance to financially challenged people who wish to use the pool. President Wofford stated that with no further input, public comment was now closed... 05:11:15 Motion was made by Jim McDonald, and seconded by Roy Runyon ... Discussion was then opened to the Council... Cecil McConnell was opposed to the 30 -year term of the agreement; and believed the proposed rates for users were too high. Jim McDonald requested clarification on the hearing process. Roger Lubovich explained that this was a lease of parks property and therefore is subject to the Parks Protection Ordinance which requires two public hearings. Roy Runyon asked for more information on parking. Mr. Lubovich summarized that YMCA users may use the Ice Arena parking lot as an overflow parking lot. Wyn Birkenthal Parks & Recreation Director, clarified that the lot by the Ice Arena is actually property owned by the YMCA. Mr. Runyon then asked if approving this agreement will allow the Parks Department to meet budget targets as set out by the Mayor and Council. Mr. Birkenthal answered no. Carol Arends believed that keeping the pool open is very important to the community, and was pleased that the YMCA is agreeable to operating the pool. She also pointed out that contrary to comments made by citizens that the City has known about this issue for awhile, the Council actually did not know about the issues with the pool until only recently. Adam Brockus agreed with concerns expressed by Mr. McConnell about the length of the agreement. Will Maupin believed that although Parks programs may not be highly prioritized relative to other City services, he was pleased that this agreement would allow the pool to remain open. He also emphasized that the YMCA is more capable in making the needed improvements to the pool. Greg Wheeler reminded the citizens that they have asked the City to seek out partnerships to continue services by maintaining or lowering expenses; and the length of the contract allows the YMCA to re -coop their initial investment on capital improvements at the facility. City Council Special Meeting & Study Session Minutes Wednesday, September 22, 2010 Page 2 of 2 Dianne Robinson supported this agreement as a good alternative to closing the pool. 05:25:10 M /S /C (McDonald /Runyon) Move to enter into the Concession Agreement with Pierce - Kitsap YMCA; and authorize the Mayor to finalize and execute the Agreement with substantially the same terms and conditions as presented. TERMINATION. The City may terminate this Agreement for good cause. "Good cause" shall include, without limitation, any one or more of the following events: A. The Vendor's refusal or failure to supply a sufficient number of properly skilled workers or proper materials for completion of this Agreement. B. The Vendor's failure to complete this Agreement within the time specified in this Agreement. C. The Vendor's failure to make full and prompt payment to subcontractors or for material or labor. D. The Vendor's failure to complete with federal, state or local laws, rules or regulations. E. The Vendor's filing for bankruptcy or becoming adjudged bankrupt. If the City terminates this Agreement for good cause, the Vendor shall not receive any further monies due under this Agreement until the goods, materials and services required by this Agreement are completed and fully performed. 6. CHANGES. The City may issue a written change order for any change in the goods, materials or services to be provided during the performance of this Agreement. If the Vendor determines, for any reason, that a change order is necessary, Vendor must submit a written change order request to an authorized agent of the City within fourteen (14) calendar days of the date Vendor knew or should have known of the facts and events giving rise to the requested change. If the City determines that the change increases or decreases the Vendor's costs or time for performance, the City will make an equitable adjustment. The City will attempt, in good faith, to reach agreement with the Vendor on all equitable adjustments. However, if the parties are unable to agree, the City will determine the equitable adjustment as it deems appropriate. The Vendor shall proceed with the change order work upon receiving either a written change order from the City or an oral order from the City before actually receiving the written change order. If the Vendor fails to require a change order within the time allowed, the Vendor waives its right to make any claim or submit subsequent change order requests for that portion of the contract work. If the Vendor disagrees with the equitable adjustment the Vendor must complete the change order work; however, the Vendor may elect to protest the adjustment as provided below: A. Procedure and Protest by the Vendor If the Vendor disagrees with anything required by a change order, another written order, or an oral order from the City, including any direction, instruction, interpretation, or determination by the City, the Vendor shall: 1. Immediately give a signed written notice of protest to the City; 2. Supplement the written protest within fourteen (14) calendar days with a written statement that provides the following information: a. The date of the Vendor's protest. b. The nature and circumstances that caused the protest. C. The provisions in this Agreement that support the protest. d. An analysis of the progress schedule showing the schedule change or disruption if the Vendor is asserting a schedule change or disruption. 3. The Vendor shall keep complete records of extra costs and time incurred as a result of the protested work. The City shall have access to any of the Vendor's records needed for evaluating the protest. The City will evaluate all protests, provided the procedures in this section are followed. If the City determines that a protest is valid, the City will adjust payment for work or time by an equitable adjustment. No adjustment will be made for an invalid protest. B. Vendor's Duty to Complete Protested Work In spite of any protest, the Vendor shall proceed promptly to provide the goods, materials and services required by the City under this Agreement. C. Vendor's Acceptance of Changes The Vendor accepts all requirements of a change order by: (1) endorsing it, (2) writing a separate acceptance, or (3) not protesting in the way this section provides. A change order that is accepted by Vendor as provided in this section shall constitute full payment and final settlement of all claims for contract time and for direct, indirect and consequential costs, including costs of delays related to any work, either covered or affected by the change. D. Failure to Protest Constitutes Waiver By not protesting as this section provides, the Vendor also waives any additional entitlement and accepts from the City any written or oral order (including directions, instructions, interpretations, and determination). E. Failure to Follow Procedures Constitutes Waiver By failing to follow the procedures of this section, the Vendor completely waives any claims for protested work and accepts from the City any written or oral order (including directions, instructions, interpretations, and determination). 7. CLAIMS. The Vendor shall give written notice to the City of all claims other than change orders within fourteen (14) calendar days of the occurrence of the events giving rise to the claims. Any claim for damages, additional payment for any reason, or extension of time, whether under this Agreement or otherwise, shall be conclusively deemed to have been waived by the Vendor unless a timely written claim is made in strict accordance with the applicable provisions of this Agreement; or, if (and only if) no such provision is applicable, unless that claim is set forth in detail in writing and received by the City within seven (7) calendar days from the date Vendor knew, or should have known, of the facts giving rise to the claim. At a minimum, a Vendor's written claim must include the information set forth regarding protests in Section 7(A)(2)(a) -(e). FAILURE TO PROVIDE A COMPLETE, WRITTEN NOTIFICATION OF CLAIM WITHIN THE TIME ALLOWED SHALL BE AN ABSOLUTE WAIVER OF ANY CLAIMS ARISING IN ANY WAY FROM THE FACTS OR EVENTS SURROUNDING THAT CLAIM OR CAUSED BY THAT DELAY. Vendor must, in any event, file any claim or bring any suit arising from or connected with this Agreement within 120 calendar days from the date the contract work is complete. 8. WARRANTY. The Vendor shall correct all defects in workmanship and materials within one year from the date of the City's acceptance of the Contract work. When defects are corrected, the warranty for that portion of the work shall extend for one year from the date such correction is completed and accepted by the City. The Vendor shall begin to correct any defects within seven (7) calendar days of its receipt of notice from the City of the defect. If the Vendor does not accomplish the corrections within a reasonable time, the City may complete the corrections and the Vendor shall pay all costs incurred by the City in order to accomplish the correction. 9. INDEMNIFICATION. Vendor shall defend, indemnify and hold the City, its officer, officials, employees, agents and volunteers harmless from any and all claims, injuries, damages, losses or suits, including all legal costs and attorney fees, arising out of or in connection with the performance of this Agreement. Vendor's obligation to indemnify shall not extend to that portion of damages caused by the City's sole negligence. The City's inspection or acceptance of any of Vendor's work when completed shall not be grounds to avoid any of these covenants of indemnification. Should a court of competent jurisdiction determine that this Agreement is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Vendor and the City, its officers, officials, employees, agents and volunteers, the Vendor's liability hereunder shall be only to the extent of the Vendor's negligence. IT IS FURTHER SPECIFICALLY AND EXPRESSLY UNDERSTOOD THAT THIS INDEMNIFICATION CONSTITUTES THE CONSULTANT'S WAIVER OF IMMUNITY UNDER INDUSTRIAL INSURANCE TITLE 51 RCW, SOLELY FOR THE PURPOSES OF THIS INDEMNIFICATION. THE PARTIES ACKNOWLEDGE THAT THEY HAVE MUTUALLY NEGOTIATED THIS WAIVER. The provisions of this section shall survive the expiration or termination of this Agreement. 10. INSURANCE. COUNCIL ACTION: ❑ Approve ❑ Deny ❑ Table ❑ Continue ❑ No Action COUNCIL SUMMARY Commercial Broadcast Facility Lease Agreement with Seattle Streaming Radio, LLC for the Forest Ridge Park KBRO Tower Site Program and Agreement Summary The City of Bremerton currently has leases with eleven companies at seven individual sites for communication facilities on city -owned land in town and the Watershed lands. Total annual revenue from these leases is approximately $225,000. Public Works & Utilities currently manages the lease agreements for the City, and has recently entered into a professional services agreement with Peripheral Vision Communication, Inc. (PVCI), a company that specializes in the communication industry, to assist in technical issues and valuations. The KBRO tower site located at Forest Ridge Park has provided AM radio broadcasting in this area for years. The broadcast facility was formerly owned by FTP Corporation who was the original lessee for the agreement that ran from July 1, 2005 thru June 30, 2010. This lease was assumed by Seattle Streaming Radio, LLC (SSR) in September 2005 and this company currently owns and operates KBRO. SSR had requested continuing their operation and lease earlier this year. The new proposed lease is similar to the previous agreement. After review by both City staff and our consultant, PVCI, the following modifications were made in the proposed agreement: I. Adopted term "commercial broadcast facility" to distinguish from "telecommunication facility ", as fair market value can differ between these types of facilities. Added "commercial broadcast facility" to definitions. 2. Item 5. Term of Lease. Increased lease term from 5 years to 10 years to decrease administration time and cost and better fit what has been a long- term operation. 3. Item 8.Ownemhlp and Removal of Improvements. Clarified what becomes City property and how disposed at lease termination. 4. Item 10A. Compensation to City. Had PVCI review lease value and compare with similar broadcast facilities. Monthly rental set at $750 /month with annual CPI adjustment. Last monthly rental under expired agreement was $660.51. 5. Item 10B Rent Adjustment. Changed adjustment review time from 4 to 5"' anniversary of agreement. Fiscal Summary The proposed monthly rental of $750 is consistent with the previous lease, and was reviewed by our consultant. It was explained that AM facilities of this size are not currently a high value operation. For comparison, this proposed rental is similar to a broadcast facility of similar wattage that is located on City of Olympia property. Annual CPI adjustments at the first of the year are prescribed. Rental cannot decrease. Public Works is applying for a grant to construct a Downtown Streetscape Promenade and Retail Connector to be constructed from downtown to Evergreen Park ATTACHMENTS: Council Summary FISCAL IMPACTS (Include Budgeted Amount): The grant is for $3,000,000. It requires up to a 20% match depending upon the economic status of the City. The match (if required) will be the funds used for the Washington Avenue sewer and two projects will be combined into one project. This came with a very short timeline and is due October 8. We need to get Council's approval to apply. We are requesting it come to Council for Study session on September 29 and to Council meeting for action on October 6. It is proposed that we construct a Downtown Streetscape Promenade and Retail Connector from downtown to Evergreen Park. The grant is for $3,000,000 and requires up to a 20% match. The City may qualify for a zero match based upon an evaluation of the financial status of the City. The Washington Ave sewer project is programmed for design in 2011 and construction in 2012. This project is along the same alignment as the Promenade If a match is required the City can use this sewer project as leverage for the Promenade. Each year, the Puget Sound Regional Council (PSRC) ranks local public works projects based on their economic development impact, and then sends those non - binding recommendations to the U.S. Economic Development Administration (EDA). The goal of this Public Works Prioritization Process is to help the most deserving local projects pursue federal funding. To participate in this process, local jurisdictions and eligible non - profit agencies are invited to submit projects for prioritization. Projects should be related to the construction or rehabilitation of essential public infrastructure and development facilities necessary to generate private investments that result in higher - skill, higher -wage jobs. Applications are then rated against federal requirements, as well as consistency with the PSRC's regional planning documents: VISION 2040, Transportation 2040 and the Regional Economic Strategy. Once projects are numerically ranked and these non- binding recommendations are sent to EDA, sponsors of these projects then directly contact the EDA to pursue funding.
