DESIGN/BUILD AGREEMENT BETWEEN
THE CITY OF BREMERTON
AND DILLON WORKS! INC.
FOR
CUSTOM SCULPTURES AT 4 T " & PACIFIC
Based on original concepts by Communication Arts, Inc. and revised fish and man concepts dated November 12, 2009,
Dillon Works, the parties agree on the following:
Scope of Work. Dillon Works will provide all design, labor, materials, and equipment necessary to design, fabricate
and install one (1) pair of sculptures to be displayed outdoors at finro specified locations on opposite street corners at 4tn
& Pacific Streets, in Bremerton, WA. Dillon Works' Scope to include:
1. Design Development (Phase 1)— Based on the concept of one (1) Salmon and one (1) Fisherman, as
reflected in Attachment "A" Dillon Works will provide:
a. Two (2) to three (3) color presentation drawings that will:
i. Further define the.overall look of the Sculptures.
ii. Clarify the position/layout on the street corner.
iii. Further define approximate dimensions of components.
iv. Further define the palate of materials and finishes.
b. One (1) scale model for each sculpture.
2. Engineering and Shop Drawings (Phase 2)— Based on the City's approval of the Design Development
Phase (1 — above), Dillon Works will provide:
a. Detailed shop drawings illustrating fabrication methods, materials, and attachments.
b. Detailed structural design of both the sculptures and footings, stamped/sealed by a structural engineer
licensed in the state of Washington.
c. Upon approval by the City, the Scope of Work shall be fixed and final for purposes of design and
engineering.
3. Fabrication (Phase 3)— Based on the City's review and approval of Engineering and Shop Drawings,
fabrication will commence at which time Dillon Works will provide:
a. Fabrication of the sculptures in accordance with the Engineering and Shop Drawings utilizing the
materials and methods, including attachment methods, all as defined by the Structural Engineer.
4. Delivery and Installation (Phase 4)-- Delivery and installation will commence based upon:
a. The City's review and acceptance, at Dillon Works fabrication site of the fabricated structures and
elements (3.a — above), and
b. Dillon Works conducting a site inspection confirming the installation sites and surrounding areas
necessary for delivery, mobilization and installation are available and ready for installation. Upon
acceptance of the site and surrounding areas, Dillon Works will provide:
i. Delivery of the Sculptures to the installation sites.
ii. One (1) pre-install meeting on site for part of one (1) day.
iii. One (1) site survey for finro (2) persons on site for one (1) day.
iv. One (1) Dillon Works' supervisor and a crew of four (4) on site for three (3) days.
v. Post installation cleanup.
Design/Build Price.
Materials................................................................................................... $ 104,908.00
WA. State sales tax (9.5%) ....................................................................... $ 9,966.00
Labor........................................................................................................ $ 135 126.00
Total .......................................................................................................... $ 250,000.00
Tax. The above-mentioned price includes WA. State sales tax (on materials only), but does not include any other
applicable taxes. Buyer will be responsible for any additional taxes.
Packaging & Shipping. The above-mentioned price includes packaging, and shipping F.O.B. Destination (Bremerton,
WA).
Installation. The above-mentioned price includes installation.
Schedule. See attached CPM.
Terms. Dillon Works will require a signed contract and finrenty-five percent (25%) mobilization payment upon execution
of the contract, a finrenty-five percent (25%) payment upon completion and City approval of Engineering and Shop
Drawings Phase 2, forty percent (40%) upon completion of Fabrication (Phase 3), and prior to shipping, and the
remaining ten percent (10%) net twenty (30) days after completion of Installation (Phase 4).
Exclusions. Excluded from the Scope of Work:
e All taxes, except WA. State sales tax on materials
• Weekend, holiday, and 2nd or 3rd work shifts
• Liquidated damages and/or completion penalties
o Bonds, testing, surveys, and inspections
� Provision of structural footings/cast in place concrete, and foundations
• Flame-retardant materials unless specifically identified in the written scope of work
o All design, provision, and/or installation of lighting, unless specifically identified in the written scope of work
o Traffic control and security during installation
o Any changes to the Scope of Work requested by the City after approval of the Engineering and Shop Drawings
• Concealed, unknown or latent conditions at the installation sites which differ materially from those ordinarily
encountered and that materially hinder or impair performance of mobilization, installation, or storage of
equipment used by Dillon Works! Inc.
General Assumptions:
• Cost is based on one mobilization, 1 st shift, regular work hours
• Temporary power, lighting, water supply and facilities provided by owner
o If Dillon Works! Inc. is delayed in the progress or completion of the work due to any act, occurrence or
condition beyond Dillon Works! Inc.'s control, then the estimated or agreed completion date, if any, shall be
extended for a reasonable period of time. Dillon Works! Inc. shall be entitled to additional compensation for all
costs and expenses occasioned by the delay.
• Temporary and/or winter protection provided by owner
• Clear, continuous and uninterrupted access to all installation sites and surrounding areas required for storage
and mobilization
• Staging area (approximately 50' x 50') provided by owner within immediate area of installation sites for material
& equipment storage

If this project agreement is satisfactory piease sign, date and return it to us.
Upon execution by authorized representatives of Dillon Works! Inc. and the City of Bremerton, this
"Design/Build Agreement" together with its attachments and addenda shall become a binding and
enforceable contract
