SPECIAL MEETING MINUTES
Wednesday, June 17, 2009
At the conclusion of the weekly meeting of the City Council of the City of Bremerton, the Special
Meeting of the Bremerton Transportation Benefit District was called to order in the First Floor Meeting
Chambers of the NORM DICKS GOVERNMENT CENTER, 345 6 Street, Bremerton, Washington,
Wednesday, June 17, 2009, at approximately 6:58 PM, with Council President Cecil McConnell
presiding. Board Members present were Nick Wofford, Will Maupin, Dianne Robinson, Mike
Shepherd, Roy Runyon, Adam Brockus, and Brad Gehring. Board Member Carol Arends was absent.
Also present were City Attorney Roger Lubovich; Assistant City Attorney Ken Bagwell; City Clerk
Carol Etgen; and Legislative Assistant Lori Smith.
Assistant City Attorney Ken Bagwell explained that this was a Special Meeting of the Bremerton
Transportation Benefit District, and the only items for consideration on the agenda tonight will be the
Meeting Minutes for the TBD Work Session held on March 4, 2009, the Charter, the Resolution
adopting the By -Laws, electing Board Officers, and setting a schedule for future meetings.

WORK SESSION HELD ON MARCH 4, 2009: The first item of business was to approve the meeting

7:00:05 M /S /C /U (Wofford /Runyon) Move to approve the Meeting Minutes of the Bremerton
Transportation Benefit District (TBD) Work Session held on March 4, 2009.
ITEM 2 — APPROVE THE CHARTER FOR THE BREMERTON TRANSPORTATION BENEFIT
DISTRICT: It was clarified that when the Council approved Ordinance No. 5076 on February 4, 2009
creating the Bremerton Transportation Benefit District, they created a separate entity from the City of
Bremerton. It is now essential for the Board to have a governing document that will provide guidance
to the Board, set the powers and authority, as well as establish the purpose of the Board. Copies of
the proposed Charter and By -Laws were presented to the Board at a Work Session on February 25
for their review. This item was continued from March 4, 2009.
7:02:35 Main Motion was made and seconded; then discussion by the Council was opened...
A lengthy discussion took place... When necessary, Mr. Bagwell brought the discussion of the Board
back to the approval of the Charter...
Mike Shepherd and Dianne Robinson reiterated similar comments made by Mrs. Arends at a
previous meeting that due to their objections to being Board Members, they could not support any
further action related to this issue. Also, they expressed concerns over the lack of financial analysis
regarding the cost for staff to support the Board and the possible conflict of interest due to Council
Members serving on the Board.
Ms. Robinson asked what establishes the boundaries of the transportation benefit district. Mr.
Bagwell clarified that when the Council originally passed Ordinance No. 5076, it established the
boundaries of the Transportation Benefit District to be the same as the boundaries for the City.
Ms. Robinson also asked where it is stated that Council must serve on the Board; and how the Board
would address the issue of outside staff support. Mr. Bagwell answered that State Statute provided
that the legislative body acts as the Board; and responded that the Board could enter into an interlocal
agreement to hire staff to support the Board if current staff were not used.
Roy Runyon asked if passing the charter would result in a tax; and if being a Board member would
preclude Council Members from communicating with constituents about street paving projects or
similar issues. Mr. Bagwell answered no to both questions, and added that the Board would follow
the Open Public Meetings Act.
Brad Gehring expressed concerns about the lack of detail on staff duties relating to the Board,
particularly the Treasurer. Mr. Bagwell emphasized that since the Board has not taken action on
finance matters, it would be difficult to estimate cost or provide duties to the Treasurer. Nick Wofford
commented that the Board would be providing an annual report to the public that would include the
amount of revenue collected and projects to be funded which in effect would be the budget for the
Board.
Will Maupin and Adam Brockus agreed that it is important to have rules in place for the Board, and
that the ultimate decision on funding should go to the voters.

Mr. Gehring asked for clarification on where the Board may meet. Mr. Bagwell recommended that
the Board follow the City Charter and meet within the boundaries of the City. Mr. Gehring suggested
that a majority instead of four members (as listed in the draft by -laws) be needed to take action; and
asked if business could be conducted by "electronic device ". Mr. Bagwell answered that the Council
approved as part of its Policies & Procedures, the ability to conduct business by phone.
Mr. Runyon stated the Charter and the By -Laws were necessary to provide the rules for the
Bremerton Transportation Benefit District that was previously established by a majority of the Council.
