BREMERTON TRANSPORTATION BENEFIT DISTRICT
SPECIAL MEETING MINUTES
Wednesday, March 4, 2009
At the conclusion of the weekly meeting of the City Council of the City of Bremerton, the Special
Meeting of the Bremerton Transportation Benefit District was called to order in the First Floor Meeting
Chambers of the NORM DICKS GOVERNMENT CENTER, 345 6th Street, Bremerton, Washington,
Wednesday, March 4, 2009, at approximately 7:05 PM, with Council President Cecil McConnell
presiding. Board Members present were Nick Wofford, Will Maupin, Carol Arends, Dianne Robinson,
Mike Shepherd, Roy Runyon, Adam Brockus, and Brad Gehring. Also present were City Attorney
Roger Lubovich; Assistant City Attorney Ken Bagwell City Clerk Carol Etgen; and Legislative
Assistant Lori Smith.
Ken BaQwell explained that this was a Special Meeting of the Bremerton Transportation Benefit
District, and the only items for consideration on the agenda tonight will be the Meeting Minutes for the
TBD Work Session held on February 25, 2009, the Charter, the Resolution adopting the By-Laws,
electing Board Officers, and setting a schedule for future meetings.
BUSINESS ITEMS
1B - APPROVE MINUTES OF BREMERTON TRANSPORTATION BENEFIT DISTRICT (TBD)
WORK SESSION HELD ON FEBRUARY 25. 2009: The first item of business was to approve the
meeting minutes from the Bremerton Transportation Benefit District Work Session held on February
25.
There were no comments from the public or the Council Members...
7:07:00 M/S/C (Runyon/Brockus) Move to approve the Meeting Minutes of the Bremerton
Transportation Benefit District (TBD) Work Session held on February 25, 2009.
Voted in favor of Motion: Gehring, Brockus, Runyon, Maupin, Wofford, and McConnell
Voted opposed to Motion: Shepherd, Robinson, Arends
Motion carried: 6-Yes; 3-No
2B - APPROVE THE CHARTER FOR THE BREMERTON TRANSPORTATION BENEFIT
DISTRICT: The second item of business was to approve the Charter for the Bremerton
Transportation Benefit District. Mr. Baawell clarified that when the Council approved Ordinance No.
5076 on February 4, 2009 creating the Bremerton Transportation Benefit District, they created a
separate entity from the City of Bremerton. It was now essential for the Board to have a governing
document that will provide guidance to the Board, set the powers and authority, as well as establish
the purpose of the Board. Copies of the proposed Charter and By-Laws were presented to the Board
at a Work Session on February 25 for their review. Mr. BaQwell explained that he did not receive any
questions or comments from members of the Board during the week prior to the meeting tonight, and
after making a minor change to eliminate the term "Executive Director" from the title of Article V, he
welcomed further discussion by the Board and then approval of the Charter for the Bremerton
Transportation Benefit District, as amended.
There were no questions or comments from the public... Discussion was then opened to the Board...
Carol Arends clarified that she spoke at length with the City Attorney earlier in the week regarding
her concerns about the creation of the Bremerton Transportation Benefit District; in addition to
expressing her specific objection in an earlier session to being a member of the Board when she
voted against it.
Dianne Robinson asked to make a motion to Table approval of the Charter until June of 2009 to
allow the Board additional time to review and study the documents. ROQer Lubovich, City Attorney
advised Ms. Robinson to "Continue" not "Table" the motion, and she agreed.
7:11:00 Motion was made to Continue approval of the Charter, as discussion continued...
Mike Shepherd agreed that the Board needed more time to address the concerns expressed to him
by some of his constituents.
Will Maupin stated it was important for any organization to have a Charter, and because the Council
already approved an Ordinance to create a Bremerton Transportation Benefit District, the Board
should at least approve the Charter, and discussion can take place later on regarding the timing of
any action to be taken by the Board. He further suggested that changes can always be made to the
Charter in the future if the Board discovers anything they don't like. Roy Runyon agreed, saying that
although he understood the comments made by his fellow Council Members, he has not received any
concerns from his constituents. He agreed that the Board needed the Charter to keep moving forward
and that it could always be amended.
Brad GehrinQ stated that approval of the Charter should be done right the first time, and now that he
has had more time, he has found several items that he believes require further attention.
7:16:40 M/S/C (Robinson/Shepherd) Move to Continue the Charter of the Bremerton Transportation
Benefit District as amended, until June of 2009.
Voted in favor of Motion: Shepherd, Robinson, Arends, Gehring, and McConnell
Voted opposed to Motion: Brockus, Runyon, Maupin, and Wofford
Motion carried: 5-Yes and 4-No
Mr. BaClwell stated that because the By-Laws depended on adoption of the Charter, there was no
need to continue presenting any further business.
3B - APPROVE BREMERTON TRANSPORTATION BENEFIT DISTRICT RESOLUTION NO. 001,
ADOPTING THE BY-LAWS OF THE BREMERTON TRANSPORTATION BENEFIT DISTRICT:
7:20:04 M/S/C/U (Shepherd/Robinson) Move to Continue discussion of the Resolution No. 001 to
adopt the By-Laws of the Bremerton Transportation Benefit District until June of 2009.
Voted in favor of Motion: Runyon, Shepherd, Robinson, Arends, Maupin, Wofford, Gehring, Brockus,
and McConnell Carried unanimously
Mr. BaClwell clarified that with no approved provisions, there was no need to have the election of
officers or continue the Special Meeting tonight; and that further discussion can take place at the next
Special Meeting to be held sometime in June with a specific date to be determined.
With no further business, the Special Meeting was adjourned at 7:22 PM.
