The Services to be provided and the rights and responsibilities of the parties are identified below: ALL SHRED 1. All Shred will provide all labor, material and equipment required to destroy the applicable material from the City of Bremerton on a monthly or as needed basis. Frequency of pickups is subject to change based upon volume generated. 2. All Shred will maintain the confidentiality of the material picked up. All Shred at its plant facility will destroy by shredding, all information/material deposited in the containers provided. The shredded material will be recycled to the maximum extent possible. 3. All Shred will provide a "Certificate of Destruction" and invoice to City of Bremerton for each pickup. The certificate will identify the dates of pick-up, a brief description of the material, shredded material weight, and be signed by an authorized representative of All Shred certifying the complete destruction of the material. 4. All Shred will maintain a one million dollar liability insurance policy as evidence of its commitment to protect the confidentiality of the information entrusted to All Shred by the City of Bremerton. All Shred will name the City of Bremerton as additionally insured on their liability policy. 5. All Shred shall indemnify and hold harmless the City of Bremerton and its officers, directors, shareholders, employees and other agents, from and against any claim and liabilities, damages, judgments or other losses (including attorneys fees) imposed upon or incurred by them arising out of or as a result of any acts, omissions of All Shred, or its officers, directors, employees, or other agents, in connection with the performance of any of their respective obligations under this agreement. 6. All Shred will provide the City of Bremerton its Chain of Custody policy showing how documents are protected until destruction hereinafter referred to as "Attachment A". CIlY OF BREMERTON 1. In consideration for the services provided above, The City of Bremerton will pay All Shred for all material which requires of shredding at a rate of $12.00 per 64 gallon bin per pick up; $8.00 per 32 gallon bin or console per pick up. For purges, the City of Bremerton will pay All Shred $35.00 for first three banker boxes and $4.00 each banker box thereafter. 2. Payment will be upon invoice. 3. City ofBremerton will follow its document retention and destruction policy. This agreement may not be changed or amended with a written notice signed and duly executed by both parties. This agreement may be cancelled at any time with 30 days written notice sent via U. S. Certified Mail, Retum Receipt Requested, to either party at the address identified above. This agreement shall be construed, interpreted and govemed by the laws ofthe State of Washington. Venue shall be Kitsap County. Any disputes arising out of this agreement will be resolved, if possible, by the parties. This contains the entire agreement between the parties.
