RESOLUTION NO. 3~~
A RESOLUTION of the City Council of the City of
Bremerton, Washington, temporarily extending the Franchise with
WaveDivision Holdings, LLC.
WHEREAS, Falcon Video Communications, L.P. was issued a franchise to
operate a cable television system in Bremerton, W A by the Bremerton City Council's passage of
Ordinance No. 4635 on November 4, 1998; and
WHEREAS, Charter Communications Holding Company, LLC was granted
control of Fa1con Video Communications, L.P.'s holdings in the cable franchise by the
Bremerton City Council's adoption of Resolution No. 2724 on August 18, 1999; and
WHEREAS, Assignment and Conveyance of the cable television system franchise
from Charter Communications Holding Company to Wave Division IV, LLC along with the sale
and conveyance of the membership and other ownership interests in Wave Division IV, LLC to
WaveDivision Holdings, LLC was approved by the Bremerton City Council with the adoption of
Resolution No. 2905 on September 24,2003; and
WHEREAS, The cable television system franchise with WaveDivision Holdings,
LLC expires on December 8, 2008; and a temporary extension was granted by Resolution No.
3074 to June 8, 2009; and
WHEREAS, WaveDivision Holdings, LLC by letter of March 20,2006 and
pursuant to Section 626(a) ofthe Cable Communications Policy Act of 1984 has requested the
City consider renewing a cable television system franchise and is agreeable to an extension of
the current franchise; and
WHEREAS, The City Council has determined more time is necessary to properly
negotiate a new cable television system franchise. NOW, THEREFORE,
THE CITY COUNCIL OF THE CITY OF BREMERTON, WASHINGTON,
DOES HEREBY RESOLVE AS FOLLOWS:
SECTION 1. The cable television system franchise with WaveDivision
Holdings, LLC will be extended under the existing agreement until December 31, 2009 or until a
new franchise agreement is negotiated, whichever comes first.
SECTION 2. Severabilitv. If anyone or more sections, subsections, or
sentences of this Resolution are held to be unconstitutional or invalid, such decision shall not
affect the validity of the remaining portion ofthis Resolution and the same shall remain in full
force and effect.

SECTION 3. Effective Date. This Resolution shall take effect and be in force
immediately upon its passage.
