corporation ("Seller"), and Benjamin P. Holmes ("Buyer"), for the sale and purchase of real property
as follows:
1. PROPERTY. The property, including all improvements and appurtenances situated
thereon, which Buyer agrees to buy and Seller agrees to sell, is legally described in Exhibit A,
attached hereto and incorporated herein by this reference. A map indicating the location of the
Property is also attached as Exhibit B, incorporated herein by this reference.
2. EARNEST MONEY. Received from Buyer, Ten Thousand Dollars ($10,000) as
earnest money and part payment on the purchase price for the Property. Earnest Money shall be
deposited with the Escrow Agent within five (5) days after execution of this Agreement and shall be
held by the Escrow Agent for the benefit of the parties until released pursuant to the terms of this
Agreement.
3. PURCHASE PRICE. The total purchase price is Three Hundred Sixty Five
Thousand Five Hundred Twenty Dollars ($365,520.00), plus conveyance of a parcel described and
depicted in Exhibit C from Buyer to Seller for additional right-of-way for SR 304. The total
purchase price, including earnest money shall be due in cash at closing.
4. OPTION TO PURCHASE. If the sale and purchase contemplated herein closes,
then the Seller grants to the Buyer an option to purchase the property described in Exhibit D
("Option Property") for the current tax assessed value of$9,480, upon receipt of title by Seller to the
Option Property. If the sale and purchase contemplated herein fails to close or ifthe Seller does not
receive title to the Option Property within five (5) years of the date of closing the sale contemplated
herein, then neither party hereto shall have any rights or obligations regarding this option to
purchase. This option must be exercised by Buyer within six (6) months of notice to Buyer by Seller
that Seller has acquired title to the Option Property.
5. CONTINGENCIES. This agreement is contingent upon:
(a) Acceptance of its terms by the Bremerton City Council.
(b) Buyers review and approval of the title report on the property prior to
Closing.
(c) Seller conveying and recording at closing a storm easement to Buyer in a
form agreed upon by the parties.
Should any of these contingencies not be met prior to closing, then this Agreement

hereunder, except that the Earnest Money held in escrow shall be immediately returned to Buyer.
6. CONVEYANCE AND CONDITION OF TITLE. The title to the real property
REAL ESTATE PURCHASE AND SALE AGREEMENT

shall be conveyed by Seller to Buyer at closing by Statutory Warranty Deed, free and clear of all
liens, encumbrances or defects except those described in Paragraph 6 below.
7. TITLE INSURANCE. At Closing, Seller shall cause Transnation Title Insurance
Company, whose address and telephone number is 9619 Levin Road NW Silverdale, Washington
98383, (360 692-4556), to issue a standard form owner's policy of title insurance to Buyer in an
amount equal to the total purchase price of the Property. The cost ofthis policy shall be paid from
Seller's funds at Closing. If an extended coverage owner's policy is requested by Buyer, then Buyer
shall pay the increased costs associated with that policy including the excess premium over that
charged for a standard coverage policy, and the cost of any survey required by the title insurer. For
purposes of this Agreement, the following shall not be deemed encumbrances or defects: rights
reserved and federal patents or state deeds; building or use restrictions consistent with current
zoning, and utility and road easements of record. If title cannot be made so insurable prior to the
Closing date called for herein, unless, Buyer elects to waive such defects or encumbrances, this
Agreement shall terminate.
8. CLOSING COSTS AND PRO-RATIONS. The cost of escrow shall be shared
equally between Buyer and Seller, except those fees which are expressly limited by Federal
Regulation. Seller shall pay for excise tax and revenue stamps as applicable. Buyer shall pay
recording fees. Taxes for the current year, rents, interest, Association, Condominium and/or
Homeowner's fees, water and other utility charges, if any, shall be pro-rated as of date of closing

this agreement, this sale shall be closed on or before August 31, 2007 which shall also be the
termination date of this agreement unless said closing date is extended in writing by mutual
agreement of the parties. When notified, the Buyer and Seller will deposit, without delay, in escrow
with Transnation Title Insurance Company (Escrow Agent) all instruments and monies required to
complete the transaction in accordance with this agreement. Closing, for the purpose of this
agreement, is defined as the date that all documents are executed and the sale proceeds are available

any environmental condition or defect whether known or unknown. This provision shall survive

14. DEFAULT AND ATTORNEY'S FEES.
(a) Buyer's Default. If Buyer defaults hereunder, Seller's sole remedy shall be
limited to damages against Buyer in the liquidated amount ofthe earnest money previously paid the
Buyer. Buyer and Seller intend that said amount constitutes liquidated damages so as to avoid other
