MEMORANDUM OF UNDERSTANDING
BETWEEN THE
CITY OF BREMERTON AND KITSAP COUNTY
Bremerton Government Center
This Memorandum of Understanding is executed by the City of Bremerton (City) and Kitsap County
(County) on the date fully executed below. The purpose of this Memorandum of Understanding is to
clarify the City's obligation to pay $250,000 to the County as part of the consideration for construction of
the Bremerton Government Center (Facility) to be used for the benefit of assisting the Kitsap County
Health District in relocating its offices to the Facility.
Pursuant to Resolution No. 2886, the City approved the following agreements (Agreements) relating to
the development and construction of the Facility:
A. The Interlocal Agreement;
B. The Construction and Development Agreement;
C. The Real Estate Contract and Security Agreement; and
D. The Continuing Disclosure Agreement.
The resolution further provides that the Mayor, in consultation with the Finance Director and the City
Attorney, is hereby authorized to finalize and execute the Agreements and any additional agreements,
documents, and certificates necessary or convenient to the development and construction of the project
not inconsistent with the Agreements.
During the negotiation for the development and construction of the Facility, the parties agreed that the
City would contribute $250,000 as partial consideration to the County for the purpose of relocating the
Kitsap County Health District to the Facility. As a consequence, this matter was presented to the
Bremerton City Council and has been included in and approved as part of the City's Year 2003 budget as
well as in the Facility project budget. The Agreements, however, neglect to specifically provide for said
payment by the City. This Memorandum clarifies that it has been and currently is the parties' intent that
the City pay the County $250,000 as noted above and as set forth in the City's budget, and the execution
by the parties below documents such intention. The Payment of $250,000 shall be paid by the City,
without interest, as follows: $125,000 on or before January 31, 2004 and $125,000 on or before May 31,
2004.
