PERSONAL SERVICES CONTRACT - WASTEWATER UTILITY SUPERINTENDENT/CONTRACT COMPLIANCE SUPERVISOR, #AB85-443 On September 30, 1985, Mayor Dawkins appointed by Executive Order Kenneth MacKenzie to perform duties previously performed by Donald Proctor as Wastewater Compliance Officer. This necessitates a new personal services contract, salary adjustment and ~ob description revision to properly establish the City/Manager employment contract for services rendered. Mr. MacKenzie assumed these duties on September 30, 1985. Mr. Dave Hiestand, Director of Personnel asked for Council "';e~ and app~ovai o~ rev~ , 8 Personal Services Contract for Wastewater Utility Superintendent/Contract Compliance Supervisor and confirmation of Mr. MacKenzie. He noted that the salary is a $2,000.00 reduction from the previous encumbent in t. he position and that the contract is for a one year period ending September 30, 1986. Mr. Hiestand continued noting a correction; change title to read "Wastewater Utility Compliance Officer" Councilman Johnson expressed concern regarding the way the position was filled without advertising, allowing competition. Mr. Hiestand defended the action stating he was advised by City Attorney Broughton that the Mayor has the authority, through executive action, to appoint unfiiied management vacancies and due to the urgent need to have someone overseeing the new facilities, and the expertise of Mr. MacKenzie as Project Engineer during the past three years, it was a logical choice. City Attorney Broughton stated that under the City Charter the Mayor is given expansive powers. Councilman Adrian stated that in 2 weeks, an Administrative Head will be define by an ordinance. Councilman Johnson and Sturdlvant both had a problem with the position title and definition of Manager vs supervisor. Mr. Sturdivant stated this position w~il not have anyone to supervise. Recessed from 6:40 - 6:50 p.m. ORDINANCE #3989 - EMERGENCY - WATER & SEWER REVENUE REFUNDING BONDS, #AB85-443 The final draft of the ordinance regarding Water/Sewer refunding bonds was passed out before Council meeting. The material received October 16, 1985, was a draft. The City has an opportunity to refund existing Water & Sewer Revenue Bonds which may not be available in 1986 due to possible passage of Federal laws prohibiting the practice. Impact, if not passed could be continued higher than necessary capital sewer charge thereby higher than necessary overall sewer rates. Mr.Robert Yeasting, Representing Yeasting Associates - Municipal Advisors, summarized his firms recommendations as the City's financial advisor on today's $18,025,000 Water and Sewer Refunding Revenue Bond sale. He stated the timing of sale is favorable at the moment but the threat of Congressional action to end advance refundings makes it risky to wait to do this refinancing. He stated there are two advantages to the City in conducting this refinancing. The retirement period for Water and Sewer Bonds has been lengthened by about two years, allowing the City to reduce the retirement of bonds 1986 through 1999 and delaying the repayment of those bonds until the years 2000 and 2001. This will enable the City to reduce debt service during the life of the issue by approximately $100,000 ea. year. it also permits combining a storm sewer or waste disposal utility with the water and sewer utilities for financing purposes at some future date. The City, by refinancing, would receive a AAA/AAA rating from Moody's and Standard & Poor's. He highly recommended that the City proceed with this refinancing for the purpose of reducing the net revenue requirements of the Water and Sewer Utility and further that the City accept the offer of Shearson/Lehman Brothers and Kirchner Moore and Company. Mr. George Mack, Roberrs & Sheffleman, Seattle, reiterated much of Mr. Yeasting's presentation and noted figures are estimates at time bonds are delivered. He noted two changes to the final draft before Council; (I) Pg. 3(0), line 3, delete "!991", insert "1999" and, (2) Pg. 6(q), line 4, delete "funds" and insert "ianQs" Mr. Roy McInnis, asked why, when the Wastewater bonds amounted to only $14,500,000 the city is refunding approximately $18,000,000. Mr. Yeasting explained that this refunding includes were 1971 and 1973 water/sewer "old" bonds. Councilman Johnson was concerned that there would be limitations such as timDe~' sale receipts and would these oe considered encumbered unde! the terms of the ordinance. Mr. Yeasting stated that it ~6 definec to include revenues off TAPE #292 City Council Reg. Mtg. Mjrutes October 23, 1985 Page 5 of 5 UNAPPROVED DRAFT... #1701 #1756 the land in meeting the coverage test. Mr. johnson also asked that if the City wanted to sell some property, surpiused because of no longer needing a parcel, would it De restricted in doing so. Mr. Yeasting said that if declared "~urpiused" it is not a requirement that iT De used to pay off the bonds. He stated only sale of revenue producing assets apply. insurance was aiso a concern of Councilmen because the city of Bremerton may De self-insured. Mr. Mack responaed that if the city is adequately insured it would nor need to be concerned. He then introduced Mr. Dick King with Foster & Marshall who encourage the city to offer the bonds to his firm. · M/S/C/U/(Johnson/Adrian) to accept the offer from Shearson and Lehman. · M/S/C/U/(Adrian/Pachek) to pass on first reading an Emer- gency Ordinance #3989, of the City of Bremerton, Washington, relating to the waterworks utility of the City, .including the sewerage system as a part thereof; providing for the issuance of $18,025,000 principal amount of Water and Sewer Revenue Refunding Bonds, 1985, of the City for the purpose of providing a part of the funds to refund, pay and retire the outstanding Water and Sewer Revenue Bonds, 1971, Water and Sewer Revenue Bonds, 1973, and Water and Sewer Revenue Bonds, 1983; fixing the date, form, terms, interest rates, maturities and covenants of such bonds; providing for and authorizing the purchase of certain oOiigations out of the proceeds of the sale of such bonds and for the use and application of the money to be derived from such investments; authorizing the execution of an agreement with Peoples National Bank of Washington of Seattle, Washington, as Refunding Trustee; providing for the payment and redemption of the outstanding bonds to be refunded; creating a special bond redemption fund;- and approving The sale and providing for the delivery of such bonds to Shearson Lehman Brothers Inc., Foster a Marshall Division, of Seattle, Washington, with the following corrections; (!) pg. 3(b), line 3, delete "!991", insert "1999" and (2) pg. 6(q), line 4, delete "funds" and insert "lands", and the adaendum of the standard Emergency clause, and declaring it an emergency.
